Petitioners desire for themselves,
their associates and assigns, to be in
corporated under the laws of the State
of Georgia for a period of thirty-five
(35) years, with the right of renewal
from time to time under the name
and style of “D C I CORPORATION .”

pecuniary gain and profit to its stock
holders

The corporation shall be empowered
to carry on any lawful trade or busi
ness. Without limiting the generality
of the foregoing, the nature of the
corporation’s business shall, among
other things, be to buy, sell, develop,
improve, exchange, trade, hold, rent,
lease, pledge, mortgage, and otherwise
deal in and with real and personal
property to manufacture personal
property of all kinds; to enter into
contracts with others to manufacture
personal property to specifications for
purchase by the Corporation; and the
power to Ho all things which may be
necessary, desirable or convenient to
the successful operation of its busi
ness

Petitioners further desire, without
limiting the generality of the above,
to borrow money for its corporate
purposes, and to draw, make, accept,
endorse, execute, and issue bonds,
notes, debentures, bills of exchange,
and other negotiable instruments and
obligations, and in order to secure the
same, or any of its contracts or obli
gations, to convey, transfer, assign,
mortgage, pledge and deliver all or
any part of the property of this Cor
poration upon such terms and condi
tions as tin* Hoard of Directors shall
determine. In addition, said Corpora
tion desires all the rights, powers and
privileges conferred to other corpora
tions by the laws of the State of
Georgia at present and in the future.

(a) There shall be one class of stock,
to be common stock of par value $10.
There shall be 50,000 shares authorized.
(b) The minimum amount of capital
with which the said corporation may
commence business shall be Two Hun
dred Dollars ($200).

Said corporation shall have the pow
er to include in its by-laws any regu
latorv or restrictive provisions relating
to the proposed sale, transfer or dis
tribution of anv of its stock by any
of its shareholders.

The principal office of said corpora
tion shall he in Fulton County, C.eor
gla but petitioners desire the right of
establishing branch offices and places
of business elsewhere both within and
without the State of Georgia.

of pharmacy; to manufacture, buy, sell,
formulate, compound, dispense or dis
tribute either at wholesale, retail or
otherwise, every kind and character of
pharmaceuticals, tonics, vitamins, med
icines. chemicals, drugs, compounds,
proprietary articles of all kinds, toilet
articles, druggists’ sundries, surgical
apparatus, physicians' and hospital
supplies, and general merchandise; to
buv, sell, and deal in electrical, chem
leal, photographical, surgical, and sci
entific apparatus and material!*; to
buy sell, develop, improve, exchange,
trade, hold, rent, lease, pledge, mort
gage, and otherwise deal in and with
real and personal property; and to do
ail things which may be necesaary, de
sirable or convenient to the successful
operation of its business.
Petitioners further desire without
limiting the generality of the above,
that the corporation be empowered to
borrow money for Its corporate purp
and to issue bonds, mortgages,

Mama and Papa Speak Up
First it was mama who spoke
to me in a letter, and a few days
later in another letter papa also
spoke up.
Mama had written: “My hus
band and 1 have decided to ap
point you as counsel between us

Said common stock shall consist of
one hundred and forty-nine (149)
shares of Class. “A” Common Stock,
and of fifty (501 shares of Class “11“
Common Stock, Class “A” Common
Stock shall have a par value of Five
Hundred Dollars ($500) per share.
Class “B“ Common Stock shall tiave a
par value of Ten Dollars ($10) per
share. Roth said Class “A" and Class
“B” Common Stock shall have the
same rights, privileges and immunities,
except, however, that, each and sing
ular. everv share of said Class “A”
Common Stock shall have no voting
rights whatsoever. Shares of non-voting
common stock shall he plainly stamp
ed “non-voting." The holders of the
shares of non-voting stock shall not
lie entitled to notice of any meetings
of stockholders and shall not be en
titled to vote upon any question what
soever which may he presented and
decided upon at any meeting of stock
holders.
Said corporation shall be authorized
to issue stock for any consideration,
either money or services.
Tiie minimum amount of capital with
