F. Wyly, A K. Sesgo, and the'r associates, whose names are hereunto an nexed, respectfully showetb, That on the 25th October, 1870, Bnfus B. Bollock,by virtue of sn Act passed on the 21th Octo ber, 1870, issued notice for proposals to be received until and including the 25th day of December, then next following, for the lease of the Western ft Atlantic Railroad—said notice requiring the pro posals to “state in full the names ana re sidences of the parties uniting to make the proposition, the amount that each of the parties therein named was worth, over and above their debts and liabilities, to gether with a full description of the char acter of the security which will be offered to complete the bond.” It was not stated whether the Road would be leased or not, nor the time at which the proposals would be acted up on, nor when the further requirements of the law, touching the execution of the lease, and the giving of tbq bond, must be performed. A majority of your memorialists, (in connection with others, who have since withdrawn from their Company), on .the 24th Deoember, 1870, having associated themselves together for the purpose of leasing said road, in pursuance of said Aot, offered proposals in writing, in full compliance with said notioe of Governor Bullock; that said proposal contain a list of the names and residenoes of all the then members of the Company, and the amount that each one was worth; that the aggregate of said sums was nearly one million of dollars, and thatall of the Company were citizens and residents of Atlanta. That the bid of your memorialists’ Company was in the alternative, thirty - four thousand five hundred dollars per month for the whole term, or if prefer red by the State, a different distribution -of the payments, making an aggregate, for the whole twenty years, of thirty-six thousand five hundred dollars per month for tbe whole term, and agreed do accept the individual and collective liability imposed upon them by the Lease Act On the same day, Joseph E. Brown. E. L Kimball Simon Cameron, Thomas Scott, John S. Delano, and others made proposals to lease the road for twenty thousand dollars per month, which was accepted by Governor Bullock, on the 27th of December, and the lease was ex ecuted in utter disregard of the rights of your memorialists, the interest of the State, and the law authorizing the lease. First: In utter disregard of the rights of your memorialists. Tour memorial ists 1 direct bid was for nine thousand five hundred dollars, and their alterna tire bid eleven thousand five hundred dollars per month more than that of their competitors, and was in every re spect in exaot compliance with the law and with she notice issued by the Gov ernor. The real advantage to the State, of our first bid, was $2,280,000, without interest; with interest, $3,876,000. The W accepted our proposals. Therefore, the want of good security under the law was not the reason for refusing the lease to the highest and beat bidders. This refusal was also in direct viola tion of the rights of the State, and llie law authorizing the lease. We have al ready shown aloes to tho Stato of over four millions of dollurs by rejecting our bid, but even this item, us largo as it is, is by no moans t'>e greatest injury to the commonwealth. The company to whom the lease should have been awarded were required by the 2d section of the Act “to give bond with ample security for the sum of eight millions of dollars,” and also, “the bond shall bind the les- sees and their securities tor the prompt payment of the sums agreed upon at the end of each month," ftc., fto. We submit that these lessees have given wo bond and no security whatever, and that tk« State has no ooutract or obligation, real or pretended, whioh binds them in dividually or collectively for one singlo cent, either for the rent or the return of the pnblio property. The Aot intended the lessees to be real men and not men of straw—that they should be worth over five hundred thous and dollars at least, over their debts; that they should, as lessees and individ uals, give bond and security for eight millions of dollars. By arrangement with Bullock, before they had complied with the second section of the bill, these lessees, qfler the lease had been awarded them, without the performance of the re quirements qf the section at to security, got themselves incorporated “under the name and stylo of the Western and At lantic Railroad Company,"under the 4th section of the bill. Bullock, Gov ernor qf Georgia : Governor: — Tbe undersigned have formed tbemselves into a Company for ft At- essees wersbonnd to make under the law. Now, this corporation had no right under the law to make the bond. Their oharter imposes no personal liability on the corporators. Therefore, if the bond bound anything, it only bound the pro perty of the corporation—which was nothing hut the State's own property.— And this lot of millionaires have taken good care not to hind themselves person ally for a single cent The security to the bond is equally bad with the princi pal. In the first place, the charters of nsi ther of the companies, whose names are signed by their officers or agents os secu rity, authorized either of them to biud such corporations as security, and espe cially on contracts in which the compa nies bsve not one single dollar’s interest. This needs no argument In the second place, if thecorpoi tions had such power, it could only be used by the corporators, and not by tho w. - advantage to tbe State, from oar seoond bid, with interest, was fonr million, fonr hundred and eighty-eight thousand dol lars. Therefore, it was tho highest and best bid. After the bid of your memorialist, was put in, Heatrs. W. B. Johnson, a Dirso tor in the Central Railroad ft Banking Company, Wm. 8. Holt, President of the -South-Western Railroad Company, and -A. J. White, President of the Uaoon ft Western Railroad Company, who were ion the rival Company, wrote to the Got- «rnor that the respective Companies to whioh they belonged wonld not stand eeounty for the Company of your memo- rialiati. And, therefore, Governor Bul lock requeeted each amendment to our offer of security on the bond os might be neoeaaarj to suable him to entertain It, and to do it af onoe, and to send the re sponse by the bearer. Protesting against and denying his right to accredit this statement from un authorized persona, and seeing dearly its purpose* snd objects, your memorialists' company insisted that it could give tbe security, but in addition thereto, per sonal security of residents of Georgia, “not even doabtfal,” worth over $8,OUO,- 000, aud asked only a reasonable time to give this additional aeourity, (when no time wot apecified for giving it nnder Balloek'a notice,) this offer was rejected and the lease was awarded to the com peting company, as your memorialists insists, upon no legal bond and no legal se curity whatever. This refusal ot Governor Bullock was founded upon the most flimsy and ille gal pretexts. He swerta in his letter to Ur. Dobbins that the offer of security was not in conformity with the notice to receive proposals, whioh is wholly un true. Seooudly, Bullock further says, “That both tha latter and spirit of the set au thorizing the lease of that property would render it impossible for me to ac cept a proposal which would in effeot confine th* usefulness of the property to the sole benefit o( Atlanta." Than ns no such letter or spirit of the act. It required that leasees should not oonsut of loos than seven persons, a majority of whom should be residents (6 years) of the State; nothing else touch ing the persons or residence of the les see*. They might have been all of one family, living not only at Atlanta, bnt in any town or village, or on any farm in the State of Georgia. Thirdly, Governor Bollock averred that by the law it was not bis doty to give public notice or aooept the highest bid, “unless other thing, were equal." Theta other things, if they refer to any thing more than n compliance with the act, are wholly illegal, and mere pretences tr hie assertion of unlimited power to cover over this public property. Bullock dusinaly staled that ■doubt qf the ability qf our company to give As bond with Iks required security, if he Governor he had no offioera of the corporation. Ur. Johnson, who signs himself as the Agent of the Central Railroad, etc., was only Director, and not only acted without power, but without the least authority, even from the officers of the corporation; the rest were signed by the Presidents of the several corporations, without any lawful authority from the corporators, under tbe general law of corporations; those corporations out of the State had no more authority than those inside, and therefore the bond is void, and Bullock gave these lessees the lease in total vio lation of this fundamental provision of the law whioh he pretended to execute, and the lease itself is, for these reasons, nnll and void. Another of tbe reasons given by Bui lock for refusing us the lease, is, that the Company to whom (he had) l-’ased the road harmonized all the conflicting interests which might arise between the different portions ol the railroad system of the State.” This same view is constantly pressed by the present letsees upon the pnblio mind for sinister purposes. It has not one word of truth in it. Tho most of the Presidents, snd some of tha Dircc tors of tbe Georgia railroad companies, according to the language of onu of the icsseeB, "got a finger in the pie;” but the lease does not give a single railroad cor poration in the State a single dollar of legal interest in the lease, nor any legal control over the Western & Atlantic Rail road. The whole statement is based upon the unfounded assumption that these Presidents and Directors “are the corporations and corporators whom illegally seek to bind their own private purposes. The Central Railroad utterly disavows the aetion of its pretended agent. One of these Presidents has absconded, and cer tsinly one other of these les eea hss been turned out of his position as Director iu one of tbe corporations. All toe rest may be at any annual election. But whether they are in office or out, tho corporations have no seourity from them as leasees, for any interest they may have in the operations of the State Road. It has ulso been said that it is desirable to keep tho road out of tbe hands of olitioians. Many of tho lessees in the tate and out of it are well known as the moat inveterate of that class. Omitting those in the State as too well known to need mention—what is Delano ? what ia Simon Camoron ? It is well to rest on him. The Company to which yonr me morialiats belong are oil business men— Georgians, ideutiLed with her interest, her holiness, snd her prosperity. The; are worth more than two millions of doi farm, a very large amount of which is taxable real estate within the State, open to inspection. We are neither foreigners nor adventurers. We have refrained from oonstant appeals to the pnblio. We appeal to the representatives of the peo ple to do ns justioe, and thereby do jus tice to the peoplo of Georgia. We have nothing to say as to the man ner of passing the ease Act. We know nothing of it. We Bimply ask the Leg- iMuture that if they resumo possession of this great publio property, that they so- ’ ’ ’ irly, oily to the advantage of the State. And if not, we ask that the courts may be opened to us, that we bave leave to make the Governor a party to the suit, that he may execute the decree of the court in our favor. Without this, we cannot go into tbe courts, by which we shall lose our ust and legal rights, aud the State will ose over four millions of dollars. We herewith append a copy of our bid for the Road, which contains tho name* of the oompany (except that ot Foster Blodgett, who was expelled by unani mous vote of the compauy,) and the amount eaoli was worth over and above their debts—which it marked Exhibit A. We also append a copy of tbe letter of Got. Balloek to M. G Dobbins, as well ta M. G, Dobbins’ answer, end also the answer of the oompany to Gov. NOOOOO the purpose of leasing the Western (antic Railroad, nnder and in aocordauce with tlie provisions of an Act of the Gen eral Assembly of said State, entitled “An Act to authorize the lexse of the West ern ft Atlantic Railroad, and for other purposes therein mentioned," approved October 24tb, 1870. We propose to obligato ourselves to pay the said Stato of Georgia a monthly ren tal of tbirty-fonr thousand five hundred '834,500) dollars, payable morthly, for a ease of said Road and its appurtenances, for'tho term of twenty (20) years; or, if preferable, we offer to bid as follows : For tbe firat twelve months twenty-six thousand (826,000) dollars moathly rent al. For the next forty-eight months, thirty-one thousand ($31,000) dollars monthly rentals. For the next sixty months, thirty-four thousand ($34,000) dollars per month. For tho next sixty months, forty-three thousand ($46,000) dollars rental, making an average of thir ty-six thousand five hundred ($36,500) dollars per month for twenty years, as provided for in said Act. Appended hereto is an instrument in writing, show ing that we have formed onrselvee into a company for the purposes aforesaid.— Appended hereto, opposite onr signa tures, is specified the amounts that each of us are worth over and above onr debts and liabilities. If vonr Excellency de sires it, we will each and all of us make oath that we are worth the amounts set opposite to onr names. We also give our place of residence. Bobbins, Esq., Atlanta, Georgia: Dear Sib—In taking up this morning for consideration papers in oonneetion with proposals to lease the Western ft Atlantic Railroad, us provided in an act approved October 24, 1870, I find a bid front yourself aud associates, in which yon offer us security upon the bond re quired by suid act, “the Central Railroad uud Bunking Company of Georgia, the Southwestern Railroad Compauy, the Mucon ft Western Railroad," and olhor coi nections. I also find, among my pa pers in this connection, letters addressed to me by Mr. W. B. Johnston, who says, under date of tho 26th inst., among oth er things, that he hears, by rumors on the Btreet, that some number of persons, not associated with him, have made a imposition to lease the Western ft At- autic Railroad, and tendering the Cen tral Railroad and Bnukiug Company as seourity; aud that he (Mr. Johnston) is the accredited agent of that Company, aud as such has already given the pledge of that Company as security for parties wi h whom he is associated. He makes similar statement in regard to the Ms- eon ft Western Railroad, signing himself one of the directors of that Company. In addition to that, I bave a similar com munication with, in general terms, na mi liar statement from Mr. Wm. S. Holt, President of tho Southwestern Railroad. I feel it my duty to present these facts to you, and ask that yourself and asso ciates will make such amendments to J tour offer of security on the bond as may lie necessary to enable me to entertain I trust that this may be done at once.
