Whereas, in Nov. 30th, 1935, Martha L. Fowler, of said county, executed to M. G. Prichard & Green Lumber Com- pany brings this their petition for the purpose of chang- ing the name of said corporation and shows to the Court the fol- lowing facts: 1. On the 22nd day of December, 1938, petitioner was incorporated by order of the Judge of the Superior Court of Gherokee Coun- ty under the name and style of Prichard & Green Lumber Com- pany, for a period of thirty five (35) years, and immediately thereafter organized and com- menced operation. 2. Because of certain changes in the ownership of a portion of the capital stock of said corporation it has become desirable to change the name thereof, and on Septemb- er 7th, 1939, a meeting of the stockholders of said corporation was called for that purpose. A copy of the call of said meeting is attached hereto, marked Ex- hibit "A," and made a part of this petition and paragraph. 3. At said meeting of said stock- holders so called and held on Sept. 7th 1939, the holders of all the capital stock of said corporation being present, a resolution author- izing and directing the change in the name of said corporation was unanimously adopted. A certified copy of said resolution is hereto attached and marked Exhibit “B,” and made a part of this petition and paragraph. 4. Petitioner shows that said pro- posed change in the name of said corporation is consistent with the purpose for which said corpora- tion was created, and does not af- fect the value of any of the assets of said corporation or increase its liabilities. WHEREFORE, petitioner prays: That the name of said corpora- tion be changed from “Prichard and Green Lumber Company” to "Green Lumber Company," and that an appropriate order and de cree be made for that purpose.
