To the Superior Court of said County. The petition of H. R. Slaton, D. G. McMichael and Glenn Oarraker, all of said State and County, respectfully submits to thecourt the following facts: 1. That they desire for themselves, their associates, successors and assigns, to be incorporated and made a body politic under the name and style of “SLATON DRUG COMPANY” for the period of twenty years, with the privilege of renewal thereof at the end of said period. 2. That the principal office of said company shall be in the City of Jack son, said State and County, but peti tioners desire the right and privilege to establish branch offices within or with out this state, whenever the holders of amajority of the stock may so deter mine. 3. The object of said corporation is pecuniary gain to itself and its stock holders. 4. The principal and particular bus iness they 7 desire to conduct and carry on is that of a general drug store busi ness, the compounding, buying and selling of drugs, patent medicines, pro prietary medicines, perfumes, toilet ar ticles, cigars, tobacco, oils, liniments, stationery 7, soft drinks, and all other kinds of wares and merchandise, at wholesale and retail, for cash or for credit. To manufacture drugs, medicines, liniments, oiis, powders, toilet articles, ointments and other articles of mer chandise, and sell the same at retail or wholesale. To buy, sell, own, iease, rent and otherwise hold real estate or personal property, stocks, bonds, and other se curities, to loan and borrow money, to hold and sell goods on commission and act as agents for other companies, per sons or corporations. 5. The capital stock of said corpora tion shall be THREE THOUSAND DOLLARS ($3000.00), all of which is paid in, with the privilege of increas ing same to the sum of thirty thousand dollars ($30,000.00) by a majority vote of the stockholders, said stock to be di vided into shares of one hundred (SIOO.- 00) each. 6. Petitioners desire the right to sue and be sued, to plead and be implead ed, to have and use a common seal, to make all necessary by-laws and regula tions, and to do all other things that may be necessary for the successful carrying on of said business. 7. Petitioners desire the right to se cure any debt owing to it by mortgage, mortgage deed, or by any and all other kinds of liens and obligations and sim ilar rights and privileges are asked for said corporation in securing debts ow ed by it to others. 8. Petitioners ask the right to sub scribe for, purchase, sell or otherwise acquire or dispose of, patent rights, pat ents, copyrights, shares of stock, bonds or other securities, properties and obli gations, secured or unsecured, of any corporation now or hereafter organized under the laws of this or any other state, and to hold or use the same with all the rights of ownership therein as is permitted to natural persons. 9. Petitioners ask the right to sell, rent, or otherwise dispose of any and all of its property, whenever in the opinion of a majority of the stockhold ers it is to the best interest of the cor poration to so do, and under like cir cumstances to sell or negotiate any or all of its property for the purpose of raising money. 10. Petitioners ask that they have all such other rights, powers, privileges, and immunities as are incident to like corporations or permissible under the laws of Georgia. WHEREFORE, petitioners pray to be incorporated under the name and style aforesaid with the powers, privi leges and immunities herein set forth, and as now, or may hereafter be, al lowed a corporation of similar charac ter under the laws of Georgia.
