The petition of McINTOSH
STATE BANK, a Georgia bank
ing corporation with offices in
Jackson, Butts County, Georgia,
respectfully shows:

Your petitioner is the McIN
TOSH STATE BANK which was
originally chartered in the State
of Georgia under Georgia Bank
ings laws on February 14, 1964.
Petitioner’s charter has not here
tofore been amended.

The petitioner desires to amend
its charter so as to provide for
an additional 10,000 shares of
capital stock of a par value of
SIO.OO each, and additional cap
ital of $100,000.00, that is to
say for a total of 26,000 shares
authorized capital stock of a par
value of SIO.OO each, and a total
capital of $250,000.00. The paid
in capital structure, upon the ap
proval of this application for
amendment will be:
Common Capital Stock, Num
ber of Shares, 26,000; Par Value
Per Share, $10.00; Amount,
$250,000.00.
Paid-in Surplus, $125,000.00.
Total Capital Structure, $375,-
000.00.

Petitioner attaches hereto its
check for $25.00 and a certified
abstract of the minutes of the
stockholders meeting authorizing
this application for amendment to
charter.

Petitioner shows that if this
application be approved the addi
tional stock will be offered to its
stockholders of record pro rata
on a basis of two (2) shares of
the new stock for each three (3)
shares already held by its stock
holders, but with the provision
that no fractional shares will be
issued. Any shares not subscribed
for by existing stockholders shall
be used to provide the additional
shares needed to avoid issuing
fractional shares and any excess
shares shall be disposed of by the
Bank’s Board of Directors, if
such be approved by the Superin
tendent of Banks.
WHE R E FORE, petitioner
prays that one of the three copies
of this application for amendment
to charter be certified for publi
cation and that after such cer
tified copy has been published
as provided by law and after ex
amination and approval of said
application by the Superintendent
of Banks and the issuance of a
certificate of approval by the Su
perintendent of Banks and a cer
tificate of publication of this ap
plication by the Ordinary of
Butts County, Georgia, that a
certificate of amendment be is
sued to it by the Secretary of
State under the Seal of the State
amending its charter so as to in
crease the authorized capital
stock from 15,000 to 25,000 shares
with the par value of SIO.OO each
as hereinbefore set forth.

regular meeting of the Board of
Directors of Mclntosh State
Bank. Jackson, Georgia, which
was held at the Banking House
on December 16, 1968, at 6:15
o’clock, P. M.:
“Upon motion of Mr. William
H. Shapard, President, seconded
by Henry L. Asbury, the Board
of Directors unanimously moved
to recommend to the Stockhold
ers at the regular annual Jan
uary meeting that the capital
stock of the Bank be increased
from 16,000 shares to 25,000
shares of par value of 510,00 and
and that such stock be offered
to existing stockholders on the
basis of two new shares for each
three shares held, but with the
provision that no fractional
shares will be issued, at a price
per share of $16.00, so as to pro
vide an additional $100,000.00
capital and $50,000.00 additional
paid in surplus. The motion unani
mously carried.”

Abstract of minutes of the an
nual meeting of stockholders of
Mclntosh State Bank, Jackson,
Georgia, which was held at the
banking house on January 16,
1969, at 3:30 o’clock, p. m., pur
suant to the notice of meeting,
dated January 3, 1969, and
mailed to all stockholders on Jan
uary 4, 1969, a copy of which is
attached hereto:
“A quorum being present,
President William H. Shapard an
| nounced to the Stockholders that

J January 3, 1969, and in accord
ance with the resolution of the
Board of Directors of Mclntosh
State Bank which was adopted at
the regular December, 196.8 meet
ing of the Board, which was held
at the banking house on Decem
ber 16, 1968, at 5:15 o’clock, p.
rn., the following resolution was
proposed by the Board of Direc- j
tors:
” ‘ BE IT RESOLVED by the
Stockholders of Mclntosh State
Bank that the officers and at
torneys of the Bank be directed
to apply to the Secretary of State
of Georgia for an amendment to
the Bank charter increasing the
capital stock of the Corporation
from 15,000 shares of the par
value of SIO.OO to 25,000 shares
of the par value of SIO.OO each
and increasing the bank capital
from $100,000.00 to $150,000.00.
“ ‘EE IT FURTHER RE
SOLVED that such new shares
be offered to existing stockhold
ers at $15.00 per share, cash in
full at the time of issue, on the
basis of two new shares for each
three shares held by the Stock
holders, except that no fractional
shares are to be issued.’
“The motion was seconded by
Mr. Henry L. Asbury and was
unanimously passed by a majority
of the entire Stockholders.”

not been modified or rescinded
since its adoption.

FTA Members
Attend State
Convention
Six members of the Ruth Sin
gleton Chapter of the Future
Teachers of America attended the
j Fifth Annual State Convention
January 30 through February 1
at Rock Eagle.
These six members were Jeff
Jordan, Rita Bennett, Pam An
derson, Kay Pinckney, Sylvia
Cawthon, Cissie Haisten and
Mrs. Russell Cawthon, advisor.
The theme for the Convention
was “FTA Forward Through
Action.” There were inform
ative speeches given by several
Georgia educators such as Dr. C.
Franklin Shumake who spoke on
Student Involvement and Dr.
Jack P. Nix who spoke on the
Student Voice in Education. En
tertainment was provided by the
Georgia College Choir Ensemble
and the University-Civic Sym
phony Orchestra.
During the Saturday morning
General Assembly the new state J
officers were installed and |
awards given to winners in the '
talent and scrapbook competition.
Upon returning home Saturday,
members resolved to make the
chapter the best one ever.—Cissie

General Assembly of Georgia, a
bill to abolish the present mode
of compensating the tax receiver
of Butts County, known as the
fee system, and to provide in
lieu thereof an annual salary for
such officer; to provide that all
fees, costs or other emoluments
of said officer shall become the
property of the county; to pro
vide for the employment of a
deputy tax receiver; and for
other purposes.
