WILSON, AILEEN HENDERSON
WAINWRIGHT, AND MARY
BRYAN WILSON, hereinafter
called applicants, bring this ap
plication for the granting of a
charter for a private corporation,
and show to the court the follow
ing facts:
1. They desire for themselves,
their associates and successors, to
be incorporated under the name
of WILSON-WAINWRIGHT OIL
CO., INC. The principal office
and place of business of said
corporation shall be located in
Nahunta, Brantley County, Geor
gia, with the privilege of estab
lishing branch offices and places
of business in such other places
as may be determined.
2. The applicants are residents
of and their post office address
is Nahunta, Georgia.
3. The purpose and object of
said corporation is pecuniary gain
and profit to its shareholders.
The general nature of the busi
ness to be transacted is, and the
corporate powers desired are,
(a) To deal at retail or whole
sale or to act as brokers in the
sales or exchange of gasoline,
oil, grease and other petroleum
products;
(b) To deal in, sell or exchange
at wholesale or retail, automobile
tires, batteries, parts, tools, ap-
pliances, and to sell or exchange
at wholesale or retail trucks,
tractors, automobiles, farm equip
ment, building material, and in
short to generally sell at retail
or wholesale any property both
real and personal of every kind
and nature, and to manufacture
or process the same;
(c) To deal in, sell or exchange
at wholesale or retail, propane,
butane, natural or manufactured
heating gas, or liquified petro
leum, and to sell, lease or ex
change and install all necessary
fixtures, tanks, pipes, and ap
pliances new ‘Used or in the
future to be used in the distribu
tion er sale of any of said gases;
(d) To sell, deal in at whole
sale or retail and to install air
conditioning and heating equip
ment of every kind, nature, and
description;
(e) To buy and sell, acquire,
own, hold, rent, lease, transfer
and assign both real estate and
personal property of every kind
and character and to deal with
the same in any way and manner
that may seem expedient;
(f) To have all of the powers
and enjoy all of the privileges
enumerated in chapter 22-1827
and 22-1870 of the Code of Geor
gia and all of the other powers
and privileges enumerated in
Chapters 22-18 and 22-19 of said
Code and all of the powers and
privileges enumerated therein
are made a part hereof to the
same extent as if the same were
quoted herein;
(g) To enter in co-partnership
with other corporations or in
dividuals.
4. The time for which said
corporation is to have existence
is Thirty-Five (35) years.
5. The amount of the capital
with which the corporation will
begin business shall be $1,000.00,

either in cash or other assets or
a combination of the two.
6. The capital stock of said
company shall be divided into
100 shares of common stock hav
ing par value of SIO.OO each. Ap
plicants desire the privilege of
increasing the capital stock of
said corporation to 1000 shares
of common stock having a par
value of SIO.OO per share.
7. Applicants pray that the lia
bility of stockholders in said
corporation be confined to the un
paid purchase price of the stock
subscribed for by each.
WHEREFORE, applicants pray
to be incorporated under the
name and style aforesaid, with
all the rights and privileges here
in set out and such additional
powers and privileges as may be
necessary, proper or incident to
the conduct of the business for
which applicants are asking in
corporation, and as may be
allowed like corporations under
the laws of Georgia as they now
or may hereafter exists.

ated under the name of WILSON
WAINWRIGHT OIL CO., INC.
read and considered. It appearing
that said petition is within the
purview and intention of the laws
applicable thereto, and that all of
said laws have been fully com
plied with, including the pre
sentation of a certificate from the
Secretary of State as required
by Chapter 22-1803 of the Code
of Georgia annotated;
It is hereby ordered, adjudged
and decreed that all the prayers
of said petition are granted and
said applicants and their associ
ates, suceessors and assigns are
hereby incorporated and made a
body politic under the name and
style of WILSON-WAINWRIGHT
OIL CO., INC., for and during
the period of Thirty-Five (35)
years, with the privileges of
renewal at the expiration of that
time according to the laws of
Georgia, and that said corporation
is hereby granted and vested with
all the rights and privileges
mentioned in said petition.

said corporation shall be located

is Nahunta, Georgia.
3. The purpose and object of
said corporation is pecuniary gain
and profit to its shareholders.

change, operate, or deal in, or to
act as brokers in the leasing or
letting of Hotels, Motels, Service
Stations, Restaurants, or other
similar interprises, with the right
to do every thing necessary and
needful in the operation or con
duct of any or all of said busi
ness.
( (b) To deal in, sell or exchange
at wholesale or retail, or to act
as factors or brokers, in every
kind of personal property, and
to manufacture or to process the
same.
(c) To buy and sell, acquire,
own, hold, rent, lease, transfer
and assign both real estate and
personal property of every kind
and character and to deal with
the same in any way and manner
that may seem expedient;
(d) To have all of the powers
and enjoy all of the privileges
enumerated in chapter 22-1827
and 22-1870 of the Code of Geor
gia and all of the other powers
and privileges enumerated in
Chapters 22-18 and 22-19 said

common stock having a par value
of SIOO.OO per share.
7. Applicants pray that the lia
bility of stockholders in said cor
poration be confined to the un
paid purchase price of the stock
subscribed for by each.
WHEREOF, applicants pray to
be incorporated under the name
and style aforesaid, with all the
rights and privileges herein set
out and such additional powers

sary, proper or incident to the

fied condemnation proceeding
have been filed in the Superior
Court of Brantley County, Geor
gia, in the name of the State
of Georgia, against One (1) 1953

Automobile, Motor No. C 53 8-
27173, 1957 Georgia Plate No. 31-
J- 450; seeking to condemnation
said Automobile, as provided by
law for that the same was used
for illegal transportation of al
coholic spiritous liquors and dis
tilled spirits on which the tax
was not paid and on which the
containers did not have affixed
stamps and the vehicle was not
enroute to a State Warehouse
(Brantley being a wet County)
and you the unknown owner of
vehicle sought to be condemned or
any leasee thereof are required
to file your defense on or before
7th day of June, 1957, in above
'stated condemnation else the
court will grant judgment in
above case condemning said motor
vehicle above described and order
a sale of same in terms of law
after expiration of date allowed
for filing defense.
