TO WHOM 1 ir MAY CONCERN:
The undersigned intend to apply
to the Secretary of State of Georgia
for n charter of incorporation of
Gainesville Midland Railroad Com
pany. This notice is given pursuant
to the statutes of the State of Geor
gia for such ca. es made and provid
ed. After legal notice has ben given
by requisite publications, the under
signed will present to the Secretary
of State of Georgia a petition for
charter in v ords and figures as set
out below.

State of Georgia:
The persons whore respective names
and re : <i. n■; are hereinafter par
ticularly hown, and who are herein
termed “petitioners,” bring this their
petition to the Secretary of State of
Georgia, and re •p-ct fully show.
Petitioners have associated them
selves together for the purpose of
forming a railroad company under
the law of the State of Georgia and
present this petition in aid of such
plan and pur e and to the end
that they may receive a certificate
of incorp lation under the .statutes
of said State.

The names of the railroad company
which petitioners desire to have in
corporated is GAINESVILLE MID
LAND RAILROAD COMPANY.
The length of said railroad wilt be
approximately thirty-five (.36) miles.
The general direction of said rail
road will be from northwest to south
east, and the same will run into or
through the counties of Hall, Jackson
and Clarke.
Said railroad will run from Gaines
ville, in Hall County, to Fowler’s
Junction, in Clarke County, and will
also extend to the following principal
places: lielmont and Jeffer-on.
Without excluding or limiting oth
er corporate powers, the corporation
shall hove power: (1) To erect,
maintain and operate telegraph r.nd
telephone lines along the lines of
said railroad, and to transact i com
mercial telegraph and express busi
ness; (2) To build, construct, own,
lease, charter and operate steam
boats, ve .els or other water craft
in connection with, or as a part of,
the business or operation'of said rail
road, or independently; (3) To con
duct a general warehouse business,
and to construct, lease, purchase or
otherwise t 6 acquire and 1 1 own,
operate and dispose of docks, whar
ves, terminals, harbors, -dips, stor
age and loading plants and lighter
age; (4) To acquire, hold and dis
pose of stocks and bonds of other
corporations; (6) To make, negotiate,
purchase, sell, discount, endorse, as
sume, insure, or guarantee any con
tract or contract obligation, bond,
note, mortgage or other evidence of
indebtedness connected in any man
ner with the business of the cor
poration or of any related corpor
ation; (0) To aid in the acquisition,
construction, maintenance, operation,
extension, improvement, betterment
or enlargement of any railroad, rail
road property or facility, or any
property thereafter proposed for rail
way übo or acquired by the corpor
ation or any related corporation,
whether title be in the name of the
company or of any related corpor
ation, and to lend its credit in uny
manner for any such purpose or to
any related corporation; (7) To exe
cute, join in or otherwise subject its
properties assets, presently own
ed or subsequently to be acquired, or
any part thereof, to any mortgage or
.other instrument or instruments .se
curing any bonds or other indebted
ness of the company, executed, cre
ated, or guaranteed by the company,
separately or jointly, with any per
son or person:*, or with any other
corporation or corporations; (8) To
enter into lease, trackage or operat
ing agreements with any one or more
persons, covering all or any of this
company’s properties; or all or any
of the properties of such other per
sons or corporation, or any of them.
(9. To retire, tiurchase. hold, and
re-issue, or sell its own Shock, bonds
or other forms of indebtedness, pro
vided that while owning its own
stock the same .shall not be voted.
The amount of capital stock of the
proposed corporation will be- Three
Hundred Thousand Dollars ($309,-
00.00) of common stock, divided
into three thousand (3,000) shares of
the par value of §IOO.OO each.
The corpoiation is to continue for

City of Savannah, Georgia; the orga
nisation, meeting of the stockhold

Petitioners intend in good faith

said railroad.

associates, successors and assigns, be
incorporated and made a body poli
tic under the laws of this State for
the full term aforesaid, with all of
the rights, privileges and immunities

hereafter be given and conferred

Petitioners have heretofore given,
notice of their intention to present
this application for charter by the
publication of this petition in the
newspapers in which sheriff’s adver-j
tisemenis are published in each of the
counties through which said railroad
will run, once a week for four weeks.

The deed above referred to author
izes and empowers the said W. J. Til
son and Charles D. McKinney, Trus
tees for bondholders, to sell the
property hefein described upon the
failure of the said J. C. Shields to
pay any principal or interest note
secured by said trust deed, and,
whereas, the said J. C. Shields has
failed to pay interest coupons aggre
gating thtf' sum of $840.00, which
matured January 19, 1926, and in
terest coupons aggregating the.sum
of $640.00, which matured July 19,
1926, and the said W. J. Tilson and
Chas. D. McKinney, Trustees for
bondholders, demanded payment of
same, which has been refused, the
said W. J. Tilson and Chas. L. Mc-
Kinney, Trustees for the bondholders,
has declared the entire series of said
bonds, which aggregate the sum of
sixteen thousand (16,000.00) dollars,
in default, due and payable.
Therefore, by virtue of the powers
conferred by said trust deed, the
said described property will be sold
as the property of the said J. C.
Shields, by W. J. Tilson and Chas.
D. McKinney, Trustees for bond*-
holders, to the highest bidder for
cash at the time and place above in
dicated, and the proceeds will be ap
plied, first, to the expense of con
ducting the sale, then to the pay
ment of said indebtedness, and the
remainder, if any, to J. C. Shields,
as provided in said deed. This 2nd
day of August, 1926.

COMMISSIONERS SALE
Georgia, Jackson County. Pursu
ant to an order of the superior court
of Jackson county, granted on the
4th day of August, 1926, we, Claud
Barnett, Clifton Barnett and J. A.
Standridge, as commissioners, will
sell to the highest bidder for cash at
the court house door in the county
of Jackson, on the first Tuesday in
September, 192 G, within the legal
hours of sale, the following described
property,
A certain tract or parcel of land,
situated, lying and being in Jackson
county, Georgia, and containing
thirty-one and one-fourth (31 1-4)
acres, more or less, known as a part
of the Amanda Williams place, and
being the place where Ebb Williams
now resides, in Harrisburg district,
ami adjoining lands of Y. D. Maddox
and .others, with the improvements
thereon.
This property will be sold in pur
suance to the above mentioned ord
er, which is of file in the Clerk's of
fice, superior court, Jackson county,
-and said land is being sold under
partition proceedings, so that the pro
ceeds arising therefrom can be dis
tributed in accordance with the par
tition proceedings. The sale of the
said land is made subject to the
confirmation of the court. If sale
is confirmed, deed will be executed
pursuant to the laws regulating par
tition proceedings.
