with the privilege of increasing the

of said corporation and to secure any
debt or liability by mortgages, se
curity deed* or other form of liens
under existing laws.
7. They desire for said incorpora
tion the power and authority to ap
ply for and accept amendments to its
charter in either form or substance
by a vote of a majority of its stuck
holders at the time. They also
ask authority for said corporation to
wind op its affairs, liquidate and
discontinue its business at any time
it may determine to do so by a vote
of two thirds of its stock outstanding
at tile time.
They desire for said corporation to
renew, or the right to renew
when and as provided by the laws
of Georgia, and that it have all such
oilier rights, powers, privileges and
immunities as arc incident to like
incorporations or arc pcrmissahlo
under the laws of Georgia.
Wherefore petitioners pray to bo
incorporated under tin* name and
style of the Mi. Vernon Hotel Com
pany as aforesaid with the powers,
privileges ami immunities hcieiu set
forth, and as are now or may here
after be, allowed a corporation of
similar character under the laws of)

Petitition for Charter Sur
render.
State of Georgia—Montgomery Coun
ty.
To the Superior court of said county:
The petition of Mount. Vernon Drug
Company respectfully shows to the
court the following facts to-wit.
1. That your petitioner Isacorpor
ation, its charter having been grant
ed by tin order of the Superior Court
of Montgomery County. Georgia, on
the Kith day of May 190tt.
2. That petitioner- was incorpor
ated for the purpose of conducting h
general drug business to buying and
selling drugs, patent medicines, fill
ing piescriptlous, inlying and selling
tobacco, cigars, cigarettes, handling
school books, writing paper and en
velopes, tablets, pencils and a gen
eral line of stationery; and in dis
pensing coca cola, soda water and
other soft drinks and ice cream; as
well as such other articles of mer
chandise usually and commonly
carried by an up to date drug busi
ness; and that toe period of said in
corporation was for ‘twenty years
witli the privilege of renewing at the
expiration of said term.
3. Petitioner shows further that
since t lie gi anting of its said charter
and franchise aforesaid it lias actual
ly and continuously been actively
engaged in the business specified in
its petition for charter,
1. That its capital stock is Two
Thousand ($2000.00) Dollars divided
into shares of one hundred ($100.00)
dollars par value.
5. That at a meeting of the stock
holders of said corporation held on
the 3rd day of April 1920 a resolution
was passed by said stockholders
owning two thirds of the capital
stock thereof resolving that said coi
porntion shall surrender its charter
and franchise to tin; State and he
dissolved as a corporation.
rt. Petitioner shows further to the
court that such dissolution may he
allowed hy the court without injus
tice.being done to any stockholder
thereof, or lo any; persons, Anns or
corporal ions having claims or de
mands of any character against the
said corporation aforesaid.
7. Petitioner shows farther that, il
is amply solvent, and that prior to
i lx* time of its surrender of its charter
and franchise to the State and its
dissolution by proper order of this
court, it will off all of its debts
and make an equitable division and
distrioutlon of all of its assets among
its stockholders aforesaid,

9. Petitioner shows further that
the resolution adopted at said stock
holders meeting, asking that said
corporat ion surrender its charter and
franchise to the State and be dissolv
ed as a corporation, specifies that the

and after June 80th, 1920; and pe
titioner desires that the court, in its
order of dissolution provide that the
Mime take effect on and after June 30,
1920.
Wherefore, petitioner prays that
this court grant au order setting a
time for tln* hearing of said petition
during the regular May term, 1920,
ol the Superior Court of Montgomery
county, Georgia, at the court house
of said county, and directing that
said petition be tiled in the office of
the Clerk of said court, and that a
copy of litis petition and the order of
tin* court be published once a week
for four weeks in tin* newspaper
wherein sheriffs sales in and for said
enmity arc published; and petitioner
will ever pray.

holders wished to surrender their
charter and franchise to the State
and have said corporation dissolved,
at w hich meeting was present J. F.
Currie who owns alt of the capital
stock of said corporation, and at
which meeting the said J. F. Currie
offered the following resolution:
Resolved, That on and after June
noth. 1920. the corporation of the
Mount Vernon Drug Company shall
surrender its charter and franchise
to the State and be dissolved as a
corporation; and that said corpora
tion take such necessary steps to
bring about such dissolution as will
make the same effectual on and after
June 30th, 1920. This the 3rd dav of
April, 1920.
