Franchise, Etc.
GEORGIA- Newton County.
To the Superior Court of said
county:
The petition of the Porterdale Mer¬
cantile . Company respectfully to the
court shows:
FIRST—Petitioner is a corporation
|!uly organized under the laws of said
state, with its principal place of busi¬
ness or office at Porterdale, Georgia,
said county, under a charter legally
granted by this court on tlie 9th.
of May, 1919, and at chambers of
said court.
SECOND—At a meeting of the
stockholders of said corporation duly
called for the purpose, held at the of¬
fice of said corporation in the town of
Porterdale, Georgia, on the 17th day
of April, 1920, a resolution was adopt¬
ed by the affirmative vote of more
than two-thirds of the owners of
capital stock of said corporation, and
more than two-thirds of the

being all of the 2500 shares outstand¬
ing) resolving and asking that said
f corporation surrender its charter and
franchise to the state, and be dissolved

the statute for such cases made and

THIRD—That such dissolution may
be allowed, without injustice to any
stockholder of said corporation or to
any person having claims or demands
of any character against said corpora¬
tion.
FOURTH-That all debts and obli¬
gations of said corporation have been
paid off and discharged, or satisfac¬
torily settled, and no claims or de¬
mands of any character stand against
said corporation to prevent the disso¬
lution thereof.
Wherefore, the premises considered
petitioner prays: (1) That it he al¬
lowed to surrender its charter and
franchise as a corporation to the state,
and he dissolved as such a corporation

(2) That ibis court accept the surren¬
der of said franchise and charter. (3)
'That the court grant an order setting

this petition as prescribed by law.

Vt a meeting of the stockholders ol
the Porterdale Mercantile Company,
called specially for the purpose of con¬
sidering the question of dissolving said
corporation and surrendering the cahr
ter and corporate franchise of said
corporation to the state, held at the
office of said corporation in the town
of Porterdale, Newton county, Geor¬
gia, this day, there were present the
following stockholders, to-wit,:
O. W. Porter and J. L. Elliott, who
own the entire capital stock.
And whereupon the following reso¬
lution was offered and adopted unani¬
mously by a vote in the affirmative of
2,500 shares, and a vote in the nega¬
tive of no shares, to-wit:
Be it resolved by the stockholders of
corporation existing ’under a charter
granted by the Superior Court of New¬
ton County, at chambers, May 9, 1919,
of said court.
(1) That said corporation surrender
to the state of Georgia its charter and
franchise as provided for by the Act
of the General Assembly of said state,
approved August 13, 1910, and em
bodied in Code sections 2823, et seq
of Park’s Annotated Code of the State
of Georgia.
(2) 'That saitl corporation be dissolv¬
ed as a corporation as provided for hv
said Act.
(3) That the president of said cor¬
poration, together with the secretary
and treasurer thereof and. they are
hereby authorized and directed to

necessary steps to carry into effect this

Notice to the Public as to Revision of
Rates Proposed by Georgia Railway
& Power Company.
Notice is hereby given that Georgia
Railway & Power Company has applied
to the Railroad Commission of Georgia
for the approval of a revised and in¬
creased scale of rates proposed by it
for electric current for residential,
commercial, industrial and municipal
power, the proposed revised scale to
apply in all cities and towfls and to all
industries supplied by the petitioner.
Said Company has also applied for
a’ revision in its gas rates in the City
of Atlanta and suburbs served by said
Company with gas for illuminating,
heating and cooking purposes.
The said Company has also applied
for the approval of an increase in its
street car fares in Atlanta and su¬
burbs, including the Atlanta and Stone
Mountain line, but excepting such fares
as are fixed by contracts between the
Company and the cities of Decatur and
College Park.
The proposed scale of rates and
fares are on file with the Mayors of j
each town or city where the Company
is serving the public and are open to
inspection by the public.
The above stated application will be
heard by the Railroad Commission of
Georgia, beginning at ten o’clock, a
in.-, on Tuesday, June 8, 1920, at its
offices in the State Capitol, Atlanta, at
which time and place interested parties
will be afforded the opportunity of
being heard orally or in writing. This
notice is published by order of
Railroad Commission of Georgia.
