To the Superior Cocft of said County: The petition of Taylorsville Trading Company, of said Couniy, respectfully shows: 1. That said Taylorsville Trading Com pany, after compliance with all the re quirements of law, was duly incorpor ated on the 17th day of September, 1898, by the Superior Court of said County, as appears upon the records of said Court. That said Charter was ac cepted by the original Corporators and the Corporation organized in accord ance with the laws of the State of Georgia, and has been continuously transacting business as a Corporation, under its Charter, since its organiza tion. That there are no amandments to its Carter. 2. Petitioner further shows that its original Charter will expire on Sep tember 17th, 1918. 3. Smith, Lester Pettit, W. A. Jackson, J. A. Layton, J. M. Field, R. Pyron, J. W. Guyton, H. G. B. Turner, A. T. Quinn and Joseph Cain, of Bartow County, Georgia, respectfully shows: 1. That they desire for themselves, their associates and sucessors, to be incorporated and made a body politic under the name and style of FARM ERS GIN AND FERTILIZER COM PANY, lor the period of twenty years. 2. The principal office of said corpora tion shall be in the city of Cartersville, said state and county, but petitioners desire the right to establish branch offices within the state, or elseww’here, whenever the holders of the majority of the stock may so determine. O The object of said corporation is pecuniary gain to itself and its stock holders. 4. The business to be carried on by said corporation is operating cotton gins and presses, ginning and packing cotton for its customers, the purchase of cotton seed and products, the man ufacturing and the buying and selling fertilizers. 5. The capital stock of said corporation shall be TWELVE THOUSAND DOL LARS, w r ith the privilege of increasing same from time to time, to the sum of twenty thousand.dollars in the aggre. gate, by a majority vote of the stock holders, said stock to be divided into shares of one hundred dollars each. Ten per cent of the amount of cap- 1 ital to be employed by them has been actually paid in. Petitioners desire the right to receive property, real or personal, at its fair market value, in payment for its capital stock. 6. Petitioners desire the right to sue and be sued, to plead and be implead ed, to have and use a common seal, to make all necessary by-laws and regu lations, and to do all other things that may be necessary for the successful carrying on of said business, including the right to buy, sell and hold real estate and personal property, suitable to the purpose of the corporation and to execute notes and other evidences of indebtedness incurred, or which may be incurred, in the conduct of the affairs of th 4 corporation, and to se cure the same by mortgage, security deed, or other form of lien under ex isting laws. 7. They desire for said corporation the power and authority to apply for and accept amendments to its charter, either in form or substance, by a ma jority vote of the stock outstandnig at the time. 8. They desire for said corporation the right of renewal when and as provided by the laws of Georgia and that it have all such other rights, powers, privileges and immunities as are inci dent to like corporations, or permissa ble under the laws of Georgia. They also desire for said corporation au thority to wind up its afairs, liquidate and discontinue its business at any time it may determine to do so, by a vote of two-thirds of its stock out standing at the time. Wherefore, petitioners pray to be incorporated under the name and style aforesaid, with the powers, privileges and immunities herein set forth and as are now, or may hereafter be allow ed a corporation of similar character under the laws of Georgia. Three (3) cents on the one hun dred dollars, to pay Sheriffs, Jailers, or other officers fees, that they may be entitled to out of the county. 4th. T\#> (2) cents on the one hun dred dollars, to pay the expenses of the county for bailiffs at courts non resident witnesses in criminal cases, fuel, statonery and the like. sth. Two (2) cents on the on? hun dred dollars, to pay expenses incurred in keeping the poor of the county, and as otherwise prescribed in the code of Georgia. 6th. Five (5) cents on the one hun dred dollars to pay jurors a per diem compensation. 7th. Forty (40) cents on the one hundred dollars, for pay public road fund, for the purpose and as provided in section 696 of the Code of Georgia, as amended by the Act of 1911. Bth. Thirteen (13) cents on the one hundred dollars, to pay* any’ other law ful charge against the county. Said sums aggregating one dollar and twenty cents on the one hundred dollars, on the taxable property of said county, for county purposes as aforesaid, for the year 1918. It is further ordered that this order be spread upon the minutes of this, court, the same published and a copy furnished the tax collector as provided by law. It is hereby ordered by the Board of Aldermen of the City of Cartersville, that there be, and is hereby levied a tax of One Dollar and fifty cents on the One Hundred Dollars upon all the tax able property in said city, as per the city tax digest for the year 191 Sand any other property in said city, real and personal, subject to taxation, for city purposes for said year, to-vit: 1. Twenty-five cents on the One Hun dred Dollars for a public school fund, as provided by law. 2. Twenty-five cents on the Hundred Dollars, to provide a sinking fund, to pay the principal of the outstanding bonds of said city, and the interest thereon, to become due on January 1, 1919, and July 1, 1919, as required by the ordinances of said city providing for the issue of said bonds. 3. One hundred cents on the Hundred Dollars for the support and mainten ance of said city, for police, streets, sanitation, fire department, oublic util ities, and other necessary current ex penses, and other lawful charges against the city for said year 1918. - It is further ordered that the Tax Collector of said City collect said taxes as provided by law and the charter of said city.
