Petitioners desire for themselves,
their Associates and Successors to
be incorporated under the name of
GAR CORPORATION.

The object of said Corporation is
to be pecuniary gain and profit.

to be transacted is as follows:
To purchase, improve, develop,
lease, exchange, sell, dispose of, and
otherwise deal in and turn to ac
count, Real Estate; to purchase,
lease, build, construct, erect, oc
cupy and manage dwellings and
buildings of every kind and char
acter whatsoever; to finance the
purchase, improvement, develop
ment, and construction of land and
buildings belonging to or to be ac
quired by this Corporation, or any
other person, firm or corporation,
and to do and perform any and all
other acts or things necessary,
proper, convenient or incidental to
the furtherance or carrying out of
the powers or purposes herein
mentioned.

Petitioners desire further that said
Corporation be vested with all of
the rights and powers now or here
after given to do any and all things
which may be needful or proper in
the operation of the above de
scribed busmess or businesses, and
that said Corporation have all of
the powers enumerated in Sections
22-1827 and 22-1828, Georgia
Code Annotated, and such other
powers as may hereafter be given
by law.

The maximum number of shares
of stock shall be Fifty Thousand
(50,000) of the par value of One
($1) Dollar per share, all of which
shall be common stock.

which the Corporation shall begin
business shall not be less than One
Thousand, Five Hund re d
($1,500.00) Dollars. The Corpora
tion shall be authorized to issue
additional stock up to the maxi
mum above stated, and therefore
from time to time, to reduce the
amount of capital outstanding, but
not below the minimum above
stated, and all this upon a majority

tion is to have existence is Thirty
Five (35) years with the privilege of

By Laws may be amended.

whatever kind or wherever situated.

There shall be outstanding one
class of stock which shall be
common stock with a par value of
SI.OO per share. Each share shall
have equal voting rights, together
with preemptive rights. The corpor
ation shall be authorized to have
issued and outstanding at any one
time 10,000 shares of such
common stock.
4.
The amount of capital with which
the corporation shall begin business
shall not be less than $500.00.
The principal office of the
corporation shall be located in
Clayton County, Georgia, but the
corporation shall have the right to
establish branch offices and places
of business elsewhere in the State
of Georgia and shall have the right
to franchise for a good and valuable
consideration such branch places of
business.

Attached hereto as Exhibit “A” is
a certificate from the Secretary of
State of the State of Georgia stating
that the proposed name of
“RIVERDALE FOODS. INC.” is
not the name which is being used
by an existing corporation in the
State of Georgia.

The said corporation shall have all
the rights, privileges, and immuni
ties which are now or may hereafter
be granted by the laws of the State
of Georgia to similar corporations.

The Clayton County Commission
ers of Roads and Revenue held a
special called meeting at 9:30 a.m.,
Thursday, August 15. 1968. The
following members were present:
P. K. Dixon, James A. Duncan, and
Tommy E. Vaughan.
Judge W. H. Reynolds appeared
before the Board to protest the
conditions existing on Reynolds
Road: Water running over the road
during heavy rains, shoulders wash
ing away, mud and debris washing
into the road from housing develop
ment, and insufficient drain ditches
at this location.
Motion by Mr. Dixon, second by
Mr. Vaughan that the position of
Field Appraiser in the Tax Assess
or’s Office be reclassified as recom
mended by the Tax Assessor Board.
Vote unanimous.
Motion by Mr. Duncan, second
by Mr. Vaughan that the 1968
permanent budget in the amount of
$3,029,473.00 be adopted. Vote
unanimous.
Motion by Mr. Duncan, second
by Mr. Vaughan that the Clayton
County Fire Department per
manent budget for 1968 in the
amount of $298,851.00 be
adopted. Vote unanimous.
Motion by Mr. Dixon, second by
Mr. Duncan that the following tax
levy be adopted for 1968:

The petition of Marvin P. Hall
ford to rezone property from A-Ag
to C-4, in Land Lots 139 and 150
of the 12th District on Rex Road,
was presented to the Board. Motion
by Mrs. Vaughan, second by Mr.
Duncan that the petition be de
ferred. Vote unanimous.
The petition of Northcutt,
Edwards, and Doss to rezone prop
erty from R-2 to C-3 in Land Lot
40 of the 13th District on Riverdale
Road, was considered by the Board.
Motion by Mr. Vaughan, second by
Mr. Duncan that the petition be
approved. Vote unanimous.
The petition of A. J. Hughes for a
Conditional Use Permit for a Chil
dren’s Day Care Center, located in
Land Lot 183 of the 13th District,
on Highway 85, was presented to
the Board. Motion by Mr. Duncan,
second by Mr. Vaughan that the
request be granted. Vote un
animous.
The petition of Mrs. A. M. Morris
to rezone property from R-2 to
C-3, located in Land Lots 178 and
179 of the 13th District, on the
South Expressway was presented to
the Board. Motion by Mr. Duncan,
second by Mr. Vaughan that the
petition be approved. Vote
unanimous.
The petition of the Second Bap
tist Church of College Park, for a
Conditional Use Permit for the
purpose of building a church,
located in Land Lot 90 of the 13th
District, on Crystal Lake Road, was
presented to the Board. Motion by
Mr. Vaughan, second by Mr. Dun
can that the petition be approved.
Vote unanimous.
The petition of Miller Wood
Company to rezone property from
A-Ag to R-1A and R-3, located in
Land Lots 108 and 109 of the 12th
District, on Maddox Road, was
presented to the Board. Motion by
Mr. Vaughan, second by Mr. Dun
can that the petition be approved.
Vote unanimous. Mr. Dixon ab
stained.
Motion by Mr. Vaughan, second
by Mr. Duncan that the following
resolution acquiring property for
the Clayton County Fire Depart
ment be adopted:

Expansion
Construction of Southern
( Bell’s facilities in Georgia near

l ord year of telephone growth
and expenditures in the state.
Jasper Dorsey, Georgia Vice
President, said that the
company now plans to spend
slOl million on expanding and
improving facilities in Georgia
during 1968 some $13.8 mil
lion more than had been antici
pated at the beginning of the
year.
The increased expenditures
are necessary to keep pace tele
phone-wise with rapidly rising
apartment complexes, office
buildings, shopping centers and
new homes throughout the
state.
K. G. Byers, Southern Bell’s
district manager in southwest
Atlanta, said work in the local
area has figured in the in
creased Southern Bell invest
ment plans. He cited the com
pany's new building in Adams
ville as an example of work
being done in the southwest
Atlanta area to expand and im
prove telephone service.
Southern Bell now has more
than 15,000 employees in
volved in Georgia operations,
an increase of over 1,000 from
the figure this time last year.
Mr. Dorsey says the accelerated
improvement and expansion
program accounts for much of
the increase in manpower.
