Petitioners desire to be in
corporated under the name and
style of EAGLE BUILDERS OF
ATLANTA, INC., for a period of
thirty-five (35) years with the
privilege of renewal as provided bv
law.
2.
The principal office of the corpo
ration shall be in Clayton County,
Georgia, but the corporation shall
have the right to establish branch
offices and places of business else
where, both within and without the
State of Georgia.
3.
The object of said corporation
shall be pecuniary gain to itself and
its stockholders. The general nature
of the business to be transacted by
the corporation shall be the con
struction, erection, repairing and re
modeling of buildings and struc
tures of all types for itself and
others, including landscaping, and
to conduct a retail business of any
sort and the right to grant fran
chises.

In addition to, but not in limita
tion of, the general powers con
ferred by law, petitioners desire for
said corporation the power to lend
money and extend credit; the
power to buy, hold for investment,
sell, lease, rent, operate, manage
and otherwise deal in properties of
every kind and description, whether
real or personal, without any limita
tion or restriction whatsoever; the
power to construct buildings, to
survey, subdivide, improve and
develop land; the power to enter
into any contract of guaranty,
suretyship or endorsement in which
it shall have no direct interest, and
to make any purely accommoda
tion guaranty, endorsement or con
tract of suretyship and to secure
the same by mortgage or pledge or
otherwise; the power to provide for
pension, retirement, or similar aid
to its officers or employees; to
compensate its officers or em
ployees by bonuses or other forms
of retroactive payment; the power
to enter into partnerships, joint
ventures and associations; the
power to borrow money, issue
bonds, promissory notes and other
obligations and evidences of in
debtedness, and to secure the same
by mortgage, pledge or otherwise;
the power to carry on any lawful
business; and the power to do any
thing whatsoever that may be
deemed necessary, proper, useful or
incidental to carry on its business.
5.
The maximum authorized capital
stock of the corporation shall be
10,000.00 having a par value of
SI.OO per share. Stockholders of
the corporation shall have no pre
emptive rights to purchase or sub
scribe to any additional shares of
the capital stock of the corpora
tion.
6.
The amount of capital with which
the corporation shall begin its
business shall be at least $500.00
dollars.
7.
The name of the proposed
corporation is not the name of any
other existing corporation regis
tered with the Secretary of State of
the State of Georgia and petitioners
exhibit herewith Certificate of the
Secretary of the State of Georgia so
cert ify ing.
WHEREFORE, petitioners pray
that this application for charter be
granted and that they be incorpo
rated under the aforesaid name
with all the rights, powers,
immunities, and privileges herein
above set forth and such others as
may be now or hereafter allowed to
corporations of like character under
the laws of this State.

Petitioners desire for themselves,
their associates and successors to be
incorporated under the name of
EPPCO. INC., for a period of
thirty-five years, with the privilege
of renewal.

The object of said corporation is
pecuniary gain.
3.
The general nature of the business
or businesses to be transacted is as
follows:
To operate or have operated any
aircraft or flying machine, as a
private or aircraft carrier, for the
purpose of towing, aerial advertise
ment paraphernalia, as well as,
towing sail and other types of air
craft; and for the further purpose
of carrying passengers or freight, or
either, from and to any point in
any state of the United States, and
to and from any point in any of the
territories or possessions of the
United States, or any foreign coun
try, with the right to acquire, by
purchase or otherwise, and to main
tain all necessary starting and land
ing grounds and fields. To own,
lease, or acquire aircraft of all kinds
and to make contracts and to re
ceive charges or compensations for
performing any of the above
mentioned services and in general
to do any and all acts that may be
necessary, convenient, or pertinent
to any one of the above mentioned
objects. To give instructions and
training in the art of navigation and
aviation, installing, maintaining and
repairing aircraft and aircraft
engines and accessories of all de
scriptions, and in connection there
with to own and operate machine
shops, laboratories, and any and all
other necessary adjuncts; to
borrow, lend, lease, as lessor or
lessee, mortgage, rent, exchange,
transfer, sell or otherwise deal in
property of all kinds and entire
business entitites; to borrow and
lend money; and as an accommoda
tion or otherwise, to guarantee or
to become surety on any obliga
tion, with the usual and necessary
services for itself and others in the
aforesaid businesses and all other
businesses related thereto.
4.
Petitioners further desire that said
corporation be vested with all rights
and powers now or hereafter given
to do any and all things which may
be reasonable or proper in the
operation of the above described
business or businesses, and said
corporation shall have all the
powers enumerated in Sections
22-1827 and 22-1828, Georgia
Code Annotated, as amended, and
such powers as may hereafter be
given by law. $
The number of shares of stock
shall be 10,000 in common voting
stock without par value; each share
of common stock to have equal
voting rights, powers and im
munities; with the right, at any
time, by a vote of the majority of
stockholders, to increase the
number of shares and to establish a
par value. The amount of capital
with which the corporation shall
begin business with shall be not less
than $1,000.00.

They desire for themselves, suc

incorporated under the name and
style of EAST COAST
RESTAURANTS, INC., for a
period of thirty-five (35) years,
with a right of renewal as provided

The purpose of the corporation is
pecuniary gain to its stockholders.

The general nature of the business
or businesses to be transacted is as
follows.
(a) To own. hold, rent, control,
lease, operate, conduct and engage
in the restaurant business.
(b) To introduce, erect, operate,
conduct, manage, maintain and
carry on a restaurant, case and
cabaret business; to buy, sell, lease,
or otherwise dispose of. and to
operate, conduct, furnish, equip,
and manage restaurants, inns, eating
houses, taverns, cabarets, cases, or
places of entertainment, and
generally to do and perform every
thing necessary for carrying out the
aforesaid purposes. To buy, or
otherwise acquire, manufacture,
market, prepare for market, sell,
deal in, and deal with, import, and
export food and food products of
every class and description, fresh,
canned, preserved, or otherwise,
and to prepare and serve all food,
beverages, alcoholic, or nonalcohol
ic, and other preparations and re
freshments of all kinds.
(c) To operate, conduct, estab
lisn, and maintain a business
devoted to the sale of restaurant
supplies and restaurant supply
equipment, both wholesale and re
tail, and to engage in such other
business in connection therewith,
and in the sale of such other com
modities as may be advantageous to
the corporation.
(d) To expand its business
through independent franchise and
franchise operators, by means of
initial fee and royalty fees or other
means under a name and with a
product developed by said corpora
tion, as well as the right to under
take, to sell for a specific price all
of the signs and equipment in the
operation of the business covered
by state franchise and other rights,
as design of the physical structure,
sources of supply, standards of
quality and service, maintenance
and repair of the premises, rights of
physical inspection, selection of
personnel, supervision and in
spection of records, advertising
methods and expenditures, prohibi
tions against sale or mortgage, and
recapture rights on termination.
4.
Petitioners further desire that said
corporation be vested with all rights
and power now or hereafter given
to do any and all things which may
be needful or proper in the opera
tion of the above described busi
ness, and said corporation shall
have all the powers enumerated in
Sections 22-1827 and 22-1828,
Georgia Code Annotated, and such
powers as may be hereafter given
by law.
5.
The maximum number of shares
of stock shall be 250,000 shares of
common stock of the par value of
One Dollar ($1.00) each. The
amount of the capital with which
the corporation shall begin business
shall not be less than $1,000.00.
The corporation shall be authorized
to issue additional shares up to the
maximum sum after the above
stated amount from time to time.
6.
The time for which said corpora
tion is to have existence is thirty
five (35) years, with the privilege of
renewal of the charter from time to
time, upon the expiration of said
period of thirty-five (35) years.
The county in which the principal
office of the corporation is to be
located is Clayton County, Georgia,
but the privilege is desired to estab .
lishing branch offices and places of
business both within and without
the State of Georgia.
8.
Petitioners further desire that
by-laws of the corporation shall be
adopted by the common stock
holders and such by-laws shall pro
vide for the officers of the corpora
tion, the manner of their selection,
and such other rules appropriate to
by-laws which have as their purpose
the control and management of the
corporation, including provisions
whereby the by-laws may be
amended.
9.
Petitioners herewith exhibit cer
tificate of the Secretary of the
State of Georgia as required by
Section 22-1803, Georgia Code
Annotated.
10.
The corporation shall have the
power to amend, alter, change or
repeal any provision of its charter
in form or substance upon the vote
of two-thirds of its outstanding
common stock and all rights con
ferred upon stockholders, directors
and officers herein are granted sub-
ject to this revision.
WHEREFORE, petitioners pray
to be incorporated under the name
and style aforesaid with all the
rights, powers, privileges and
immunities herein set forth, and
such additional rights, powers and
privileges as may be necessary,
propet or incident to the conduct
of the business aforesaid, and as
may be inherent in or allowed to
like corporations under the laws of
the State of Georgia as they now
exist or may hereafter exist.

of the contracts so guaranteed,
provided the Board of Directors of
this corporation determine that the
subject matter of said contract is
incidental to the business of this
corporation; and
(b) To be and become a partner
or a joint venturer in any business
or venture incidental to the bus
iness of this corporation.

This corporation shall have only
one class of capital stock, which
shall be common stock, having par
value of one dollar ($1.00) per
share, and which shall be issued
upon the following terms and con
ditions:

issued and outstanding at any one
time shall not exceed 50,000

BE IT RESOLVED and it is here
by resolved that the above referred
to resolution is amended effective
as of the date of the signing here
under as follows:
1.
By adding under Article IV,
Section 43. a new section des
ignated as Section 43.1 to read as
follows:
"Sec. 43.1. At the time an appli
cant files his application for re
zoning, in addition to the other
requirements set forth in the
resolution, a deposit of a One
Hundred Dollar ($100.00) fee shall
be required to be paid.

Section 102 by adding a new
