PETITION FOR CHARTER OF
NON PROFIT CORPORATION
GEORGIA, DADE COUNTY
TO THE SUPERIOR COURT OF
SAID COUNTY:
The (petition of ARTHUR
PFLUG, HARLEY MOORE and
H. B. GRIFFIN, respectfully
shows to the Court:
1.
Petitioners desire to be incor¬
porated and made a body cor¬
porate under the laws of this
State under the name and style
cf WEST BROW COMMUNITY
LEAGUE, INC.," for a period of
thirty-five (35> years, with full
right of renewal as may be pro¬
vided by law, with its principal
office at „he West Brow Com¬
munity League, Inc... Commun¬
ity House, Rising Fawn, Geor¬
gia, Route No. 3, Dade County,
Georgia, when the same is
erected, and at some point in
the community and county at
said address to be designated
by the Board of Directors, prior
to .he construction of said
community house.
2.
The object and purpose of
said organization is as follows:
To better t*ie conditions of the
schools, churches, and commun¬
ity generally; to cooperate with
public officials for the better¬
ment of the conimuni.y; to in¬
culcate a sense of individual
obligation to the community,
state and nation; to promote
business and good will in the
community.
3.
Said corporation is not or¬
ganized and shall not be oper¬
ated for pecuniary gain or pro¬
fit and it shall have no capital
stock.
4.
No part of the property of
said corporation and no part of
its net earning shall ever at any
time inure .o the benefit of any
private individual. The West
Brow Community League, Inc.
shall be absolutely non political
and non sectarian and shall
net be used for the dissemina¬
tion of partisan principles or
help the promotion of the prefer¬ can¬
didacy of any person, or
ment, or personal gain.

applicants is Rising Fawn,
Georgia, Route No. 3.

The corporation shall have
the power and authority to ac¬
cept gif.s and contributions,
whether made by will or other¬
wise, in any form of property.
All such gilts and contributions
shall be devoted to the objects
and purposes of the corpora¬
tion.

The governing body of the
corporation shall consist of a
Board of five directors who
shall be elected for a period of
one year at, the regular annual
meeting of the members of the
corporation on the 1st Tuesday Officers
of May of each year.
and directors shall serve for
one year unless they shall re¬
sign or terminate their services,
and are removed from office as
provided in the by-laws. These
officers are also eligible for re-
election to succeed themselves
in office. In the event of with¬
drawal or resignation or dis¬
charge from the league, an in¬
dividual relinquishes his mem¬
bership, privileges and forfeits
any and all rights to corporate
assets or interest therein.
7.
The Board of Directors, by
majority vote, shall have the
power to adopt all rules and re¬
gulations consistent wLh the
charter and by-laws, upon ap¬
proval of the membership as
provided in the by-laws.
8.
All contributions received and
accepted shall be deveted ex¬
clusively to the purposes set
forth in this charter, the cor¬
pus and the income therefrom
being perpetually used for those
purposes.
9.
The Corporation shall have
the power in its discretion to
retain all contributions in the
original form in which they may
have been received, and also to
buy, sell, exchange, and other¬
wise deal in stocks, bonds, real
estate, and o.her terms of pro¬
perty at either public or pri¬
vate sale, without order of any
court or other authority, to in¬
vest and reinvest any funds be¬
longing to the corporation a
any time in such securities and
property, real and personal, as
the Directors, in their discre¬
tion, see fit, subject to appro¬
val by the members as provided
in the by-laws.

The officers of the corpora¬
tion shall be a President, Vice
Presiden., Secretary and Trea¬
surer, and such other officers
as may be authorized or requir¬
ed by the by-laws. The directors
may appoint such committees
and such ether officers, and de¬
legate to them such powers and
duties as in their discretion
may seem appropriate.
11 .
The Corporation, upon the
vote of a majori.y cf its Di¬
rectors, subject to the approval
of its members as provided in
the by-laws, shall have the
power to do and perform all of
the powers conferred by this
charter, or the laws of the State
of Georgia, and shall likewise
have all other powers, privi¬
leges, and Immunities which,
under the laws of the State of
Georgia now. or hereafter may
be vested in similar corpora¬
tions.

may be incorporated under the
Corporation Act of 1938, as
amended by the Acts of 1949,
page 953
