15th day of February, 1957 MRS
EVELYN R. WATSON did exe¬
cute and deliver to the ROSS-
VILLE FEDERAL SAVINGS AND
LOAN ASSOCIATION her certain
security deed, for the purpose of
securing the indebtedness there¬
in described, which security deed
appears of record in (Deed Book
50. Pages 324-30, Dade County,
Georgia Deed Records, reference
to which security deed is here
made for its full terms, provi¬
sions, and conditions: and
WHEREAS, the debt secured
by the security deed aforesaid,
has become in default as to
principle and interest, and the
.holder thereof has declared the
entire indebtedness owing
t h e r eb y at once due and
payable.
NOW, THEREFORE, pursuant
to the terms, provisions, and con¬
ditions of the aforesaid Security
Deed, the undersigned will of-
ifer for sale and will sell for cash
on the first Tuesday in Novem¬
ber (November 5), 1957, between
the legal hours of sale, at public
outcry before the courthouse
door in Trenton Dade County,
Georgia, the following described
property, to-wit:

Fawn, Dade County, Georgia,
being part of Land Lot No.
Eighty (80) in the 18th Dis¬
trict and 4th Section of said
State and County, particularly
described as follows: BEGINN¬
ING at the northeast intersec¬
tion of two unnamed streets in
Rising Fawn, Georgia, said cor¬
ner being identified as the
/southwest corner of what was
formerly known as the Tidwell
(home place, being the southwest
corner of the tract herein des¬
cribed; thence north 22 degrees
30 minutes west, along the east
side of a street which runs be¬
tween this property & the Bur¬
ton Kenimer property, 91.5 feet
to the southwest corner of the
Jacoway tract; thence north 63
degrees east, 78.5 feet, more or
Hess, to the southeast corner of
isaid Jacoway tract; thence
north 22 degrees 30 minutes
west, 5o feet to the northeast
corner of the Jacoway tract on

This tract includes ail of the
property described in deed from
Frank A. Hall to John B. Har¬
rison and wife, Mary Nell Har¬
rison. dated August 23, 1950, of
record in Book 39, Page 328,
Dade County Deed Records, and
all of the property included in
the deed from Mrs. Cleo E. Kiz-
ziah to John B. Harrison and
wife, Mary Nell Harrison, dated
February 5, 1955, of record in
Book 46, Page 60, of Dade County
Deed Records.
SUBJECT to all outstanding
/easements for public utilities.
SUBJECT to any and all out¬
standing taxes.
The property will be sold at
public outcry to the highest and
best bidder for cash in bar of ail
(equity of redemption, and will
be sold as the property of Mrs.
Evelyn R. Watson, her heirs and
assigns, the maker of the afore¬
said security deed, and said sale
will divest all of the right, title,
and interest of the said Evelyn
R. Watson, her heirs and as¬
signs, in and to said property,
and shall invest the same in the
purchaser.

The petition of J. C. Herman,
Ruth M. Herman and Calvin
Grant, hereinafter called Pet¬
itioners, respectfully shows:—

Petitioners desire for them¬
selves, their associates and suc¬
cessors, to be incorporated under
the name of “J. C. HERMAN
MANUFACTURING COMPANY.”
The principal office and place
ol business of said corporation
shall be located in Dade County,
Georgia, with the privilege of
establishing branch offices and
Peaces of business in such other
places as may be determined.

The post office address of
applicant, J. C. Herman, is Tren¬
ton, Georgia. The post office
address of Ruth M. Herman is
Trenton, Georgia. The post off¬
ice address of applicant, Calvin
Grant, is Idlewild Circle, Chat¬
tanooga, Tennessee.

The purpose and object of said
corporation is pecuniary gain
and profit. The general nature
of the business to be transacted
is and the corporate powers de¬
sired, are:—
(a) To manufacture and sell
at wholesale and at retail, furn¬
iture of all kinds and other pro¬
ducts as mav be determined, and
to do all things necessary or
incident thereto.
(b) To buy and sell, acquire,
own, hold, rent, lease, pledge,
mortgage, transfer and assign
both real estate and personal
property of every kind and char¬
acter and to deal with the same
in any way and manner that
may seem expedient.
(c) To have all of the powers
and enjoy all of the privileges
enumerated in Sections 22-1827,
22-1828 and 22-1870 of the Code
of Georgia, and all of the other
powers and privileges enum¬ and
erated in Chapters 22-18
22-19 of said Code and all
of the powers and privileges en¬
umerated therein are made a
part hereof to the same extent
as if the same were quoted
herein.

The time for which the cor¬
poration is to have existence is
thirty-five (35) years, with the
privilege of renewal of the char¬
ter from time to time upon the
expiration of said period of
thirty-five (35) years.

The amount of the capital will
with which the corporation
begin business shall be not less
than $1,000.00 either in cash or
other assets or a combination of
the two.

The maximum number o f
shares of stock that the cor¬
poration is authorized to have
outstanding at any one time
shall be two hundred and
fifty (250) shares of common
stock of a par value of one hun¬
dred dollars ($100.00) per share
and one hundred and fifty
(150) shares of preferred stock
of a par value of one hundred
dollars ($100.00) per share
A11 voting rights shall b e
held by the holders of the com¬
mon stock, each share of com¬
mon stock being entitled to one
vote. The preferred stock shall
have the rights, privileges and
immunities hereinafter set forth
and shall contain the following
provisions, to-wit:—
(a) DIVIDENDS: Holders of
the preferred stock shall be en¬
titled to receive, when and as
declared by the Board of Dir¬
ectors, from the annual net
profits and net assets, in excess
of the capital of the corporation, of
yearly dividends at the rate
Five Dollars ($5.00) per share,
and no more; the dividends to
be cumulative and paid before
any dividend on common stock
shall be paid or set apart.
(b) PR EFERENCE UPON
LIQUIDATION: In the event of
liquidation, dissolution or wind¬
ing up of the Company, either
voluntarily or involuntarily, the
holders of preferred stock shall
be entitled to be paid all unpaid
cumulative dividends and shall
share in the remaining assets
of the Company in preference
to the holders of the common
stock.
(c) REDEMPTION: The Com¬
pany may at its option, express¬
ed by vote of its Board of Dir¬
ectors, at any time or from
time to time, redeem the whole
or any part of the outstanding
preferred stock. The redemption
price for such stock shall be the
par value of the stock, plus un-
p a i d accumulated dividends.
Notice of any proposed redemp¬
tion shall be given by the Com¬
pany by mailing a copy Dy of oi such sucn
notice at least fifteen days prior
to the date fixed for such red¬
emption to the holders of record
of preferred stock to be redeem¬
ed at their respective addresses
as shown on the books of the
Company. Dividends on the
stock called for redemption as
herein provided for shall cease
to accumulate from and after
the date fixed in such notice.
(d) RESTRICTIONS ON
CORPORATE POWERS: The
consent of the holders of two-
thirds of the preferred stock
shall be required for the creat¬
ion or issuance of any stock
having preference or rights sen¬
ior to the preferred stock, the
alteration, amendment or repeal
of any of the provisions hereof
relating to the preferred stock
in any manner prejudicial to
the holders thereof, or the mer-
gei or consolidation of the Com¬
pany with any other corporation
unless after such merger and
consolidation the p r ef e rred
stock shall be the senior secur¬
ity of the resulting or surviving
corporation.
(e) VOTING RIGHTS: The
preferred stock shall have no
voting rights except as may
from time to time be mandatory
under the laws of Georgia.

Applicants pray that the lia¬
bility of stockholders in said
corporation be confined to the
unpaid purchase price of the
stock subscribed for by each.
WHEREFORE, applicants pray
to be incorporated under the
name and style aforesaid, with
all the rights and privileges
herein set out and such addi¬
tional powers and privileges as
may be necessary, proper or in¬
cident to the conduct of the
business for which applicants
are asking incorporation and as
may be allowed like corporations
under the laws of Georgia as
they now or may hereafter exist.
