FIRST.
That they desire for themselves,
their associates and successors to be
incorporated and made a body poli
tic for the period of twenty years,
with the privilege of renewal at the
expiration of that time, under the
name and style of Cobb County Fair
Association,
+ SECOND.
The principal office of the sail
corporation shall be in the City of
Marietta, State and County afore
said, and the petitioners desire the
right to establish branch offices at
other places in this county and with
in and without the State. The abject
of the proposed corporation is the
upbuilding of the agricultural, min
eral, manufacturing and other vari
ous resources of Cobb County, Geor
gia, and the promotion of a more so
cial feeling, a better understanding
of the causes of achieved success, and
a larger sphere of interest and activ
ity, by bringing together the people
of this and other Counties of the
State of Georgia, and the possible
pecuniary gain of itself and its
shareholders.
THIRD.
The business to be carried on by
said Corporation is the running of a
County Fair, and the doing of anv
and all things which may be neces
sary, expedient, advisable, amusing,
or entertaining in connection there
with, and more particularly by plac
ing on exhibition any and all agri
cultural, mineral, or manufacturing
products, live stock, animals of any
and all kinds, farm produce used or
employed or produced in agricultural
pursuits, and the presentation of side
shows and places of amusement and
recreation, including races and any
and all other amusement appropriate
or incidental to a Fair or Exposition
and which may promote the interest
and welfare of the citizens of Cobb
County and other Counties of the
State of Georgia.
FOURTH.
The capital stock of said corpora
tion shall be Five Thousand Dollars,
with the privilege of increasing same
to the sum of Twenty Five Thousand
Dollars, by a majority vote of the
stockholders, said stock to be divided
into one hundred shares of Fifty
Dollars each. Ten per cent of the
amount of capital to be employed has
been actually paid in.
FIFTH.
Petitioners desire the right to sue
and be sued, plea and be impleaded,
to have and to use a common seal, to
make all necessary by-law and regu
lations, and to do all other things
which may be necessary for the suc
cessful carrying on of said busin=2ss,
including the right to buy, hold,
lease and sell real estate and person
al property, suitable to the purposes
of the corporation, and to execute
notes and bonds as evidence of any
indebtedness which may be incurred,
in the conduct of the affairs of the
corporation, and to secure the same
by mortgage security deed, or other
form of lien under existing laws.
SIXTH. '
They desire for said corporation
the power and authority to apply for
and accept amendments to this char
ter of either form or substance, by a
vote of the majority of its stock out
standing at the time. They also ask
authority of said corporation to wind
up its affairs, liquidate and discon
tinue its business at any time it may
be determined to do so by a majority
of its stock outstanding at the time.
SEVENTH.
They desire for said corporation
that it have all other such rights,
powers, privileges and immunities as
are incident to like corporations, or
permissibe under the laws of Geor
gia.
WHEREFORE, Petitioners pray
to be incorporated under the name
and style aforesaid, with the powers,
privileges and immunities herein set
forth, and as are now or may here
after be allowed a corporation of
similar character under the laws of
Georgia.
