PETITION FOR CHARTER.
STATE OF GEORGIA,
COBB COUNTY:-
TO THE SUPERIOR COURT OF
SAID COUNTY:-
The petition of Loring Brown,
William Fambrough and Mrs. E. C.
Fambrough, all of the county of Cobb
and State of Georgia, respectfully
shows: -
1 That they desire for themselves,
their associates and successors, to be
incorporated and made a body politic
under the mname and style of
“BELMCNT FARMS” :
for the pericd of twenty years, with
the privilege of renewal at the end of
said period.
2 The principal office of said
Compary shall be in Cobb County,
Georgia, but petiontioners desire the
right to establish branch offices
with in this State or elsewhere, when
ever the holders of a majority of t}u“
stock may so determine.
3 The object of said corporation is
pecuniary gain to itself and its stock
holders.
4 The business to be carried on
by said corporation is that of general
farming, poultry, livestock and dairy
business, in the buying and selling
and raising any and all kinds of farm
products, live stock, poultry, and
animals and fowls of all kinds
whether they are wuseful as food,
beasts of burden, sportng, pets or
otherwise. They also desire the right
to carry on a general merchandise
business in connection with said
other business above set out, and to
have the right to buy and sell any
and all kinds of merchandise, usual
ly handled in a general store and tc
do a general trading business.
5 The capital stock of the comp
any shall consist of fifty (50) shares
of common stock of the par or face
value of One Hundred ($100.00)
Dollars per share and fifty (50)
shares of preferred stock of the par
or face value of One Hundred ($100),
Dollars per share, with the right to
increase the said common stock te
not exceeding five hundred (500)
shares of the par or face value of
One Hundred ($100.00) Dollars per
share and with the right to increase
the said preferred stock to not ex
ceeding five hundred (500) shares
of the par or face value of One Hun
dred ($100.00) Dollars per share,
irom time to time, or in such pro
portion as the stockholders may de
termine. The rights of holders of
preferred stock shall be set forth and
determined by the by-laws to be a
dopted by the corporation at its first
meeting held for organization. Such
parts of said by-laws as relate to the
the rights of preferred stockholders,
shall not thereafter be altered or re
scinded without the unanimous con
sent of all of said preferred stock
holders, present and voting at such
meeting.
Petitioners desire the right to have
the subscriptions to said capital
stock paid in money or property or
contracts or other things of value at
a fair valuation.
6 Petitioners desire the right to
sue and be sued, to plead and be im
pleaded, to have and use a common
seal, to make all necessary by-laws
and regulations, and to do all other
things that may be necessary for the
carrying on of said business, includ
ing the right to buy, hold and sell
real estate and personal property, in
cluding stocks or bonds of other
corporations, to borrow money and
to execute notes or bonds as evidence
of indebtedness and to secure same
by pledges, mortgages, security deeds
or other form of lien under existing
laws.
7 They ask authority for said cor
poration to wind up its affairs,
liquidate and discontinue its business
at any time it may determine to don
S 0 by a vote of two-thirds of its
stock outstanding at the time.
And they desire such other rights
powers, privileges and immunities as
are incident to like incorporations or
permissible under the laws of Geor
gia.
Wherciore, petitioners pray to be
incorporated under the name and
style aforesaid with the powers, priv
ileges and immunities herein seot
forth.

cash and the balance in twelve
months to suit the purchaser, with
interest on deferred payments at
eight per cent per annum. .
Sold as the property of J. F. Cot
ton, deceased, for the purpose of
paying debts against said deceased
and for distribution among the heirs.
The right is reserved to sell said
lots and parcels of lots jointly or
separately, or to sell them in sep
arate parcels, one lot with a portion
of the other lot.
