kle-Butler Drug Co., which charter

said company from it’s present name
of the W.' A, Sams Drug Co. to that
of the MARCHMAN DRUG COM
PANY and that the Honorable Super
ior Court of said County be petition
ed to grant an order allowing an
amendment of its said charter ac
cordingly. ;
Petitioner herewith files a cerri
fied copy of said resolution as pass
ed and as appears of record upon itss
minutes,
WHEREFORE, petitioner prays an
order cf this Honorable Court grant
ing an amendment to petitioner’s
present charter so as to change it's
name from that of the “W. A. Sams
Drug Co.” to that of the MARCH
MAN DRUG COMPANY and that un
der said last name to continue to
have all the rights, privileges and
immunities, and be subject to the
same restrictions and limitations as
it now has under its present name
and style,

LETITION FOR CHARTER.
State of Georgia, Cobb County.
To the Superior Court of said
County.
The petition of J. W. Hancock.
R. J. Hancock and D. C. Hancock of
said State and County respectfully
shows:
(1) That they desire for them
selver, their associates, successors
and assigns, to be incorporated und&r
the name and style of the “MARIET
TA ICE AND CBAL COMPANY.”
(2) That they desire to be incor
perated under said name and style,
for the full period of twenty years,
with the right of renewal at the ex
piraticn of said time, as provided by
law.
(3) The particular business to be
carried on by said corporation is that
of manufacturing, buying and se'l
ing ice, either wholesale or retail.
and also of buying and selling either
at wholesale or retail all kinds of
ceal, wood and other fuel, either for
domestic, manufacturing or other
purposes. Petitioners further desire
the right of buying and erecting
manufacturing plants, for the pur
pose of manufacturing ice, and also
the right to sink wells to procure
water therefor.
{4) Petitioners further desire the
right to establish maintain and oper
ate a Cold Storage Plant in connec
tion with the Ice Plant aforesaid,
and to do a general cold storage
business: consisting of storing ali
kinds of cold storage products. such
as are of g perishable nature, and to
store, keep, and maintain in the
plant aforesaid all kinds of fruits,
vegetabies and meats of all kinds,
and any and all articles that neces
sarily require cold storage for thefr
preservation. Petitioners further de
sire the right to buy, sell, and other

wise deal in all kinds of cold storage
prcducts, such as may be necessary
in the conduct of its business as a
foresaid, and also the right to store
for rent or hire, all gosds of a perish
able nature. Peatitioners further de
iire the right to manufacture and
sell, either at wholesale or retail,
ice Creams of all kinds in connection
with its Ice business, and cold ster
age plant, as aforezaid.
(5) The capital stock of said cer
poration shall be Forty Thousand
Dollars, with the privilege of in
creasing the same by a majority vote
of the stock holders to a sum not ex
ceeding One Hundred Thousand Dol
lars. Said capital stock to be di
vided into shares of One Hundred
Dollars each.
(6) Petitioners further show
that more than fifty per cent of said
capital stock has actually been paid
in, and they desire that said capital
stcck be paid either in cash or in
property at a reasonable valuation.
(7) Peétitioners further show that
the ©bject of said corporation is pe
mlmiary gain and profit to its stock
holders.
(8) Petitioners further desire the
authority to buy, lease, hold, sell, or
otherwise acquire and dispoze of any
and all real estate or personal prop
erty necessary or convenient to tne
operation of its business and to issu»
such notes, bonds, or other evidence
of debt as such corporation may de
sire and deem necessary, and secure
the same by such mortgages, deeds of
trust, or other conveyances as the
steckholders may authorize, and gen
erally to have all the privileges and
immunities granted to similar busi
ness corporations under the laws of
Georgia.
(3) The principal office and
blace of business of gaid corporation
shall be in the city of Marietta, Cobb
County, Georgia, but petitioners de
sire the right to establish plants, of
fices, agencies and businesses at
other places within said State and
elsewhere providing the stockholders
have determined to do so by a major
ity vote.
(10) Petitioners further desire
the autherity for said corporation to
sue and to be sued, to plead and to
be impleaded, to contract and to be
contracted with, to have and use a
common seal, and to make all neec
essary by-laws and regulations for
the conduct of said corporation as
may be necessary, with the right to
amend the same at any time.
(1) Petitioners further desire
the authority to own stock in other
corporations and to dispose of the
same at pleasure as fwlly as a pri
vate individual can do, subject to the
limitation of such stock holders own
ership provided for in the Constitn
tion of Georgia.
(1:2) Petitioners further desire
special authority for said corpora
tion to accept amendments of said
charter either in matter of form or
substance by a majority vote of the
stock holders, and if desired to wind
up said corporation and its busi
ness at any time, or to make any
such alternations or changes in its
business, or to seil and dispose of all
assets of said corporation at any
time by a majority vote of the stock
holders.
Wherefore, petitioners pray to be
incorporated under the name and
style aforesaid with all the powers,
privileges and immunities herein set
forth, and subject to the restrictions
imposed by the laws of said State on
corporations of similar character.
