described and claiming that the terms
of said bond have been fully com
plied with, asks that an order be
granted directing Mrs. Ozella Roberts
as Executrix of W. O. Roberts de
ceased, to execute title as provided

2nd section of Cobb county and de

fy an execution issued from Cobb
Superior Court in favor of Graham
Hale and against T. B. Martin.

The peition of Glover Machine
Works respectfully shows:
1. That by proper proceedings had
in this Honorable Court it was incor
porated by a judgment dated May
)29th, 1903, which is of record in thei
Clerk’s Office of this Court, and is
here referred to.
9. That by inadvertence the period
of its incorporation was named as
lfifty years, instead of twenty years,
as then and now provided by law.
3. That it duly organized under
said charter and has been, and is
now, actively conducting its business
thereunder and has an authorized
capital stock of One Hundred and
Twenty Five Thousand ($125,000.00)
Dollars, of which ninety five thous
and eight hundred ($95,800.00) Dol
lars is fully paid up and outstand
ing.
4. That it desires to amend its said
charter and articles of incorporation
so that the period of its incorpora
tion shall be for twenty (20) years
from May 29th, 1903, with the right}
and privilege of renewal, as now, or
may be hereafter, provided by law,
and so that it shall have the right
to increase its capital stock from time
to time as may be decided by a vote
of two-thirds in amount of the capi
tal stock outstanding at the time of
any such increase up to the amount
in the aggregate of Five Hundred
Thousand ($500,000.00) Dollars,
and so that it shall have the right by
a like vote to decrease its capital
stock from time to time, not, how
ever, below the aggregate amount of
Seventy Five Thousand ($75,000.00)
Dollars, and so that it shall have the
right to make any part of such capi
tal stock, whether original, or in
creased capital stock, preferred stock
with such rights, priorities and pre
ferences as may be determined by a
like vote of two-thirds in amount of
the capital stock outstanding at the
time of the creation of such preferr
ed stock.
5. It further desires the right and
authority to engage in the manufac
ture of steel, steel products, and the
'right to deal in, buy, sell and dispose
‘of_steel, steel products, and all of
| the materials and ingredients that
’enter into the manufacture or crea
tion of same, and generally to do all
things necessary or convenient to
carry on the purposes of its business
of conducting a general foundry and
machine business, manufacturing rail
road equipment, locomotives, and all
such other articles and things as may
be conveniently connected therewith,
'and it desires all of the powers, rights
privileges and immunities contained
iin its original charter be approved
i and confirmed.
! 6. It further desires the right‘,i
lpower and authority to accept a
mendments to its charter, either in‘
matters of form or substance, and
authority alse to wind up its busi
ness and discontinue the same said
powers to be exercised upon a two
of stock outstanding at the time of
such action. .
7. Petitioner shows that this a
rmendment of its charter has been au
thorized by a vote of its stockholders
duly held as shown by a certified
copy of the resolutions adopted and
filed herewith, as provided by law.
WHEREFORE, It prays that this
petition be filed, published, allowed
and recorded as required by law, and
that an order be passed granting the
same and conferring upon it all of
the rights, powers, privileges and im
munities herein prayed for, and all
such others as are incident to like
incorporations under the laws of
Georgia.
And petitioners will ever pray.

! To the Superior Court of Said
County:
The petition of J. D. Middlebrooks,
W. L. Florence, J. A. Lewis, J. B.
Oglesby, W. E. Butner, C. M. Mec-
Tyre, C. T. Leake, G. D. Miller, W.
W. Florence, M. W. Compton, S. E.
Smith, R. H. Lindley, F. P. Lindley,
J. W. Wolfe, and T. N. Camp, shows
to the Court the following facts:
Ist.
Petitioners, together with their
associates, desire to be incorporated
under the name of The Domestic
Electric Company, for the period of
twenty years, with the right of re
newal of said charter at the expira
tion of said time. The object of said
corporation is pecuniary gain and to
carry en and maintain an electric
light and power business; to create
or purchase electric current for light
ing and power purposes, and to dis
tribute and sell the same for profit
in the town of Powder Springs, in
said County, and in the territory im
immediately adjacent to said town.
They desire the right to make con
tracts, borrow money and to pledge
the assets of said corporation as
security therefor; to sue and be sued;
to have and use a common seal, and
to have power and authority to do
any and all things necesary to the
maintenance, promotion and opera
tion of such a business.
2nd.
The principal place of business
of said corporation will be in the ‘
town of Powder Springs, in said
Friday Morning, January 25th, 1918,
County. 278
£ 3rd.
The capital stock of said cor
poration shall be Twenty Five Hun.
dred ($2,500.00) Dollars, divided into
shares of One Hundred ($100.60)
Dollars each, all of which has been
fully paid in.
But petitioners desire the right to
increase said capital stock to the sum
of Ten Thousand $10,000.00) Dol
lars at any time when so desired by a
vote of the holders of a majority of
the stock of said corporation at 4
regular meeting of the stockholders.
4th.
Petitioners desire that said cor
poration may have the right to elect
such officers and directors as the
shareholders may desire, and to make
and have all proper and necessary
by-laws, rules and regulations that
are necessary and may be proper for
the carrying on of said business.
WHEREFORE, Petitioners file this
their petition in the office of the Cleric
of Superior Court and pray that af
ter the same has been advertised as
required by law, that the Court by
proper order grant this petition.
