B., page 97, under date of February 25th, 1868, McDuffie coun ty, being at that time a portion of Warren county, and said 250 acres of land being now bounded as follows: North by lands of James Palmer; East by lands of Mrs. Maude Walden; South by lands of T. Sol Jones, and West by lands of Dr. A. J. Mathews.” This the 1st day of January, 1924. * H. G. STORY, Administrator of David G. Story. by said Corporation is to b§ that of a general lumber business in all of its phases including the buying, leas ing and selling of timber and timber lands, either as principal, agent or broker. Also petitioners pray that said Corporation have the right to manufacture lumber and other pro ducts of wood and to deal in slabs, shavings and all other by-products of lumber. Also petitioners pray that said Corporation have the right to enter into partnerships with other persons for the purpose of carrying on any business such as said Corpor ation shall be entitled to carry on. Also it is prayed that said Corpor ation have the right to own stock in any other corporation whenever it appears to be to the best interest and is so desired by the majority vote of the stock outstanding at the time. 5. The Capital Stock of said Bow den-Hatcher Lumber Company is to be Thirty Thousand Dollars fully paid in. Said stock is to be divided into three hundred shares of par value of one hundred dollars each. And it is further prayed that said Corporation have the right to in crease the said Capital Stock to One Hundred Thousand Dollars or to re duce the said Capital Stock to Two Thousand Dollars upon the majority vote of the stock outstanding at the time. 6! Petitioners further show that all of the Thirty Thousand Dollars Capital Stock has been paid in. 7. Petitioners desire the right to have the subscriptions to said Cap ital Stock paid either in money or property taken at a fair valuation. 8. Petitioners desire the right to sue and be sued, to plead and be im pleaded, to have and use a common seal, to make all necessary by-laws and regulations, and to do all other things that may be necessary for the successfully carrying on said busi ness, including the right to buy, hold and sell real estate and personal property, and to execute notes and bonds as evidence of indebtedness in the conduct of the affairs of the Cor poration, and to secure the same by mortgage, security deeds or other form of lien under existing laws. 9. Petitioners desire for the said said corporation have the power to engage in any business that will facil itate the manufacturing or selling of said products, namely, such business es as buying and selling all kinds of real estate and personal property, loaning money, farming, operating retail lumber yards, building houses and engaging in the lumber broker age business. 5. The capital stock of said Cor poration is to be Twenty Thousand Dollars fully paid in, but petitioners desire the right to increase said cap ital stock to One Hundred Thousand Dollars or to decrease it to One Thousand Dollars by a majority vote of the stock outstanding. Said stock is to be divided into two hundred shares of the par value of one hun dred dollars each. 6. Petitioners desire to have the right for said Corporation that the subscriptions to its stock be paid either in money or property taken at a fair valuation. 7. Petitioners desire the right to sue and be sued, to plead and be im pleaded, to have and use a common seal, to make all necessary by-laws and regulations, and to do all other things that may be necessary for successfully carrying on said busi ness including the right to execute notes and bonds as evidence of in debtedness in the conduct of the af fairs of said Corporation, and to se cure same by mortgage, security deeds or other form of lien under ex isting laws. 8. Petitioners desire for said Cor poration the right to apply for and accept amendments to its charter, either in form or substance, by a vote of a majority of the stock out standing at the time. They also de sire the power jf said Corporation to be able to wind up its affairs, liquidate and discontinue its business at any time it may be determined so to do by a majority vote of the stock outstanding at the time.
