acquiring, constructing, renovating,
and installing land, buildings, im
provements, machinery, fixtures, fur
nishings, equipment, and other real
and personal property located within
the territorial limits of DeKalb County,
Georgia, constituting educational and
other commercial facilities, (2) fund a
debt service reserve fund, (3) pay
capitalized interest on the Series
2014 Bonds, and (4) pay certain issu
ance expenses, in order to develop
and promote trade, commerce, in
dustry, and employment opportunit
ies for the public good and the gener
al welfare, to promote the general
welfare of the State of Georgia, and
to increase or maintain employment
in the territorial area of the Issuer, all
in accordance with the provisions of a
proposed Loan Agreement, to be
dated as of the first day of the month
of its execution and delivery, between
the Issuer and the Borrower. In such
proceeding the Court will also pass
on the validity of the security for the
payment of the Series 2014 Bonds,
which consists of the Loan Agree
ment, the Trust Indenture between
the Issuer and Wilmington Trust, Na
tional Association, as trustee, the
Series 2014 Promissory Note of the
Borrower, the Deed to Secure Debt
and Assignment of Rents and Leases
from the Borrower to the Issuer, and
the Security Agreement between the
Borrower and the Issuer, all pro
posed to be executed in connection

the security therefor will be heard and

DeKalb County, Georgia for North-
wood Ravin LLC, a Delaware limited
liability company qualified to conduct
business in Georgia (the “Company”),
including acquisition, construction
and installation of certain land, build
ings, structures, equipment and ma
chinery (the “Project”), in order to de
velop and promote for the public
good and general welfare trade, com
merce, industry and employment op
portunities and to promote the gener
al welfare of the State of Georgia,
particularly DeKalb County. Said
Project will be leased by the Issuer to
the Company pursuant to a Lease
Agreement (the “Lease Agreement”),
dated as of September 1, 2014. In
said proceeding the Court will also
pass upon the validity of said Lease
Agreement, an Indenture of Trust, a
Bond Purchase Agreement, a Home
Office Payment Agreement, a Deed
to Secure Debt, Assignment of Rents
and Leases and Security Agreement
and a Guaranty Agreement in con
nection therewith.
The Bonds will not constitute a debt
or a general obligation or a pledge of
the faith and credit of the State of
Georgia or its political subdivisions,
including DeKalb County, Georgia,
but will constitute a limited obligation
of the Issuer and will be payable
solely from the Trust Estate (as
defined in the Indenture) pledged to
the payment therefore including the
revenues to be derived under the
Lease Agreement together with all
other rents, revenues and receipts
arising out of or in connection with
the Issuer’s ownership of the Project
(other than certain unassigned
rights). Neither the State of Georgia
nor its political subdivisions, includ
ing DeKalb County, Georgia, shall be
subject to any pecuniary liability
thereon, nor shall the Bonds consti
tute a charge, lien or encumbrance
upon any property of the Issuer, said
State, said political subdivisions or
said County other than the pledged
revenues and specific property as
signed and pledged to the payment
thereof. No owner of the Bonds shall
ever have the right to compel the ex
ercise of the taxing power of said
State, political subdivisions or County
to pay the same or the interest there
on.
