Taxable Revenue Bonds (Acuity
Brands Lighting, Inc.), Series 2014
(the “Bonds”), in the aggregate prin
cipal amount of not to exceed
$34,600,000. The Bonds are to be is
sued by the Development Authority of
DeKalb County (the “Issuer”) for the
purpose of financing, in whole or in
part, the cost of acquiring, construct
ing and equipping a certain “project”
in DeKalb County, Georgia for Acuity
Brands Lighting, Inc., a Delaware cor
poration (“Acuity Brands Lighting”)
and Acuity Aviation LLC, a Georgia
limited liability company (“Acuity Avi
ation ”, and collectively with Acuity
Brands Lighting, the “Lessees”), in
cluding the acquisition, construction
and equipping of certain land, build
ings, structures, machinery, equip
ment and related personal property,
including an aircraft based in DeKalb
County for use in connection with
Acuity Brands Lighting’s business op
erations (the “Project”), in order to de
velop and promote for the public
good and general welfare trade, com
merce, industry and employment op
portunities and to promote the gener
al welfare of the State of Georgia,
particularly DeKalb County. Said
Project will be leased by the Issuer to
the Lessees, pursuant to a Lease
Agreement, dated as of December 1,
2014 (the “Lease Agreement”). In
said proceeding the Court will also
pass upon the validity of the Lease
Agreement, an Indenture of Trust, a
Bond Purchase Agreement, a Guar
anty Agreement and the Home Of
fice Payment Agreement in connec
tion therewith.
The Bonds will not constitute a debt
or a general obligation or a pledge of
the faith and credit of the State of
Georgia or its political subdivisions,
including DeKalb County, Georgia,
but will constitute a limited obligation
of the Issuer and will be payable
solely from the Trust Estate (as
defined in the Indenture) pledged to
the payment therefore including the
revenues to be derived under the
Lease Agreement together with all
other rents, revenues and receipts
arising out of or in connection with
the Issuer’s ownership of the Project
(other than certain unassigned
rights). Neither the State of Georgia
nor its political subdivisions, includ
ing DeKalb County, Georgia, shall be
subject to any pecuniary liability
thereon, nor shall the Bonds consti
tute a charge, lien or encumbrance
upon any property of the Issuer, said
State, said political subdivisions or
said County other than the pledged
revenues and specific property as
signed and pledged to the payment
thereof. No owner of the Bonds shall
ever have the right to compel the ex
ercise of the taxing power of said
State, political subdivisions or County
to pay the same or the interest there
on.

ANY “PERFORMANCE AUDIT” OR
“PERFORMANCE REVIEW” WITH
RESPECT TO THE BONDS AS
SUCH TERMS ARE DESCRIBED IN
