Project Loan Agreement,
to be dated as of the first
day of the month in which
it is executed and deliv
ered. In said proceeding
the Court will also pass
upon the validity of said
Project Loan Agreement,
a Funding Loan Agree
ment, a Deed to Secure
Debt, Security Agreement
and Assignment of Rents,
an Assignment of Deed to
Secure Debt, a Promis
sory Note, an Amended
and Restated Leasehold
Multifamily Deed to Se
cure Debt, Assignment
of Rents and Security
Agreement (Georgia) and
an Amended and Restat
ed Project Note in con
nection therewith.
The Governmental
Lender Note will not con
stitute a debt or a gen
eral obligation within the
meaning of any consti
tutional or statutory debt
limitation or restriction
or a pledge of the faith
and credit of the State of
Georgia or any political
subdivision thereof, in
cluding the City of Winder,
Georgia, but will consti
tute a limited obligation of
the Governmental Lender
and will be payable solely
from amounts owing from
the Borrower pursuant to
the Project Loan Agree
ment and specific rev
enues and property as
signed and pledged to the
payment thereof. Neither
the State of Georgia, nor
any political subdivision
thereof, including the City
of Winder, Georgia, shall
be subject to any pecuni
ary liability thereon, nor
shall the Governmental
Lender Note constitute
a charge, lien or encum
brance upon any prop
erty of the Governmental
Lender, said State, said
political subdivisions
or said City, other than
amounts owing from the
Borrower pursuant to the
Project Loan Agreement
assigned and pledged to
the payment thereof. No
owner of the Governmen
tal Lender Note shall ever
have the right to compel
the exercise of the taxing
power of said State, said
political subdivisions or
said City to pay the same
or the interest thereon.
