TO THE SUPERIOR COURT OF
SAID COUNTY:

BERGMAN, hereinafter called appli
cant*. bring this application for the
granting of a charter for a private
corporation, and show to the Court
the following facts:
1.
They desire for themselves, their
associates and successors to be incor
porated for a period of thirty-five (35)
years, with the right of renewal there
of. as provided by law. under the
name and style of
CENTRAL GLASS COMPANY
2.
The principal office and place of
business shall be located in Atlanta.
Georgia, with th? privilege of estab
lishing branch offices and places of
business in such other places as may
be determined.
3.
The applicants are residents of and
their post office addresses are:

The purpose and object of said cor
poration is pecuniary gain and profit
to its stockholders. The general nature
of the business to be transacted, and
the corporate powers desired are:
To do business as manufacturers,
dealers and brokers of goods, wares
and merchandise consisting in whole
or in part in glass or metals, and to
engage in the business as contractors,
builders and construction agents.
The corporation shall have the priv
ilege to contract for the construction/
alteration and improvement of build--
lngs of every kind and description.
To acquire and pay for in cash,
stocks or bonds of this corporation or
otherwise, the good will, rights, assets
and property, and to undertake or
assume the whole or any part of the
obligations or liabilities of any person,
firm, assiciation or corporation.
To do all things, subsidiary, neces
sary or convenient for carrying out
and into effect the purpose and ob
jects of said corporation.

The maximum number of shares
which said corporation shall be
authorized to issue shall be five hun
dred (500) shares of common stock of
the par value of One Hundred (100.00)
Dollars each, or fractional part there
of.
6.
The amount of capital with which
the corporation will begin business
shall be Five Thousand ($5,000.00)
Dollars 1 .
7.
The shares of stock of said corpor
ation may be issued for any considera
tion, whether money, property or ser
vices. and can be issued in exchange
for leases, including the transfer and
assignment thereof, sales contracts,
plants and equipment, and any other
real or personal property of choses in
action useful or necessary in the proae-
tion of the business of the corporation.

The corporation may use and apply
its surplus earnings or accumulated
profits to the purchase or acquisition
of property, and to the purchase, ac
quisition, or retirement of its own
capital stock from time to time, to
such extent and in such manner and
upon such terms as its Board of Direc
tors' shall determine and neither the
property nor the capital stock so pur
chased and acquired shall be regarded
as profits for the purpose of declara
tion or payment of dividends, unless
otherwise determined by a majority
of the Board of Directors.

The entire property of the corpora
tion may be sold, exchanged, or bar
tered for other property or otherwise
disposed of when authorized by vote
of two-thirds of the Board of Directors
and subsequently ratified by a vote of
the holders of four-fifths of the capi
tal stock of the corporation at a
stockholders' meeting called to con
sider the matter, provided notice of
ten days of such stockholders' meeting
shall be given in writing prior thereto
and the purpose for which the meeting
is called shall be stated in the notice.

Applicants desire that the said cor
poration shall have and enjoy all the
privileges, rights and powers enumer
ated in Chapter 22-18 of the Corpora
tion Act of 1938 of the Code of Geor
gia, and as the same may be here
after amended, and all of the powers
and privileges enumerated therein are
made a part hereof to the same extent
as if the same were enumerated here
in.
WHEREFORE, applicants pray that
they be incorporated under the name
and style aforesaid, with all the rights
and privileges herein set out. and such
others as are now or may hereafter be

Miss Charlotte Wilkes of Phil
adelphia arrived in Atlanta on
Thursday to visit Miss Betty Ann
Goldstein. They will leave Sunday
for Coral Gables to attend the
University of Miami.
Miss Miriam Lewis of Brooklyn
is visiting Mrs. Ida Lewis, her
mother, in Savannah.
Louis J. Levitas of Atlanta is
attending a New York Life Insur
ance conference at French Lick
Springs, Ind.
Mr. and Mrs. Julius Simon have
returned from Atlantic City.
Miss Betty Weinberg of Savan
nah is attending High Museum
School of Art in Atlanta.
Mr. and Mrs. Martin E. Kirsch-
baum are visiting in Savannah.

Mr. and Mrs. Aaron Greenberg
and daughter Arlene have return
ed from a vacation to Atlantic
City and Canada. Mr. Greenberg
drove up recently to meet his wife
and daughter who have been sum
mering with their parents.

Miss Natalie Levy has returned
to the University of Indiana at
Bloomington. She has entered her
senior year.
Bar Mitzvah exercises were
held at B. B. Jacob Synagogue on
Sept. 10 for Jerry Rosenthal, son
of Mr. and Mrs. Morris H. Rosen
thal, of Savannah.
Mr. and Mrs. Frank Spiegel of
Atlanta are in Boston to attend
the wedding of Mrs. Spiegel’s sis
ter.
Mrs. Kenneth Liebensberg has
returned to Dayton after visiting
her parents, Mr. and Mrs. Milton
Rice in Atlanta.
Mrs. .Simon Selig, Mrs. Joan
Regenstein and Mrs. Amy Waxel-
baum are back in Atlanta after
summering in Atlantic City. Mrs.
Regenstein and Mrs. Waxelbaum
were guests of Mrs. Selig’s at the
latter’s summer home.
