The governing body of the Corporation

The Corporation, unless otherwise required |
by the terms of ony contribution, *h°l have i
the power in its discretion to retain oil con
tributions in the original form in which they
may haves, been received, and also to buy,
sell, exchange and otherwise deal in stock,
bonds, real estate and any other forms ot
property at either public or private sale,
without order of ony court or other authority,
to invest ond reinvest any funds belonging
to the corporation at any time in such
securities and property, real and ^personal,
as the Trustees in their sole discretion see
fit, irrespective of whether such investments
may not be legal investments for trust funds
under the laws of Georgia. The corporation
moy use ony bonk or trust company in the
State as its fiscal Agent, and delegjte to
such institution the custody and manage
ment, investment and reinvestment of its
funds, and compensate such agent for its
services.
16.
The officers of the corporation shall be a
Chairman of the Board of Trustees, a Vice-
Chairman, a Secretary and a Treasurer; the
latter two offices may be held by one per
son. The Trustees may appoint such commit
tees and agents and create such other of
fices as to them shall seem best, and dele
goto to them such powers and duties os in
tlie discretion of the Trustees may seem ap
propriote.

In a brief talk which followed
several conferences, Mr. Klutznick
discussed the program of B’nai
B'rith and its philosophy of serv
ice in many spheres. “We are de
dicated,” he said, “not alone to
been presented to the court, ond read ond
considered; and it appearing to the court
that said petition is within the purview and
intention of the statutes of the State of
Georgia, and It further appearing bv certifi
cate of the Secretary of State that tne name
of the proposed corporation is not the name
of any other extstinq corporation roqistered in
the records of sold Secretary of State, and
that the petitioners have complied with all
conditions precedent and all statutory require
ments applicable to such petitions it is hereby
ordered and adjudged that the said applica
tion and petition be, and the same is here
by, granted, and petitioner* and their suc
cessors are hereby incorporated for the term
of thirty-five (35) years, with the right to
renew this Charter as may bo now or here

The amount of capital with which the cor
poration shall begin business shall be
$1,000.00, divided into ten shares of com
mon stock of a par value of $100.00

The corporation shall have the right to in
crease it* capital from time to time by a
majority vote of the stockholders, up to an
amount not to exceed ten thousand dollars
($10,000.00), consisting of 100 shares of
common stock at $100.00 par value. Any such
stock may be issued for money, services, or
property. The corporation shall be authorized
to issue fractional shares of its capital stock.

Southern Section - JWB eighth
annual meeting November 7-8-9,
1953 in Miami Beach. Experiences
will be drawn from Jewish com
munities throughout the South,
Mrs. Walter E. Heller, of Chica
go, president of the National Jew
ish Welfare Board, will describe
the very effective “Chicago Plan”
which has been developed among
the Synagogues and Centers in her
community. Its results have great
significance to Jewish communi
ties throughout the country.
Other subjects to be discussed
to thfe annual meeting will include
the relationship of the Jewish
community center to National
Jewish Youth Organizations, the
center’s role in JWB Armed Ser
vices Committees; and the finan
cing of expanded center programs.
