ARONIN bring this application
for the granting of a charter for
a private corporation, and show
to the Court the following facts:
1.
Petitioners desire for them
selves, their associates, succes
sors, and assigns to he Incorpor
ated for a period of thirty-five
(25) years with the right of re
newal as provided by law under
the name and style of
NATIONAL SERVICE
COMPANY. INC.

The principal office and place
of business of said corporation
shall be located In Fulton Coun
ty, Georgia, with the right and
privilege of establishing branch
offices and places of business
elsewhere.

The purpose and object of said
corporation is pecuniary gain and
profit to itself and its stock
holders.

The general nature of the bus
iness to be transacted is, and the
corporate powers desired arc:
(a) To buy, sell, rent, lease,
repair and service of mer
chandise including but
■ot limited to food pro
cessing machinery equip
ment, and tools.
(b) To buy and sell, acquire,
own, hold, rent, lease,
transfer and assign prop
erties of every kind and
character, both real and
personal, and to deal with
the name In any way and
manner that may seem
expedient, Including the
right to borrow money
and to secure the payment
thereof by mortgage, deed,
note, or other instruments
in connection therewith,
and to have ail the powers
and enjoy all the privil
eges allowed such corpor
ations under the laws of
Georgia to the same ex
tent as if the same were
quoted herein.

The amount of the capital with
which the corporation will be
gin business shall be One Thous
and Five Hundred Dollars ($1,-
500.00) either In cash or other
assets or a combination of the
two.

The capital stock of said cor
poration shall be One Thous
and Five Hundred Dollars ($1,-
500.00), divided into one thous
and five hundred (1,500) shares
of common stock of the par value
of One Dollar ($1.00) per share.
The corporation desires the right
at any time hereafter, upon the
affirmative vote of two-thirds of
the common stock then outstand
ing to increase the capital stork
through the issuance or sale of
either common or preferred stock
to an amount not to exceed Fif
ty Thousand Dollars ($50,000.00);
the preferred stock. If issued, to
have such par value and such
rights, privileges, and powers as
may be determined by the af
firmative vote of two-thirds of
the common stock then out
standing.

Georgia as they now or may

name of any other existing Cor

The petition of Piedmont En
gineering & Construction Corp
oration respectfully shows:
1.
Petitioner is a corporation of
said State and County, chartered
under order of Judge Walter C.
Hendrix on the 3rd day of No
vember, 1952.
2.
Petitioner desires to amend its
charter by striking Paragraph 5
thereof in its entirety and sub
stituting in lieu thereof the fol
lowing provisions:
“The authorized capital of said
corporation shall be divided into
Class “A” and Class “B” Com
mon stock in the following man
ner and the following powers,
privileges and immunities pro
vided:
(a) Class “A” Common Stock
shall consist of one hundred (100)
shares having no par value.
(b) Class “B” Common Stock
shall consist of thirty thousand
(30,000) shares having a part
value of $10.00 per share.
(c) Class “A” and “B” Com
mon Stock shall be distinguished
In that each and every share of
fractional share of Class “A”
Common Stock shall have all
voting rights but shall not par
ticipate in nor be entitled to the
earnings, profits or dividends of
the corporation; and that each
and every share or fractional
share of Class “B” Common
Stock shall have no voting rights
whatsoever; however, the regis
tered holders of such Class “B”
common stock shall be entitled
to participate in all dividends
and distributions in liquidation
and Class “A” Common Stock
shall not. The stock certificates
issued by the corporation shall
be clearly designated thereon as
“Voting" and Non-Voting” stock.
(a) The subscribers to the cap
ital stock in said corporation shall
pay for the same In cash, goods
or services, as may be determin
ed by the Board of Directors of
this corporation.”

The said amendment was auth
orized by unanimous vote of its
stockholders and of its Directors
at a joint meeting attended by
all of its stockholders and di
rectors by a resolution, copy of
which is hereto attached as
Exhibit “A” and made a part of
this petition.
WHEREFORE, petitioner prays
that this amendment be allowed
and the charter of the corpora
tion be amended as ordered.

the Stockholders and Directors of
the corporation held on April 2,
1956, attended by all stockholders
and all directors, all of whom
participated therein, the follow
ing resolution was unanimously
adopted, all as appears in the
minutes of said corporation:
“RESOLVED that the charter of
the corporation be amended by
substituting for Paragraph 5
thereof the following lang
uage:

British Youth
Volunteer for Border
Settlement in Israel
LONDON, (JTA) — The first
group of volunteers for border
settlement in Israel left Britain
this week, it was announced here.
The group will leave under the
“shnat Sherut” emergency scheme
recently launched by a commit
tee representing all sections of
the Zionist movement in this
country.
The one-year plan is open to
all men and women between the
ages of 18 and 27. Volunteers
will live and work in border set
tlements for a period of one
year. Their fares to and from
Israel are paid, when they ar
rive in Jerusalem, where they
will be given the opportunity of
studying Hebrew.
The first contingent consists of
20 young people, two of them
girls. Their average age is 22
and their occupations range from
toolmaker to economist — and in
clude telephone operators, elec
tricians and salesmen. They
come from London, Manchester,
Liverpool and Leeds. Only four
members of this group have ever
been associated with Zionist ac
tivities. The rest have never be
longed to any Zionist youth
movement.

Revising B'ham
Plans for Center
BIRMINGHAM — A building
that will be a credit to the Jew
ish community as well as the
general community is the claim
of the officials who are assist
ing in preparation of final plans
for the new facilities here.
Lawrence Whitten, local archi
tect, is revising the sketch of
the plans originally laid out by
the Jewish Welfare Board and
as soon as details and specifica
tions are ready, the project will
move into the contracting and
construction stage. This should
take place sometime this summer.
Morris Sher, chairman, and
Hyman S. Miller, co-chairman of
the New Building Campaign are
busy working to raise the rest
of the money needed, officials
said.

Fair Lawn Residents Honor
Rabbi Glustrom at Dinner
FAIR LAWN, N. J. — Approx
imately 400 persons turned out
for the recent testimonial dinner
given for Rabbi Simon Glustrom
of the Fair Lawn Jewish Center.
Rabbi Glustrom is formerly
from Atlanta and his parents,
Mr. and Mrs. Solomon Glustrom,
were present as was Mrs. Sam
Stein of Canada, Mrs. Glustrom’s
mother.
Praise for the rabbi’s devo-
tidn to the center and for bring
ing the community together and
organization of cultural and
spiritual nature of the Center was
given by past presidents, Charles
Berman, Julian Bornstein, Ned
Goldblatt and Nat Sprechman.
Mayor Joseph Matule spoke of
the friendship which has develop
ed between himself and the guest
of honor during the years Rabbi
Glustrom has served as chaplain
of the police and fire departments
and participated in civic activi
ties.
Principal address was given by
Rabbi Samuel Geffen of Forest
Hills, N. Y, whose father, Rabbi
Tobias Geffen — the dean of
Southern Orthodox rabbis — and
himself trained Glustrom as a
youngster. Both had a great deal
to do with his spiritual guidance.
Emphasizing Rabbi Glustrom’s
dedication to his calling, Rabbi
Geffen said: “We knew Simon
would be a rabbi even before we
trained him for confirmation.”
