oration respectfully shows:

Petitioner is a corporation of
said State and County, chartered
under order of Judge Walter C.
Hendrix on the 3rd day of No
vember, 1952.

Petitioner desires to amend its
charter by striking Paragraph 5
thereof in its entirety and sub
stituting In lieu thereof the fol
lowing provisions:
“The authorized capital of said
corporation shall be divided into
Class “A” and Class “It" Com
mon Btock in the following man
ner and the following powers,
privileges and immunities pro
vided:
(a) Class “A” Common Stock
shall consist of one hundred (100)
shares having no par value.
(b) Class “B" Common Stock
shall consist of thirty thousand
(30,000) shares having a part
value of $10.00 per share.
(c) Class “A” and “B” Com
mon Stock shall be distinguished
in that each and every share of
fractional share of Class “A”
Common Stock shall have all
voting rights but shall not par
ticipate In nor be entitled to the
earnings, profits or dividends of
the corporation; and that each
and every share or fractional
share of Class “B” Common
Stock shall have no voting rights
whatsoever: however, the regis
tered holders of such Class “B”
common stock shall he entitled
to participate in all dividends
and distributions in liquidation
and Class “A” Common Stock
shall not. The stock certificates
Issued by the corporation shall
be clearly designated thereon as
“Voting” and Non-Voting” stock.
(a) The subscribers to the cap
ital stock in said corporation shall
pay for the same in cash, goods
or services, as may be determin
ed by the Board of Directors of
this corporation.”

The said amendment was auth
orized by unanimous vote of Its
stockholders and of its Directors
at a joint meeting attended by
all of Its stockholders and di
rectors by a resolution, copy of
which is hereto attached as
Exhibit "A” and made a part of
this petition.
WHEREFORE, petitioner prays
that this amendment be allowed
and the charter of the corpora
tion be amended as ordered.

the corporation held on April 2,
1956, attended by all stockholders
and all directors, all of whom
participated therein, the follow
ing resolution was unanimously
adopted, all as appears in the
minutes of said corporation:
“RESOLVED that the charter of
the corporation be amended by
substituting for Paragraph 5
thereof the following lang
uage:

for the granting of a charter for
a private corporation, and show
to the Court the following facts:

selves, their associates, succes
sors, and assigns to be incorpor
ated for a period of thirty-five
(35) years with the right of re
newal as provided by law under

COMPANY, INC.

profit to Itself and its stock

The general nature of the bus
iness to be transacted Is, and the
corporate powers desired are:
(a) To buy, sell, rent, lease,
repair and service of mer
chandise including but
not limited to food pro
cessing machinery equip
ment, and tools.
(b) To buy and sell, acquire,
own, hold, rent, lease,
transfer and assign prop
erties of every kind and
character, both real and
personal, and to deal with
the same in any way and
manner that may seem
expedient, Including the
right to borrow money
and to secure the payment
thereof by mortgage, deed,
note, or other Instruments
In connection therewith,
and to have all the powers
and enjoy all the privil
eges allowed such corpor
ations under the laws of
Georgia to the same ex
tent as If the same were
quoted herein.

The amount of the capital with
which the corporation will be
gin business shall be One Thous
and Five Hundred Dollars ($1,-
500.00) either in cash or other
assets or a combination of the
two.

The capital stock of said cor
poration shall be One Thous
and Five Hundred Dollars ($1,-
500.00), divided Into one thous
and five hundred (1.500) shares
of common stock of the par value
of One Dollar ($1.00) per share.
The corporation desires the right
at any time hereafter, upon the
affirmative vote of two-thirds of
the common stock then outstand
ing to increase the capital stock
through the issuance or sale of
either common or preferred stock
to an amount not to exceed Fif
ty Thousand Dollars ($50,000.00);
the preferred stock, if issued, to
have such par value and such
rights, privileges, and powers as
may be determined by the af
firmative vote of two-thirds of
the common stock then out

350 Jewish Families in Fo rt Lauderdale;
Temple To Celebrate 20th Anniversary
FORT LAUDERDALE — “It
will come as quite a shock to
many Jews, all over the country,
to hear that Fort Lauderdale,
Florida, often called ‘The Venice
of America,’ not only has a Jew
ish congregation, which soon will
celebrate its 20th anniversary,
but that, in addition, the Jewish
population of this city is now
made up of 350 families, consti
tuting 800 men, women and chil
dren!”
Authority for this statement is
Rabbi Marius Ranson, rabbi of
the congregation for the past 8
years. He made it at a member
ship rally meeting at the Temple
last Sunday evening, at which
the principal speaker was Rabbi
Irving Lehrman of Temple Em-
manu-El, Miami Beach.
“Jews have lived in Fort Lau
derdale for more than 30 years,
and the Jewish population has
grown with that of the city.
There was a period when so-call
ed ’restrictive covenant’ signs
disgraced our hotels, but these
are now a matter of the past.
Our Jewish people in Fort Lau
derdale are distinguished by re
finement, culture and a high
standard of ethical conduct in
business and in social relations,
and we enjoy the respect and
the good will of the whole pop-
Cleveland Yeshiva
Student Is Beaten
CLEVELAND, O., (JTA) — A
16-year-old Yeshiva student from
Australia has been attacked by a
mob of teen-age hoodlums here.
The student, Isaac Gelbord, was
beaten unconscious by the gang,
and initial examination revealed
that his eyesight may have been
permanently impaired. A student
at Telshe College here, young
Gelbord was attacked while
walking on the street near the
school by a number of youths
shouting, “Jew! Jew!”
The identity of the hoodlums
had not yet been determined by
police in the early stages of their
investigation. The neighborhood
in which the College is presently
situated had earlier given rise
to apprehension and College au
thorities had expressed despite to
move to a new site already se
lected by the institution in July.
The injured student is enrolled
in the teachers course at the Col
lege and had planned to return
to his parents’ home in Australia
at the conclusion of his studies.
Mrs. Morris Heiman
Word has been received in At
lanta of the death of Mrs. Morris
Heiman in Phoenix, Arizona. She
was the sister of Mrs. Willie
Reisman of Atlanta.

derdale are high minded and
God-loving Christians.
“Twenty years ago a small
group of Jews began to meet for
Sabbath worship, and five years
later Temple Emanu-El was ded
icated. Part of the land on which
the Temple stands was donated
by a Christian! Moe Katz was the
first president of the Temple,
serving for ten years. His suc
cessors have been Archie M.
Robbins, Abe Markowitz, George
H. Roth, H. G. Schlafer and
Julius Ritter, and the present
president, Louis D. Sterling.
“For some years services were
conducted by one of the members
of the congregation, Dr. Albert
A. Shapira, a retired Boston phy
sician. Rabbi Samuel Baron was
the first rabbi; he was succeeded
by Rabbis David Gross, David
Raab and eight years ago, by
myself.
“In 1948, under the dynamic
leadership of the president, Abe
Markowitz, a campaign for funds
for a religious school building
was brought to a successful con
clusion. This was followed by the
acquisition of a rabbinical resi
dence and the construction of a
religious school building. Three
years ago the Todd Kaufmann
Auditorium was dedicated, one
of the most beautiful buildings
of its type in all America. It
was the contribution of Mr. and
Mrs. Ben Kaufmann of Holly
wood, Florida, in memory of
their departed son.
“The Sisterhood is even older
than the congregation. This is
the 25th anniversary of the for
mation of the Sisterhood by Mrs.
Mack Katz, its first president.
From 16 charter members it has
grown to over 200.
“Crowning glory of the congre
gation is the Religious School
with a registration of over 135
pupils and a faculty of 12 teach
ers and principal.”
Rabbi Marius Ranson, ordain
ed at the Hebrew Union College
at Cincinnati, gave up his pul
pit of the Reform Jewish faith
in East Orange eight years ago,
to take up a program of inter-
faith work as rabbi of Temple
Emanu-El in Ft. Lauderdale. He
has been successful in educating
Christianss and Jews to work to
gether intimately in the Com
munity Chest, Red Cross, Y.M.C.-
A., Boys and Girls’ Scouts, and
similar organizations.
There have been occasions
when undemocratic methods had
to be met with courageous resist
ance and even denunciation. One
such incident took place when
the swank Bahia Mar Yacht
Club, located on city owned
property, refused its facilities to
Jews. Organizing the domocratic
forces of the city, Rabbi Ranson
compelled the city to bring pres
sure that this practice be dis
continued.
As chairman of anti-defamation
work in Ft. Lauderdale, Rabbi
Ranson took an important part in
having the State of Florida pass
legislation making it illegal for
hotels to display discriminatory
signs. Recently Rabbi Ranson
was appointed to the Advisory
Board of the Florida Anti-Defam
ation League.
In recognition of his work
“bringing about a better com
munity relationship between
Christians and Jews,” the Jewish
War Veterans of the United
States not only awarded him a
citation, but also printed a bro
chure describing his various ac
tivities under the caption, “Mi
nor Miracle in Ft. Lauderdale -
The Story of Rabbi Marius Ran-
son’s Leadership in Interfaith
Activities.”
