application for the granting of a chart
er for a private corporation, and show
to the Court the following facts:
1.
They desire for themselves, their
associates and successors to be Incor
porated for a period of thirty-five (35)
years, with the right of renewal there
of, as provided by law, under the name
and style of TARA'S GRILL NO. 2,
INC.,
2.
The principal office and place of
business shall be located In Fulton
County, Georgia, with the privilege of
establishing branch offices and places
of business In such other places as
may be determined.
3.
The purpose and object of said cor
poration Is pecuniary gain and profit
to Its stockholders.
The general nature of the business
to be transacted by said corporation
Is that of owning, conducting, operat
ing and carrying on a restaurant bus
iness and to sell and dispense foods,
beverages and liquids of all kinds and
to do any and all things necessary
and pertinent for the conducting of
the restaurant business.
4.
The maximum number of shares that
the said corporation shall be author
ized to Issue shall he five hundred
(500) of the common stock with a par
value or ONE HUNDRED ($100.00)
DOLLARS each, or a fractional part
thereof, which shares shall have pro
portionate fractional voting powers and
the right to receive proportionate frac
tional dividends.
The corporation shall have the power
frotli time to time and without amend
ment, upon a majority vote of the out
standing stock, to increase and de
crease Its capital stock within the
minimum or maximum limits herein
before provided In this application for
Charter.
5.
The amount of capital with which the
corporation will begin business shall
be THREE THOUSAND ($3,000.00)
DOLLARS to be paid In, either In
property or cash, or other assets, or
a combination of either cash or prop
erty.
The shores of stock of said corpora
tion may be Issued for any consider
ation. whether money, property or
services, and can be Issued In ex
change for lenses, Including the trans
fer and assignment thereof, sales con
tracts, plants and equipment, and any
other real or personal property or
choses In action useful or necessary
In the prosecution of the business of
the corporation.
The valuation of nny property or
services for such purposes will be de
termined by the lncorporaton or di
rectors of the corporation ns the case
may be and such method of valua
tion shull be conclusive and binding.
7.
Applicants desire that the said cor
poration shall have end enjoy all the
privileges, rights and powers enumer
ated In Chapter 22 - 111 of the Cor
poration Act of the Code of Georgia,
and as the same may be hereafter
amended, and all of the powers and
privileges enumerated therein are
made a part hereof to the same ex
tent as If the same wore enumerated
herein.
WHEREFORE, applicants pray that
they be Incorporated under the name
and «tyle aforesaid, with all the rights
and privileges herein set out, and
such others as are now or may here
after be authorized by law, and ap
plicants further pray that their ap
plication be granted.

wise dispose of, either as principal or
agent, as Ilcenaor or licensee, at whole
sale or retail, and upon commission or
otherwise, all kinds of property, both
real and personal, tangible and intang
ible, and to do any and all other acts
necessary In the opinion of the direc
tors to the business of said company.

It Is also desired that the corporate
powers shall extend to all the priv
ileges enumerated In Chapters 22-18
and 22-19 of the Code of Georgia, as
amended, and all of said powers and
privileges enumerated therein are made
a part hereto to the same extent as if
they were quoted herein.
The time for which said corporation
Is to have existence is thirty-five (35)
years.
6.
The maxmlum number of shares of
stock shall bn One-Hundred Thousand
(100,000) of the par value of One and
no/100 ($1.00) Dollars per share, all of
which shall be common stock.
However, the amount of capital with
which the corporation shall begin bus
iness shall not be less than Two Hun
dred and no/100 ($200.00) Dollars. The
corporation shall be authorized to Is
sue additional shares up to the maxi
mum sum above Indicated, and there
after, from time to time, to reduce
the number of shares outstanding, but
not below the minimum above stated
of Two Hundred (200) shares, and all
this, upon a majority vote of the Board
of Directors.
7.
Applicants pray that the liability of
stockholders In said corporation be con
fined to the unpaid purchase price of
the stock subscribed for by each.
WHEREFORE, applicants pray to be
incorporated under the name and style
aforesaid, with all the rights and priv
ileges herein set forth, and such ad
ditional powers and privileges as may
be necessary, proper and Incident to the
conduct of said business for which the
applicants are asking Incorporation, and
as may be allowed like corporations
under the laws of Georgia as they now

Mendel Segal, Atlanta, of Stein
Printing Co., will be the featured
speaker at the Screen Process
Convention in Chicago October
20-22.
Mr. Segal who is the author
of “How to Sell Printing Creat
ively” has been with Stein Print
ing Co. for 26 years, beginning
as a part-time employee while
still in high school. He joined
the concern upon his graduation
from Emory University in 1935.
Within eight years, he rose to
the position of plant superintend
ent, then company manager and
partner. His book grew out of
iiis experience in developing a
sales training program for Stein’s.
Outstanding in the printing
field, he is a past president of
the Printing Industry of Atlanta,
treasurer of the Union Employees
Section of the Printing Industry
of America, board member of the
National Association of Photo
Lithographers and on the educa
tion committee of the Lithograph
ic Technical Foundation.
He is a member of the Atlanta
Advertising Club, the Art Direc
tors Club, Phi Sigma Epsilon, na
tional honorary sales fraternity,
the Craftsmen Club, the Atlanta
Sales Executive Club, B’nai B’rith,
and the Progressive Club.
Another outstanding member of
the Jewish community, Nathan
Lipton, is now serving as presi
dent of the Printing Industry of
Atlanta.

Even aboard ship, the pull of
religious services can be extra
ordinarily strong, it was demon
strated not so long ago by a group
of Jewish passengers on board
the Grace Liner Santa Rosa.
The group at the time was re
turning from a cruise of Carib
bean and South American points
of interest.
Louis Zimmerman of Atlanta
and his wife Mildred were on
board. They realized that due
to a delay because of fog they
would still be on board during
Shavuoth. It seemed unthinkable
not to have services to commem
orate thihs Jewish festival.
But there were no books on
board to guide the ritual. So. Mr.
Zimmerman did the next best
thing. He sat down with another
Jewish passenger and from mem
ory they assembled a schedule of
service, complete with Hebrew
transliteration of the Kaddish.
When time came for the ser
vice, thirty-four Jewish passeng
ers were in attendance — and
ten non-Jews including two Cath
olic priests.
