inafter called applicants, bring this
application for the granting of a chart
er for a private corporation, and show
to the Court the following facts:
1.
They desire for themselves, their
associates and successors to be Incor
porated lor a period of thirty-five (38)
years, with the right of renewal there
of, as provided by law. under the name
and style of TARA’S GRILL NO. 2,
INC.,
2.
The principal office and place of
business shall be located In Fulton
County, Georgia, with the privilege of
establishing branch offices and places
of business In such other places as
may be determined.
3.
The purpose and object of said cor
poration Is pecuniary gain and profit
to its stockholders.
The general nature of the business
to be transacted by said corporation
Is that of owning, conducting, operat
ing and carrying on a restaurant bus
iness and to sell and dispense foods,
beverages and liquids of all kinds and
to do any and all things necessary
and pertinent for the conducting of
the restaurant business.
4.
The maximum number of shares that
the said corporation shall be author
ized to Issue shall be five hundred
(800) of the common stock with a par
value of ONE HUNDRED (*100.00)
DOLLARS each, or u fractional part
thereof, which shares shall have pro
portionate fractional voting powers and
the right to receive proportionate frac
tional dividends.
The corporation ahnll hnve the power
from time to time and without, amend
ment, upon a majority vote of the out
standing stock, to Increase and de
crease Its capital stock within the
minimum or maximum limits herein
before provided In this application for
Charter.
8.
The amount of capital with which the
corporation will begin business shall
be THREE THOUSAND ($:i,000.(M»
DOLLARS to be paid In, either In
property or cash, or other assets, or
a combination of either cash or prop
erty.
6.
The shares of stock of said corpora
tion may be Issued for any consider
ation, whether money, property or
services, and can be Issued In ex
change for leases, including the trans
fer and assignment thereof, sales con
tracts, plants and equipment, and any
other real or personal property or
oh OSes In action useful or necessary
In the prosecution of the business of
the corporation.
The valuation of any property or
services for such purposes will be de
termined by the Incorporators or di
rectors of the corporation as the case
may be Bnd such method of valua
tion shall be conclusive and binding.
7.
Applicants desire that the said cor
poration shall have end enjoy all the
privileges, rights and powers enumer
ated In Chapter 22 - 18 of the Cor
poration Act of the Code of Georgia,
and ns the same may be hereafter
amended, and all of the powers and
privileges enumerated therein are
made a part hereof to the samel ex
tent as If the same were enumerated
herein.
WHEREFORE, applicants pray that
they be Incorporated under the name
and style aforesaid, with all the rights
and privileges herein set out, and
such others as are now or may here
after be authorized by law, and ap
plicants further pray that their ap
plication be granted.

wise dispose of, either as principal or
agent, as licensor or licensee, at whole
sale or retail, and upon commission or
otherwise, all kinds of property, both
real and personal, tangible and intang
ible, and to do any and all other acts
necessary In the opinion of the direc
tors to the business of said company.
4.
It Is also desired that the corporate
powers shall extend to all the priv
ileges enumerated in Chapters 22-18
and 22-19 of the Code of Georgia, as
amended, and all of said powers and
privileges enumerated therein are made
a part hereto to the same extent as if
they were quoted herein.
5.
The time for which said corporation
Is to have existence Is thirty-five (35)
years.
6.
The maxmlum number of shares of
stock shall be One-Hundred Thousand
(100,000) of the par value of One and
no/100 ($1.00) Dollars per share, all of
which shall be common stock.
However, the amount of capital with
which the corporation shall begin bus
iness shall not be less than Two Hun
dred and no/100 ($200.00) Dollars. The
corporation shall he authorized to Is
sue additional shares up to the maxi
mum sum above indicated, and there
after, from time to time, to reduce
the number of shares outstanding, but
not below the minimum above stated
of Two Hundred (200) shares, and all
this, upon a majority vote of the Board
of Directors.
7.
Applicants pray that the liability of
stockholders in said corporation be con
fined to the unpaid purchase price of
the stock subscribed for by each.
WHEREFORE, applicants pray to be
Incorporated under the name and style
nforesald, with all the rights and priv
ileges herein set forth, and such ad
ditional powers and privileges as may
be necessary, proper and Incident to the
conduct of said business for which the

Harry G. Esserman
ROME—Harry George (Sambo)
Esserman, Rome and Summerville
businessman, died September 30 in
a Rome hospital.
Funeral services were held Oc
tober 2 in the chapel of Daniel
Funeral Home, with Rabbi Harry
H. Epstein officiating. Interment
was in the Jewish Cemetery in
Rome.
Mr. Esserman was one of the
owners of Esserman & Co., Sum
merville. He was a member of
the Rodolph Sholom Congrega
tion.
Surviving are his wife, the
former Lettie Williams, Rome;
one daughter, Donna Esserman,
Rome; father, Charlie Esserman,
Atlanta; and two sisters, Lillian
Esserman, Atlanta, and Mrs. Phil
Foglia, Summerville.
Mrs. Simon Kanter
MACON Mrs. Simon Kanter,
mother of Mrs. Newton Friedman
of Macon, died recently in Se-
dalia, Mo. Mrs. Friedman is the
wife of the spiritual leader of
Temple Beth Israel.
Maurice Golsen
Maurice L. Golson, 59, of At
lanta died October 1. Funeral ser
vices were held October 2, at
Spring Hill. Rabbi Jacob Roths
child officiated. Interment was
in Crest Lawn Cemetery.
A native of Troop, Tex., Mr.
Golsen had lived in Atlanta 25
years. He was the former owner
and founder of the Dixie Freight
Lines. He was owner and presi
dent of the Maurice Sales Co.
Mr. Golsen was a member of
the Temple, Jewish War Vet
erans, and the Mayafir Club.
Surviving are his wife, and
two sons, Charles Harris Golsen
and Larry F. Gojsen, all of At
lanta; two sisters, Mrs. Harry
Berlin of Montgomery, and Mrs.
I, . M. Cohen of Dothan, and a
brother, B. A. Goldstein of Bir
mingham.

Mrs. Clara Segall
Mrs. Clara Segall, 87, of At
lanta, died October 4. Funeral
services were held October 5 at
Sipple’s Mortuary in Savannah.
Interment was in Bonaventure
Cemetery. Rabbi Starrell officiat
ed.
Mrs. Segal was the widow of
Aaron Segall of Augusta. She
was a native of Lithuania.
Surviving are two sons, Ben
jamin I. Segall, Atlanta, and Max
Segall, Metter; a daughter, Mrs.
A. G. Furst, Augusta, and a bro
ther, Joseph Melman, Greylinstat,
South Africa.
Morris Phillips
Morris Phillips, 73, died Oc
tober 5. Funeral services were
held October 7 at the chapel of
Henry M. Blanchard and Son.
Rabbi Emanuel Feldman officiat
ed. Interment was in Greenwood
Cemetery.
Born in Poland, Mr. Phillips
had made his home in Atlanta
for about half a century. He had
been in ill health for several
years. He was a retired grocer.
Mr. Phillips was a member of the
Beth Jacob Synagogue.
Surviving are his wife; a son,
David Gershon, Atlanta; a
daughter, Mrs. Harry Wilensky,
St. Louis, and four grandchil
dren. •
Mrs. Saul Kahn
Mrs. Saul (Miriam) Kahn, 34,
of Atlanta, died October 1. Fu
neral services and interment were
held in Elmira, N. Y.
A native of Elmira, she had
lived in Atlanta several years,
and was a member of the Ahavath
Achim Congregation.
Surviving are her husband, Saul
Kahn; two sons, Brad J/ and
Randy A. Kahn, and a daughter,
Stephanie Hope Kahn, all of At
lanta; mother, Mrs. Barney
Marks, Elmira, #ind sisters, Mrs.
John Feder, New York City; Mrs.
Ben Mink, and Mrs. Rose Acker
man, both of Rochester, N. Y.
Label Katz Receives
AZA Alumnus Award
WASHINGTON, (JTA) — Label
A. Katz, 38-year-old New Orleans
attorney, has been named by
B’nai B’rith as 1956 recipient of
the Sam Beber Distinguished
Alumnus Award. The award is
made annually by Aleph Zadik
Aleph, a constituent of B’nai
B’rith’s youth organization, to an
alumnus who has made notable
contributions to Jewish life in
America. The award is named
for Sam Beber, Chicago attorney,
who founded the B’nai B’rith
movement in 1924 in Omaha, Ne
braska.
A graduate of Tulane Universi
ty. Mr. Katz has been active for
more than 20 years in B’nai B’rith
and other civic enterprises. Last
month he was elected to a sec
ond term as national chairman
of the B’nai B’rith youth com
mission. In 1953 he served as pres
ident of B’nai B’rith’s District
Seven which embraces Tennessee,
Alabama, Mississippi, Arkansas,
Oklahoma, Louisiana, and Texas.

Ensign Edwin J. Feiler, U. S.
Navy, who is now attending the
Navy Supply Corps School at
Athens, Ga., will graduate Oc
tober 11, and will report to Nor
folk, Va., October 25 for duty as
a supply officer aboard the bat
tleship U.S.S. Wisconsin. He is
the son of Mr. and Mrs. Edwin
J. Feiler.

daughter, Terry Melinda, Sep
tember 7.
