APPLICATION FOR AND ORDER
GRANTING CHARTER

The petition of CHARLES W. BERG
MAN and W. O. SLATE, (whose Post
Office addresses arc No. 1029 First Na
tional Bank Building, Atlanta 3, Georg
ia). and JOSEPH TARATOOT, (whose
Post Office address is No. 16 Forsyth
Street, S. W., Atlanta, Georgia), here
inafter called applicants, bring this
application for the granting of a chart
er for a private corporation, and show
to the Court the following facts:
1.
They desire for themselves, their
associates and successors to be Incor
porated for a period of thirty-five (33)
years, with the right of renewal there
of, as provided by law, under the name
and style of TARA’S GRILL NO. 2,
INC.,
2.
The principal office and place of
business shall be located in Fulton
County, Georgia, with the privilege of
establishing branch offices and places
of business In such other places as
may be determined.
3.
The purpose and object of said cor
poration Is pecuniary gain and profit
to Its stockholders.
The general nature of the business
to be transacted by said corporation
Is that of owning, conducting, operat
ing and carrying on a restaurant bus
iness and to sell and dispense foods,
beverages and liquids of all kinds ana >
to do any and all things necessary
and pertinent for the conducting of
the restaurant business.
4.
The maximum number of shares that,
the said corporation shall be author
ized to issue shall be five hundred
(300) of the common stock with a par
value of ONE HUNDRED ($100.00)
DOLLARS each, or a fractional part
thereof, which shores shall have pro
portionate fractional voting powers and
the right to receive proportionate frac
tional dividends.
The corporation shall have the power
from time to time and without amend
ment, upon n majority vote of the out
standing stock, to increase and de
crease its capital stock within the
minimum or maximum limits herein
before provided in this application for
Charter.
3.
The amount of capital with which the
corporation will begin business shall
be THREE THOUSAND ($3,000.00)
DOLLARS to be paid In, either in
property or cash, or other assets, or
a combination of either cash or prop
erty.
6.
The shares of stock of said corpora
tion may be Issued for any consider
ation, whether money, property or
services, and can be Issued in ex
change for leases, Including the trans
fer and assignment thereof, sales con
tracts, plants and equipment, and any
other real or porsonal property or
choses In action useful or necessary
In the prosecution of the business of
the corporation.
The valuation of any property or
services for such purposes will be de
termined by the Incorporators or di
rectors of the corporation ns the case
may be and such method of valua
tion shall be conclusive and binding.
7.
Applicants desire that the said cor
poration shall have end enjoy all the
privileges, lights and powers enumer
ated In Chapter 22 - 1B of the Cor
poration Act of the Code of Georgia,
and as the same may be hereafter
amended, and all of the powers and
privileges enumerated therein are
made a part hereof to the same ex
tent as if the same were enumerated
herein.
WHEREFORE, applicants pray that
they be incorporated under the name
and style aforesaid, with all the rights
and privileges herein set out, and
such others as are now or may here
after be authorized by law, and ap
plicants further pray that their ap
plication be granted.

and It appearing that said application
is within the purview and Intention
of the Statutes of the State of Georg

provisions of law relating to the grant
ing of charters; and It further appear
ing by certificate of the Secretary of
the State thnt the name of the pro
posed corporation is not the name of
any other existing corporation reg
istered in the records of said Secre
tary of State

that the said application is hereby
granted, and the corporation is here
by created under the name of TARA’S

their associates, successors ana assigns,

CORP.’’
for a period of thirty-five (351 years,
with full right of renewal as may be
provided by law, with Its principal
office at such place in Fulton County,
Georgia, as its trustees may from time
to time determine.

The object and purpose of said cor-
portation Is the desire to be chartered
as an educational institution and not
for pecuniary gain, for the establish
ment, maintenance and support of a
church school to teach any and all
subjects within the tenets of the
Lutheran faith, and to acquire and ad
minister funds and property which, af

Winnipeg Muncipality Introduces
Fri. Night Shopping; Jews Protest
WINNIPEG, Manitoba, (JTA)
—Local leaders of the Canadian
Jewish Congress here have adopt
ed a resolution condemning the
innovation by the municipality
of Friday night shopping in this
city. The inauguration of Friday
night shopping had been adopted
without protest by local religious
leaders. However, it is feared that
the new program will cut syna
gogue attendance. The choice of
Friday night was a departure
from the Monday night pattern
adopted in many Canadian and
U. S. communities.
An attempt to establish Friday
night shopping in Edmonton, it
was recalled here, was met by
Jewish and Christian clergy who
joined in protesting the move and
forced a switch to Monday night.
Edmonton’s move had evidently
been prompted by the fact that
Authorize Two New
Hillel Centers
STARLIGHT, Pa.—B’nai B’rith
recently authorized construction
of two Hillel centers to serve
Jewish students of Rutgers Uni
versity and the University of
New Hampshire.
Rutgers and its co-education
counterpart, Douglass College for
Women, both in New Brunswick,
N. J., have a combined Jewish
enrollment of 900 students. A
B’nai IJ’rith Hillel program has
been maintained there since 1939
in rented quarters. The University
of New Hampshire at Durham has
100 Jewish students who are iso
lated from Jewish religious and
cultural institutions and are pres
ently serviced by a part-time
Calgary, Saskatoon and Van
couver all had adopted the Fri
day night practice.
In a letter to the “Jewish Post”
here Dr. Louis L. Sacks, spiritual
leader of Edmonton’s Congrega
tion Beth Shalom, explained that
Christian clergy in Edmonton had
felt “that it was not only a Jew
ish problem, but also a Christian
problem and an infringement on
the rights of the Jewish com
munity in the observance of their
faith.”
Hadassah Founder
Sarah Kussy Dies
NEWARK, N.J., (JTA)—Miss
Sarah Kussy, a leader of Hadas
sah died here after a short ill
ness. She was 87 years old. She
was among those who assisted the
late Henrietta Szold in the estab
lishment of the women’s group
in 1912, and founded its first New
ark Chapter. Among other posts
she had held was that of hon
orary vice president of the Na
tional Women’s League of the
United Synagogue, and deputy
member of the Jewish Agency.
A 1906 graduate of the Teach
ers Training School of the Jewish
Theological Seminary, Miss Kussy
had taught in both public and
Hebrew schools for many years.
Among the numerous honors
which came to her for her com-
rmitial service was the planting
of 10,000 trees in Israel in 1950
by the Northern New Jersey Re
gion of Hadassah and named the
“Sarah Kussy Forest.”

Taxpayers, Incomes
JERUSALEM, (JTA) — A four
volume official Taxpapers Reg
ister has been made public here
for the second year in a row.
The massive work lists the tax
assessments for all companies and
kibbutzim in Israel, as well as of
self-employed individuals with
assessed incomes of more than
3,000 pounds.
Top income assessment in the
country was that of Bank Leumi,
which earned 2,580,000 pounds—
more than 3 times its runner-up,
Nesher Bonds, which earned
848,685 pounds. Top individual
earner in the country was a Haifa
building contractor, Yehiel Ya-
cobiwitz, with 703,000 pounds —
closely followed by Moshe Basen-
zik, a Tel Aviv cabinet maker,
whose income was listed as 702,
400 pounds and Avraham Horo
witz, Ramat Gan electrical con
tractor, with 702,000 pounds.
Givat Brenner topped the list
of kibbutzim with an assessed
income of 860,171 pounds —an
average of 2,575 pounds per mem
ber. Top earner among Israel’s
psysicians was Dr. Y. Asherman,
of Tel Aviv, with 18,500 pounds,
closely followed by Dr. S. Goz
of Haifa, who was said to have
earned 18,394 pounds. Jerusalem
and Haifa lawyers Ziv and
Schwartz and M. Caspi led their
list with 35,000 pounds each.
World Art Leader,
Syn^alowski, Dies
PARIS, (JTA) — Dr. Aron
Syngalowski world leader of the
ORT, died here October 7. He ar
rived here from Geneva, the world
seat of the ORT, where he has
been living since World War II.
He was 67 years old. His body
will be taken to Geneva for bu-
,rial tomorrow' or Tuesday.
Born in Russia, he received a
university education there and, as
a student, was active in Jewish
life, becoming known as an in
spiring public speaker. In 1909 he
left Russia for Germany, where
he studied and became an attor
ney. However, he never practiced
law. Instead he devoted all his
life to promoting the work of
the ORT in all parts of the world.

Said corporation is not organized
and shall not bo operated for pecuni
ary gain or profit and it shall have
no capital stock.
4.
No part of the property of said cor
poration and no part of its net earn
ings shall ever at any time inure to
the benefit of any private shareholder
or Individual, nor shall said corpora
tion have the power to, and shall
never, carry on propaganda or other
wise attempt to influence legislation.

The corporation shall have the power
and authority to accept gifts and con
tributions, whether made by will or
otherwise, in any form of property,
provided that the objects specified by
the testator or donor are within the
objects and purposes of the corpora
tion.
6.
The governing body of the corpora
tion shall consist of not less than
three (3) nor more than seven (7) mem
bers, which shall be designated the
Board of Trustees. The incorporators
shall be the first members of the
Board of Trustees. Each of the mem
bers of the Board shall serve for a
term of five (5) years but may resign
at any time. Upon the death or resig
nation of any member of the Board,
a majority of the remaining Trustees
shall choose his successor. Should a
member of the Board of Trustees be
come disabled or fer any cause or
reason cease to function and the same
continue for a period exceeding twelve
(12) months, then the remaining mem
bers of the Board shall have the power
to declare the office vacant and elect
a successor trustee In the manner pro
vided above.
7.
The Board of Trustees, by majority
vote, shall have the power to adopt
nil rules and regulations and by-laws
consistent with the charter and the
conduct and affairs and activities of
the corporation.
8.
The officers of the corporation shall
be a Chairman of the Board of Trus
tees, a Vice-Chairman, a Secretary and
a Treasurer; the latter two offices
may be held by one person. The
Trustees may appoint such committees
and agents and create such other of
fices as they shall deem best, and del
egate to them such powers and duties
as In the discretion of the Trustees
may seem appropriate.
9.
The corporation, upon the vote of a
majority of its trustees at the time
then In office, shall have the power
to do and perform any and all the
powers conferred by this charter, or
the laws of the State of Georgia, and
shall likewise have all other powers,
privileges and immunities which, under
the laws of the State of Georgia, now
or hereafter may be vested in similar
corporations, Including, but not being
confined to. the powers enumerated
in Sections 22-1827 and 22-1828. Georgia
Code Annotated, as they may be ap
plicable to this corporation.
10.

of each of the applicants for charter

Your petitioners desire that they
may be Incorporated under the Cor-

change, mortgage, lease or In any other
way deal with the same as may be
come desirable in the conduct of the
purpose of the Incorporation of the

name and style aforesaid, with all the
rights, privileges and immunities here
inbefore set out, and such other
rights, privileges and immunities as
are or may hereafter be conferred
upon corporations of like character
under the laws of Georgia.
