gia, and MORTON P. LEVINE, whose
f iost office address Is Citizens & Sou-
hern Bank Building. Atlanta, Georgia,
respectfully shows to the Court the
following facts:

That they desire for themselves,
their successors, associates, and as
signs to be Incorporated under the
name of:
"WARNING ELECTRONICS, INC.”
for a period of thirty-five (35) years
with the privilege of renewal).

The object of said corportlon is
pecuniary gain to Itself and stock
holders.
3.
The principal office and place of
doing business shall be In Fulton
County, Georgia, but petitioners de
sire the right to do business both
within and without the State of
Georgia and establish offices else
where.
4.
The general nature of the business
is to design, manufacture, buy or sell
or trade In electrical and electronic
equipment, appliances, apparatus and
articles; to apply for, obtain, pur
chase, sell, lease, take license In re
spect of, or otherwise acquire, hold,
own, use. operate, enjoy, grant license,
manufacture under, or dispose of,
any Invention, device, process, letters
f latent, and all rights thereunder,
rademark or tradename; to make or
enter Into all manner and kind of
contract for the purchase acquiring,
holding, selling or buying of any ana
all kinds of real and personal prop
erty; to enter Into, make, perform
and carry out contracts of every klqd
for any lawful purpose with any
person, firm, association or corpora
tion.

The maximum number of shares of
stock shall be two thousand shares
(2,000), to be divided Into one thousand
shares (1,000) of Class "A” and one
thousand shares (1,000) of Class “B”,
all of which shall be common stock,
and all of which shall be without par
value. Both Class "A” and Class “B”
common stock shall each have the
same rights, privileges and Immunities,
except, that, each and singular, every
share of said Class “A” common stock
shall have no voting rights whatso
ever, and shall- be plainly stamped,
"None-voting.” The holders of none-
voting stock shall not be entitled to
notice of meetings of stockholders
and shall not be entitled to vote upon
any question whatsoever which may
be presented at any meeting of stock
holders; but shall be entitled to par
ticipate ahare-for-share with the hold
ers of common stock In any dividend
or distribution In liquidation of the
corporation. Subscription to said capi
tal stock may be made and accounted
for, either In money, merchandise or
services to be computed at fair valu-
tlon.

Petitioners desire that said Corpora
tion shall have all rights, powers
privileges and Immunities granted
corporations under the now existing
laws of the State of Georgia or any
amendments thereto which may here
inafter be enacted affecting similar
corporations.
7.
Said Corporation shall have a paid
In subscription of two hundred dollars
($200.00) before said Corporation shall
begin business, same being fully paid
and none assessable.
8.
Your petitioners herewith exhibit a
certificate of the Secretary of the
State of Georijia as required by Sec
tion 22-1803, Georgia Code Annotated,
certifying that the name, "Warning
Electronics, Inc ”. Is not the name of
any other existing corporation now
registered In the Office of the Secre
tary of the State of Georgia.
WHEREFORE PETITIONERS PRAY
that they be incorporated under the
name and style aforesaid with all the
rights, powers, privileges, and Immunl
ties herein set forth as are now or
may hereinafter be allowed corpora
tions of like character under the laws
of the State of Georgia.

ORDERED AND ADJUDGED that said
petition be and the same Is hereby
granted; and petitioners, their asso
ciates, successors and assigns, are
hereby Incorporated and made a body
politic under the name and style of
"WARNING ELECTRONICS INC", for
and during the period of thirty-five
(35) years, with the privilege of re
newal at the expiration of that time,

plication, and with such additional

They Did Not Perjure
Like Gentlemen
In the good old days, swear
ing falsely was regarded guch a
serious offense that even thieves
shrank frciTn it.
The following story from the
Rabbis is an illustration.
A certain man deposited a
hundred denari with Ben Tema-
lion, a notorious character.
When the depositor came for
his money Ben Temalion said
that he had returned it to him.
Whereupon the depositor de
manded that he swear to this
effect.
So the unscrupulous man se
cured a heavy stick, hollowed
it, and put the money in the
hollow.
When he came to the syna
gogue, and was called upon to
take the oath, Ben Temalion
asked the plaintiff to hold the
stick for a while. Then he took
the oath. “I swear to God,” he
said, piously, “that 1 returned
the money to this man.”
Upon hearing this oath, the
E laintiff became so furious that
e hurled the stick to the ground
and the coins fell out and scat
tered all over the floor.
“Pick them up,” jestingly said
the • scoundrel. “They are yours.
I returned them to you.”
