The petition of ABRAHAM J. WAL-

respectfully shows to the Court the
following facts.

That they desire for themselves,
their successors, associates, and as
signs to be Incorporated under the
name of:
"WARNING ELECTRONICS. INC."
for a period of thirty-five (35) years
with the privilege of renewal).

The object of said corporation Is
pecuniary gain to Itself and stock
holders.

The principal office and place of
doing business shall be In Fulton
County. Georgia, but petitioners de
sire the right to do business both
within and without the State of
Georgia and establish offices else
where.

The general nature of the business
Is to design, manufacture, buy or sell
or trade In electrical and electronic
equipment, appliances, apparatus and
articles) to apply for, obtain, pur
chase, sell, lease, take license In re
spect of, or otherwise acquire, hold,
own, use, operate, enjoy, grsnt license,
manufacture under, or dispose of,
any Invention, device, process, letters
f latent, and all rights thereunder,
rads mark or tradename; to make or
enter Into all manner and kind of
contract for the purchase acquiring,
holding, selling or buying of any and
all kinds of real and personal prop
erty; to enter Into, make, perform
and carry out contracts of every kind
for any lawful purpose with any
person, firm, association or corpora-

The maximum number of shares of
stock shall be two thousand shares
(2,000), to be divided Into one thousand
shares (1,000) of Class "A” and one
thousand shares (1,000) of Class **B”,
all of which shall be common stock,
and all of which shall be without par
value. Both Class "A” and Class "B"
common stock shall each have the
same rights, privileges and Immunities,
except, that, each and singular, every
share of said Class “A" common stock
shall have no voting rights whatso
ever, and shall be plainly stamped,
"None-voting." The holders of none-
voting stock shall not be entitled to
notice of meetings of stockholders
and shall not be entitled to vote upon
any question whatsoever which may
be presented at any meeting of stock
holders; but shall be entitled to par
ticipate share-lor-share with the hold
ers of common stock In any dividend
or distribution In liquidation of the
corporation. Subscription to said capi
tal stock may be made and accounted
for. either In money, merchandise or
services to be computed at fair valu-
tlon.

Petitioners desire thst said Corpora
tion shall have all rights, powers,
privileges and Immunities granted
corporations under the now existing
laws of the State of Georgia or any
amendments thereto which may here
inafter be enacted affecting similar
corporations.
7.
Said Corporation shall have a paid
In subscription of two hundred dollars
($200.00) before said Corporation shall
begin business, same being fully paid
and none assessable.

Your petitioners herewith exhibit a
certificate of the Secretary of the
State of Georgia as required by Sec
tion 22-1803 Georgia Code Annotated,
certifying that the name. "Warning
Electronics, Inc.”. Is not tne name of
any other existing corporation now
registered In the Office of the Secre
tary of the State of Georgia.
WHEREFORE PETITIONERS PRAY
that they be incorporated under the
name and style aforesaid with all the

therewith, or Incidental or contribu
tory thereto; and said corporation
shall have all the rights, powers,

be conferred on like corporations by
the laws of Georgia and as may be

4. The maximum authorized capital
stock of the corporation shall bt five
thousand (5,000) shares of ten ($10.00)

gregating fifty thousand ($50,000) Dol
lars; said stock shall have tne entire
voting power in the corporation and
shall be subject to such restrictions
as to transfer as are provided In the
by-laws of the corporation and on the
stock certificates issued by the cor
poration.
5. The amount of capital with which
the corporation shall begin business
Is five hundred ($500,00) Dollars.
6. The principal office of the cor
poration Is to be located in Fulton
County, Georgia, but petitioners desire
the privilege of establishing branch
offices and places of business else
where, both within and without the
State of Georgia.
7. The time for which the corpora
tion is to have existence Is thirty-five
(35) years, with the privilege of re
newal of the Charter, from time to
time, upon the expiration of said peri-

8. The corporation shall have, and
It Is hereby given the power to lend
or borrow money both secured and un
secured on any terms, and to assume,
guarantee, endorse or become surely
on any such obligation or liability of
any person, corporation or association,
whether or not connected with the
regular business of the corporation.

hereby given the power to invest and
reinvest in real estate, stocks, bonds,
mortgages and other such investments
as it may deem advisable.
The corporation shall have, and It is
hereby given the power to sell, buy,

any other manner; and Including but
not limited to all of the rights, pow
ers and immunities set in Sections 22-
1827 and 22-1828 of the supplement to

NEW YORK, (JTA) — Dr.
Joachim Prinz, national presi
dent of the American Jewish
the Federal Republic had wiped
the slate clean.
Dr. Prinz contrasted this new
and growing belief with the
policy followed since the crea
tion of the Federal Republic ten
years ago by Chancellor Konrad
Adenauer and President Theodor
Heuss, who he said had been
“emotionally involved in aton
ing fo" the crimes of the Hitler
regime.”

Congress, told the quarterly
meeting of the administrative
committee that after a decade
of “atonement” by Germany’s
political leaders for Hitler’s
crimes against the Jews, a new
generation was coming to pow
er with a growing belief that
Germany had paid its debts for
the excesses of the Nazi regime
and that the record of the past
must be forgotten.
Reporting on asurvey of so
cial and political conditions that
he undertook in Germany this
summer, Dr. Prinz warned that
“Germany-Jewish relationships
appeared to be entering q new
stage, one that will require close
and careful watching by all men
of good will who cannot lightly
dismiss the horors of the Nazi
era.”
One bright spot in the present
German picture, Dr. Prinz said,
is the role of the press, radio
and television in exposing re
newed outbreaks of anti-Semi
tism, attacking growing neo-
Nazi movements and warning of
anti-democratic developments in
the country.
Dr. Prinz said that there was
a growing belief among the new
political generation now rising
to power in Germany that the
