fice address is 730 Healey Building, At
lanta 3, Georgia, respectfully shows:
1. Petitioners desire lor themselves,
their associates, successors and assigns
to be incorporated under the name of
“RAY KASPER, INC.**
2. The object of said Corporation is
pecuniary gain and profit to itself and
its stockholders.
3. The general nature of the business
to be transacted by said Corporation
shall be as follows:
(a) To conduct a general agency busi
ness, to act, and to appoint others to
act as general agent, special agent,
broker, factor, manufacturer’s agent,
representative and commission merch-
ant. for inviduals, firms, associations
and corporations in the distribution,
delivery, purchase and sale of every
kind of property, both real and per
sonal, relating to any and all kinds
of businesses;
(b) To own, busy, sell, barter, ex
change, Improve, lease, rent, use, man
age, encumber, mortgage, transfer, as
sign and other dispose of and deal in
real estate and personal property of
all kinds and character whatsoever;
(c) To borrow and lend money, with
or without security, by mortgage, deed
of trust, security deed, or otherwise,
on real or personal property;
(d) To acquire, own, buy and sell its
own stock;
(e) To subscribe for, purchase, own,
hold, sell and dispose of stocks, bonds
or other obligations of any other corp
oration and association;
(f) To engage in any and all forms
of business and other activities not
specifically prohibited by law, and not
requiring special charter.
4. Petitioners further desire that said
Corporation be vested with all the
rights and powers now or hereafter
given to do any and all things which
may be needful or proper in the op
eration of the above described busi
ness, and that said Corporation have
all of the powers enumerated in Sec
tions 22-1827 and 22-1828, Georgia Code
Annotated, and such other powers as
may hereafter he given by law.
5. The maximum number of shares
of capital stock which the Corporation
shall be authorized to issue and have
outstanding at any one time shall be
5,000 shares of common stock with the
par value of Ten ($10.00) Dollars per
share.
6. The amount of capital with which
the Corporation shall begin business
shall be not less than $200.00.
7. The Corporation desires the right
to issue shares of stock for such con
sideration or considerations in money,
property, or services, or a combina
tion of the same, as shall be fixed
from time to time by a majority vote
of the Board of Directors.
8. The Corporation shall have exis
tence for thirty five (35) years with
the privilege of renewal at the expira
tion of that time.
9. The principal office of said Corp
oration shall be in Fulton County,
Georgia, but petitioners desire the
right and privilege of establishing of
fices and branches elsewhere, both
within and without the State of Geor
gia.
WHEREFORE, Petitioners pray that
RAY KASPER, INC. be incorporated
under the laws of Georgia and that
said Corporation have all of the rights,
powers, privileges and immunities
which are hereinabove set forth and
such others as are now, or mav here
after be, allowed to corporations of
like nature under the laws of the State
of Georgia.

ed without an injustice to any stock
holders or any person having any
claim of any character against said
corporation.

That the stockholders of the peti
tioner determined it advisable that the
corporation he dissolved and that a
called meeting of the stockholders held
on the iGth day of December. 1963, at
2 00 o’clock p. ni., pursuant td consent
and waiver of notice of the calling of
said - meeting, which meeting was held
at 1017 William Oliver Building, At
lanta, Georgia, a resolution was adopt
<*d by the affirmative vote of all of
the owners of the entire outstanding
stock of the corporation authorizing
and directing the President to take the
necessary steps to proceed with the
dissolution of the corporation and the
surrender of its charter. A certified
copy of said i;esoiutfon is attached
hereto, marked Exhibit “A,” and made
a part of this petition.
5.
Your petitioner shows that all of the
affairs of tin* corporation have been
terminated on or before December 31,
1963.
WHEREFORE, your petitioner prays
that it be dissolved as a corporation

rendered to the State of Georgia as

Rabbi Gerber's “Immortal Rebels' Roses
Humanistic
Setting forth an entirely new
system for evaluating the Bible,
Dr. Israel J. Gerber, in his new
est book, ‘Immortal Rebels,”
topples the revered images of the
patriarchs. “When viewed with
loo much awe, the personalities
of the Bible lose their humanity
and become mere relics of an
earlier age,” he stated in an in
terview in Tils study in Charlotte,
N. C.
‘‘The significance of the Bib
lical characters lies in our abil
ity to see them as people with
problems, specifically family
problems, even as you and I,” he
said.
When subjected to analysis in
“'Immortal Rebels,” the family re
lationships found in Genesis re
veal the same psychological forces
that turn the wheel of life in our
own generation. Abraham, Isaac
and Jacob (and others from Adam
to Moses) are depicted as individ
uals embroiled in family tensions
and conflicts, the author shows.
Jealously and competition be
tween children, favoritism on the
part of parents, and the manifes
tations of sex, love and hate
among the entire family—these
ami many more aspects of dy
namic human interrelationships
color the family portraits. Their
immortality, Rabbi Gerber be
lieves, lies not in finding any final
accommodation to the predicta-
ment of living, but in retaining
their existential freedom.
Biblical criticism concerning
the historicity of the persons is
irrelevant to a psychological study
of the Biblical families, Rabbi
Gerber says. It is unimportant
whether there was an Adam, or
an Isaac, or a Rachel. What is of
value, he feels, is that the char
acterizations found in Scripture
and the elaborations found in the
Talmud and other Rabbinic
writings are personalities, psy
chologically. Thus the story of a
childless marriage, such as Ja
cob’s and Rachel’s, is relevant
today. Their relationship had de
teriorated to the point of bitter
accusations and counter-accusa
tions, but following the therapeu
tic effect of adopting a child,
Jacob and Rachel had two' sons,
fulfilling their unsurpassed love
story.
In another scene the squabbling
husband and wife are Abraham
and Sarah. Not at all the passive
woman who patiently awaited the
arrival of her first child in old

Rosa Raisa
Dies at 70
LOS ANGELES (JTA)—Bialy-
stok-born Rosa Raisa, in her day
one of the world’s leading opera
stars, died here in October after
a long illness at the age of 70.
She had been living with a daugh
ter since her retirement in 1937.
At the age of 14, Rosa Raisa
Burshteim emigrated to Naples to
escape a pogrom. Aided by lead
ing figures of Italian opera, she
made her debut at the Verdi Cen
tenary Festival in Parma in 1913
and her American debut in the
same year in Chicago.
She and her talian husband be
came naturalized American citi
zens. She spoke and sang in Yid
dish, English, Russian, German,
French, Italian and Spanish. She
sang the role of “Leah” in the
first American performances in
Detroit in 1936 of Rocca’s opera,
‘ The Dybbuk.” She was married
to a Catholic, the baritone-Giac-
enmo Rimini, who died in 1952.
In addition to her daughter, Mrs.
Joseph Segala, she is survived by
a sister, Mrs. Freida Goldenberg
of the Bronx. She will be buried
with Catholic rites.

Attributing needs and motiva
tions defined by modern psychol
ogy to the Biblical personalities,
Rabbi Gerber has unlocked sC new
interpretation of Genesis The
early Rabbis, sages ( and Hebrew
authors from whose writings he
has drawn understood the dy
namics of human behavior, he
setates. Moreover, these stories
support a single underlying theme
—rebellion against predetermina
tion. Primogeniture, a system
which established ‘‘the iife-long
superiority of the first-born and
the permanent inferiority of the
other offspring,” was the obstacle
to freedom that each of the im
mortal personalities strove to
overcome.
Contrary to popular belief and
Biblical scholarship, the author
shows that the patriarchs sub
verted primogeniture and flouted
it at every opportunity in order
to provide superior leadership.
Their rebellion against primogen
iture promoted rivalry and placed
a premium on “freedom-for-the-
individual.” Thus tension and
conflict activated indi v i d u a 1
achievement and promoted growth.
While admitting that tension and
conflict can become malignant,
as seen in the pathological be
havior of Cain, Ishmael, Ham and
Esau, Rabbi Gerber considers
such stress essential to man’s sur
vival. They help maintain his
emotional health. ‘‘Without con
flict and tension, man is enervat
ed; without the continuous need
to reorient himself, he vegetates.”
The one characteristic shared by
each of the ‘‘Immortal Rebels” is
an unwillingness to accept a pre
determined status quo.
An understanding of the lead
ership qualities of Joseph and
Moses is particularly pertinent to
modern life, Rabbi Gerber be
lieves. Although Joseph was sub
jected to the fullest expression of
his brothers’ hostility (short of
death) he also enjoyed his fa
ther's ‘“unconditional love.” He
survived the pit, exile, slavery
and seduction to become a great
leader. “‘Whether . Vfoseph was
strengthened by his father’s love
or by the hand of God, his ulti
mate maturity justified Jacob’s
emotional preference for him,”
Rabbi Gerber concludes.
Moses - , on the other hand, grew
up in the care of an adoptive
mother, with only the subconsci
ous memory of his natural mother
who nursed him in infancy. Yet
he broke away from Bithiah and
joined the Hebrews “because he
felt a greater kinship awaited
him.” Speculation about the
psycho-dynamics of Moses’ lead
ership involves a re-interpretation
of “God’s call” and the symbolism
’ of the burning bush. “Existential
analysis of the experience does
not diminish Moses’ stature, Rab
bi Gerber explained. Rather, he
hopes to elevate the self-image of
modern man: “We, no less than
our forefather,-,, can give immor
tal meaning to our lives.”
Activity in his growing con
gregation and in the lively com
munity life of Charlotte, give ev
idence that the popular rabbi’s
theories work. The impact of his
personality an his associates is a
notable absence of complacency.
His first book, “The Psychology
of the Suffering Mind,” a study
of the Book of Job, pioneered the
combination of psychology and
religion and has become a text
book and standard reference
work in universities and theolog
ical seminaries.
“Man on a Pendulum,” the case
history of a homosexual treated
by Dr. Gerber aired the daily
problems of an invert and offered
clinical proof that the condition
can be cured- a.question still hot
ly debated among psychologists
and laymen alike.
“Immortal Rebels,” published
this month bv Jonathan David
Company, will prove equally pro
vocative to laymen and profes
sionals interested in the Bible
and in the psychology of family
life.
Rabbi Gerber is remembered
for his brilliant rabbinate at
Dothan which he shared with
duties as Southeast director,
Union of Hebrew Congregations.
