3. The object of the corporation Is
pecuniary gain to Itself and Its stock
holders.
4. The particular business of said
corporation shall be that of general
painting, decorating and wall covering,
both as contractor and as sub-con
tractor; but said corporation shall
also have the right to buy, sell, lease,
hold and Improve properties of every
kind, character and description, real
and personal, either In Its own be
half or as agent and/or contractor for
others, and to deal generally In the
purchase, sale and ownership of any
properties, with the right to borrow
money and secure the payment there
of by mortgage, deed, note or other
instruments In connection therewith,
as well, also, as the right to carry on
any other trade or business which may
be lawfully carried on by a corpora
tion chartered by the Superior Court.
5. The corporation shall have only
one class of stock, which shall be com
mon stock having a par value of TEN
DOLLARS (110.00) per share. The max
imum number of shares of such stock
hereby authorized to be Issued and
outstanding at any time shall be 5,000
shares.
6. The minimum amount of capital
with which the said corporation shall
begin business shall be not less than
ONE THOUSAND DOLLARS (11,000.00).
WHEREFORE, petitioners pray for
an order Incorporating them under the
name and style aforesaid, with all the
rights, powers, privileges and Immun
ities herein set forth and such ad
ditional rights, powers, privileges and
Immunities as may be necessary,
proper or Incident to the conduct of
the business aforesaid, and as may
be Inherent In, or allowed to, like
corporations under the laws of the
State of Georgia, as such laws now

The petition of DAVID GERSHON,

SCHWARTZ, all of whose post office
address is 730 Healey Building, Atlan
ta, Georgia, 30303, respectfully shows:
1. Petitioners desire for themselves,
their associates, successors and assigns
to be Incorporated under the name
of
“BANKHEAD ESTATES, INC.”
2. The object of said Corporation is
pecuniary gain.
3. The general nature of the busi
ness to he transacted by said Corpora-
tlon shall be to acquire, own. develop,
use. Improve, lease, rent, operate and
manage real estate and other property
of all kinds whatsoever; also to erect
and construct buildings, structures and
Improvements, both for itself and for
others. The Corporation shall be au
thorized to exchange property, to bor
row and lend money, to secure the
payment of any money borrowed by it
by mortgage, deed, note or other In
strument In connection therewith, to
guarantee or become surety on the
obligation of other parties, to enter
into partnerships or joint enterprises
with other parties, and generally to
perform all acts and do all things
which may be helpful in the carry
ing on of any of the above business
activities.
4. The authorized capital of the
Corporation shall be Five Hundred
Thousand Dollars ($500,000 001 to be
divided into Class “A” and Class “B”
Common Stock in the following man
ner and with the following powers,
privileges and immunities, to-wtt:
Said Common Stock shall consist of
Fifty Thousand (50,000) shares of Class
A Common Stock, and of Fifty Thou
sand (50,000) shares of Class B Com
mon Stock, both Class A and Class B
Shares to have a par value of Five
Dollars ($5.00) per share) Both of
said classes of stock shall have the
same rights, privileges and Immun
ities, except, however, that each and
singular, every share of said Class A
Common Stock shall have no voting
rights whatsoever. Shares of Non-
Voting Common Stock shall be plain
ly stamped "NON-VOTING." The
holders of the share* of non voting
stock shall not • be entitled to notice
of any meetings of stockholders and
•hall not be entitled to vote upon any
question whatsoever which may be
presented and decided upon at any
meeting of stockholders. The register
ed holders of the common stock having
the voting power In any dividends or
In any distributions In liquidation
which may hereafter be declared and
paid by the Corporation.
However, the amount of capital with
which the Corporation shall begin busi
ness shall be not less than $50,000.00.
The Corporation shall have the author
ity to Issue shares for such considera
tion or consideration* In money, prop
erty, or services at fair valuation as
shall, from time to time, and at any
time, be fixed by the Board of Direc
tors, In conformity with the require
ments of the By-Laws of the Corp
oratism The Corporation shall be au
thorized to issue additional shares up
to the maximum numbers stated
above, and thereafter, from time to
time, to reduce the amount of the
capital outstanding, but not below the
minimum above stated, and aU this,
upon action duly taken by the Board
of Directors.
5. At all elections of directors,
whether at annual meetings or special
meetings of the stockholders, each
stockholder shall be entitled to aa
many votes as shall equal the number
of his shares of stock multiplied by
the number of directors to be elected;
and he shall cast all of such votes
for one, two, or more directors, which
right shall be termed cumulative
voting PROVIDED that any vacancy
occurring In the Board of Directors,
from any cause, shall be filled by the
vote of the holders of the shares
whose cumulative ballots elected the
outgoing director, and such successor-
director shall hold office for the bal
ance of the term of his predecessor.
6. The Corporation shall have exis
tence for thlrty-fjve (35) years with
the privilege of renewal at the ex
piration of that time.
7. The principal office of said Corp
oration shall be In Fbilten County,
Georgia, but It shall have the right
to establish other offices and branches
elsewhere, both within and without
the State of Georgia.
WHEREFORE, petitioners pray that
BANKHEAD ESTATES, INC. be In
corporated under the laws of Georgia
and that said Corporation have all of
the rights, powers, privileges and Im
munities which are hereinabove set
forth and such others as are now,
or may hereafter be, allowed to corp
orations of like nature under the laws
of the State of Georgia.

OBITUARIES
Mrs. Gussie Felton
Mrs. Gussie Felton, 84, of
Brooklyn, N. Y., died Tuesday,
March 23.
Funeral services were held in
Brooklyn on March 24.
Survivors include four sons,
Phil and Bill Felton of Atlanta,
Nate Felton, Scarsdale, N. Y.,
and Murray B. Felton of Kings
Point, N. Y.; a daughter, Mrs.
Nat Kalka of Brooklyn; grand
children including Mrs. Monty
M. Mills, mrs. Aaron Cohen and
Mrs. Eugene Felton of Atlanta,
Mrs. Bernard Weinstein of Nash
ville and eight in New York, and
14 great grandchildren.
Mrs. Fannie Goldsmith
Mrs. Fannie Dora Port Gold
smith, 81, of College Park, Ga.,
died Wednesday, March 24.
Mrs. Goldsmith, the widow of
Edward L. Goldsmith, was a na
tive of Richmond. She had lived
in Atlanta for more than 55
years and was a former sales
woman with local department
stores.
Graveside rites were held
March 25 in Greenwood Ceme
tery with Rabbi Emanuel Feld
man and Cantor Robert Ungar
officiating.
Survivors include four sisters,
Mrs. Karl Rosenberg, Mrs. Hat
tie E. Kalish, Miss Anna Port
and Mrs. Mary Lichtenstein, all
of Atlanta.

1. The petitioners desire for them

($200.00) Dollars.

be fixed from time to time by the
stockholders at any stockholder's meet
lng or by the Board of Directors from
time to time when acting under gen
eral or special authority granted by
the stockholders, and may In their
discretion allocate any portion of the
consideration received for said stock

8. Petitioners desire that said cor
poratlon shall have all the rights and
powers, and be subject to the limit*
tlons fixed by the Corporate Act of
1938, and enumerated In Georgia Code
Annotated S22-1827 and S22-1828, as
amended from time to time insofar as
the provisions “of such Act are appU
cable to the Corporation hereby sought
to be chartered.
