all kinds of mechanical devices nec
essary to Implement same. To buy, sell
and distribute, to wholesale and to
retail rubber automobile tires of all
kinds and description, including the
buying and owning of the necessary
tools and equipment for said business,
and to sell and distribute gasoline, oil
and all other types of products used
In the normal and necessary opera
tions of an automobile service station
or center. To manufactune. buy, sell
and deal in Insecticides, janitor’s sup
plies and kindred lines, to deal in
chemical 'ormulas and do a general
chemical r ' rch business, to manu
facture^ ' ea in goods, wares and
mercrfanu. in general and to engage

da^d lines. To acquire, broker, hold,
Improve, maintain, sell, lease, trade
and invest in real, personal or in
tangible property; to act as agents in

to make real estate and personal prop
erty loans; to contract, to erect, con
struct, build, Improve, remodel, repair,
alter, and maintain all types of homes,
buildings, and improvements; to sub
contract to others the right to do
anything which the corporation might
do itself; to mortgage and otherwise
encumber its property by note, loan
deed, or otherwise; to enter into
partnerships; and to have all the gen
eral powers conferred upon corpora
tions by the laws of Georgia.
5. The corporation shall have, ana
it is hereby given the power to lend
or borrow money both secured and
unsecured on any terms, and to as
sure, gurantee, endorse, assign, trans
fer, or become surety on any such
obligation or liability of any person,
corporation or association, whether or
not connected with the regular busi
ness of the corporation.
6. The capital of the corporation
shall be represented bv common stock
having a par value of $25.00 per share.
The maximum number of shares of
common stock shall he 6.000; however,
the capital shall he not less than
$200 00 paid In at the time the corp
oration commences business. The
stock of the comoratlon mav be paid
for In cash, goods, or services, as the
Directors mav elect, and up to the
maximum allowed herein.
WHEREFORE, petitioners pray to he
Incorporated under the name and style

gia, respectfully shows:
1. Petitioners desire for themselves,
their associates and successors, to be
incorporated under the name of
ADVANCE PAPER COMPANY
for a period of thirty-five (35) years,
with all of the privileges of renewal
given to similar corporations by law.
2. The principal office of said corp
oration shall De In Fulton Countv,
Georgia, but the corporation shall
have the right to establish branch of
fices and places of business elsewhere,
both within and without the State of
Georgia.

paper and plastic products, all kinds
of sundries, notions, novelties, and
any and all other forms, tvpes or kinds
of Items or products whatsoever usual
ly or customarily handled and sold.

venient, expedient, ancillary or In aid
to the accomplishment of the fore
going.
5. The corporation shall have the
power to enter into, or become a part
ner in, any arrangement for sharing

oint venture or otherwise, with any
person, firm or corporation in the
carrying on of any business, operation,
enterprise or venture which this corp
oration has the direct or Incidental
authority to pursue. It shall have the
power, generally and without any lim
itation or restriction whatsoever, to
hold, purchase, own, deal In. mortgage
or convey real estate and personal
property in this State and In any other
state or country.
6. The maximum authorized capital
stock of the corporation shall be one
thousand (1,000) shares of common
stock having a par value of $100.00
per share, and said corporation shall
nave the right to increase Its out
standing stock up to said maximum
from time to time and when author
ized by the Board of Directors of said
corporation.
7. The minimum amount of capital
with which said corporation shall
begin business shall be not less than
$25,000.00.
WHEREFORE, petitioners pray for
an order Incorporating them under the
name and style aforesaid, with all the
rights, powers, privileges and immun
ities as may be necessary, proper or
Incident to the conduct of the afore
said business, and as may be inher
ent in, or allowed to, like corpora

pose of providing, fostering, promot
ing assisting and encouraging Jewish
education on a secondary and ad
vanced level. In carrying out the fore
going purpose and objective the corp
oration shall be authorized to estab
lish and/or assist in the development
and support of one or more education
al facilities; to promote programs of
general and special Jewish education;
to teach, train and educate persons
desiring advanced Jewish education;
and to encourage the public to give
financial support to the objectives of
the corporation.
5.
Said corporation shall be governed
and controlled by a Board of Trustees,
of a Board of Directors under the law,
which shall perform the duties and
have all of the rights and authority
as well as such other rights as are
herein granted. The Incorporators
hereof shall constitute the original
Board of Trustees. The Initial term of
office of the aforesaid Trustees shall
be three (3) years. The term of office
of Trustees subsequently elected to
the Board shall be as set forth In the
by-laws of the corporation. The Board
of Trustees shall fix the number of
Trustees, which in no case shall be
less than three nor more than forty
and shall by majority vote elect all
successor and additional trustees. Any
trustee may resign by tendering his
or her resignation to the remaining
trustees and may be removed as a
trustee either with or without cause
by the vote of a majority of the re
maining trustees. The Trustees shall
have the power to elect or appoint
such officers, agents, or committees
as they may deem necessary or ap
propriate, and to confer on them and
delegate to them such power, authority
and duties as thev mav deem neces
sary or appropriate, and by majority
vote to adopt by-laws and rules not
Inconsistent with the provisions of this
Charter.
6.
Should the corporation be dissolved,
bv the expiration of its charter or
otherwise, then all money and prop
erty owned by the corporation shall
be distributed to such corporations,
funds, organizations or foundations or
ganized and operated exclusively for
charitable, or educational purposes,
no part of the net earnings of which
Inure to the benefit of any private
shareholder or individual, as the Trus
tees shall determine.
7.
The corporation shall be authorized
to accept contributions or gifts In the
form of money or property, either
without restriction or subject to such
terms, restrictions or trusts as may
be provided In such gift, and may ad
minister anv such trust, provided such
terms, conditions or trusts are within
the objects and purposes of this corp
oration. Such contributions or gifts
may be designated as memorials and
the trustees shall provide for appro
priate recognition of such memorials.

Unless otherwise required bv the
terms upon which any contributions
shall be made, the corporation In
Its discretion may retain all funds and
property in the original form In which
received, may buy, sell, exchange or
otherwise deal In stocks, bonds, real
estate, and all other forms of prop
erty. mav Invest and reinvest any
funds belonging to the corporation In
such forms of property as the Board
of Trustees. In Its sole discretion, mav
see fit. irrespective of whether such
investments be legal investments for
trust funds as prescribed bv the Laws
of Georgia. It mav use anv bank or
trust romnany as its fiscal agent, and
delegate to such aeent the custody,
management, investment and reinvest
ment of Its funds, and compensate
such agent and other employees for
their services.
9.
This charter mav be amended at
any time or times by a malorlty vote
of the trustees then in office, pro
vided that no amendment shall author
ize the trustees to conduct the affairs
of this corporation In any manner or
for any purpose contrarv to the pro
visions of Section 501(c) (3) of the In
ternal Revenue Code of 1954 as now
In force or afterwards amended. An
amendment of the provisions of this
Paragraph 9 shall be valid onlv If and
to the extent that such amendment
further restricts the trustees’ amend
ing power.

Excepting those actions specified
herein as requiring the vote of a ma
jority of the trustees, all powers of
the Board of Trustees may be exer
cised by the affirmative vote of a
malorlty of the Trustees at a duly
called meeting at which a quorum Is

originally built on a sand-dune,
may soon have its own subway
system.
A British group interested in
financing and constructing the
system has submitted its proposal
to Transport Minister Moshe Car
mel.
Members of the group, repres
enting Interstate Economic De
velopment, Ltd., a consortium of
civil engineers and financial in
terests, visited Israel recently at
the invitation of the Tel Aviv
Municipality.
It is estimated that the cost of
the subway will be approximate
ly four million pounds for each
mile of line.

Philip M. Klutznick, a former
B’nai B’rith President, has been
appointed to serve as the U. S.
Representative on the Ad Hoc
Committee of Experts to Examine
the Finances of the United Na
tions and the Specialized Agen
cies, it was announced here by
Ambassador Arthur J. Goldberg.
Ambassador Klutznick has
served in several UN posts before.
From February 11, 1961, to De
cember 21, 1962, he was the U.S.
Representative on the Economic
and Social Council and he has
also been one of the late Adlai
Stevenson’s principal advisers.
