1. The general nature of the busi
ness to be transacted by said Corp

eral brokers, dealers, and underwriters
In stocks, bonds, securities, mortgages,
and other choses In action. Including
th acquisition thereof by original sub
scription, underwriting, or otherwise;
to make Investments in such proper
ty; and to hold, manage, mortgage,
pledge, sell, and dispose of the same

4. Petitioners further desire that
said Corporation be vested with all the
rights and powers now or hereafter
given to do any and all things which
may be needful or proper In the op
eration of the above described busi
ness, and that said Corporation have
all of the powers enumerated In Sec
tions 22-1827 and 22-1828, Georgia Code
Annotated, and such other powers as
may hereafter be given by law.
8. The maximum number of shares
of capital stock which the Corpora
tion shall be authorised to Issue and
have outstanding at any one time
shall be 5,000 shares of common stock
with the par value of Ten ($10.00)
Dollars per share.
#. The amount of capital with which
the Corporation shall begin business
shall be not less than $200.00.
7. The Corporation desires the right
to Issue shares of stock for such rea
sonable consideration or considera
tions in money, property, or services,
or a combination of the same, as
shall be fixed from time to time by
a majority vote of the Board of Di
rectors.
8. The Corporation shall have exis
tence for thirty-five (35) years with
the privilege of renewal at the ex
piration of that time.
9. The principal office of said Corp
oration shall be In Fulton County,
Georgia, but petitioners desire the
right and privilege of establishing of
fices and branches elsewhere, both
within and without the State of Geor
gia.
WHEREFORE, Petitioners pray that
ATLANTIS UNDERWRITING CORP
ORATION be incorporated under the
laws of Georgia and that said Corp
oration have all of the rights, powers,
privileges and Immunities which are
hereinabove set forth and such others

1- Petitioners desire for themselves,
their associates, successors and as
signs to be Incorporated under the
name of
"PIEDMONT DEVELOPMENT &
INVESTMENT CORPORATION."
2. The object of said Corporation Is
Pecuniary gain.
3. The general nature of the busi
ness to be transacted by said Corp
oration shall be to acquire, own, de
velop, use, Improve, lease, rent, op
erate and manage real estate and
other property of all kinds whatso-
•vw; »l*o to erect and construct
buildings, structures and Improve
ments, both for Itself and for others.
The Corporation shall be authorized
to exchange property, to borrow and
lend money, to secure the payment
of any money borrowed by it by
mortgage, deed, note or other Instru
ment In connection therewith, to gua
rantee or become surety on the obli
gation of other parties, to enter Into
partnerships or joint enterprises with
other parties, and generally to per
form all acts and do all things which
may be helpful In the carrying on of
any of the above business activities.
4. The authorized capital of the
Corporation shall be Five Hundred
Thousand Dollars ($500.000 00) consist
ing of 5,000,000 shares of Common
Stock of the par value of ten cents
($.10) per share.
However, the amount of capital
with which the Corporation shall
begin business shall be not less than
$40,000.00. The Corporation shall
have the authority to Issue shares of
stock for such consideration or con
siderations In money, property, or
services at fair valuation as shall,
from time to time, and at any time,
be fixed by the Board of Directors.
The Corporation shall be authorised
to Issue additional shares up to the
iwsimum number stated above, and
thereafter, from time to time, to re
duce th amount of the capital out
standing, but not below tbe minimum
above stated, and all this upon action
duly taken by the Board of Directors.
5. Tbe management of this Corpora
tion shall be vested In a Board of
Directors. The first Board of Direc
tors shall consist of five (5) members
who shall be elected by the original
stockholders for a term of ten (10)
years and until their successors are
elected and qualified and have ac
cepted office. Should any vacancy or
vacancies occur In the Board of Di
rectors during such first ten (10) year
period of the Corporation's existence,
the same shall be filled by the re
maining ones of the original five (5)
Directors and any other persons there
tofore elected by the Board to fill
vacancies therein. Persons so elected
to fill vacancies on the Board shall be
elected for the unexplred portion of
the term of the directors they suc
ceed. The number of directors may
be Increased to not more than nine
(9) upon recommendation of the Board
of Directors and by a two-thirds vote
of the Stockholders. Any directors
other than the original five and their
elected by the Stockholders for terms
successors, as set out above, shall be
of one year and until their successors
are elected and qualified and have ac
cepted office. Upon termination of
such first ten (10) year period of the
Corporation’s existence, all directors
shall be elected annually by the
Stockholders to serve for a period of
one (1) year and until their successors
are elected and qualified and have
accepted office.
8. The Board of Directors of this
Corporation shall have the power to
enact such by-laws defining the
powers and duties of the officers of
the Corporation and providing for
such other matters In relation to its
affairs as they may deem necessary
and convenient, providing the same
are not contrary to the laws of the
State of Georgia or of this Charter.
The by-laws of the Corporation or
any part thereof mav be altered or
amended or new by-laws adopted, by
a majority vote of all of the mem
bers of the Board of Directors at any
regular meeting, or at anv special
meeting called for that purpose, the
authority granted In this sentence
being subject always to the power of
the Stockholders to chance such ac
tion by a two-thirds majority vote at
any regular meeting, or at anv special
meeting dulv convened after notice
of the proposed change.
7. No holder of stock of this Corp
oration shall, as such holder, have
any pre-emptive right in, or pre
emptive right to subscribe to, any
shares of anv stock of any kind, or
of any bonds, debentures or other
securities, whether or not the same
are convertible Into or exchangeable
for. shares of this Corporation’s
Stock
8. No contract or other transaction
between this Corporation and any
other corporation or association or
firm shall In any way be affected or
Invalidated by the fact that any of
the directors or officers of this Corp
oration are pecuniarily or otherwise
Interested In, or are directors or of
ficers of such other corporation, as
sociation, or firm. Any director or
officer of this Corporation Individual
ly may be a party to or may be pe
cuniarily or otherwise Interested In,
any contract or transaction of this
Corporation.

the Royal Oak, Michigan, priest
whose oratorical power enthrall
ed millions in radio’s infancy.
He was heard on 68 stations; in
1936, he drew 150,000 “crusaders”
for what he called social justices
to a Chicago park; and in that
same year, he went boldly into
politics with his William Lemke-
Thomas C. O’Brien ticket, polling
882,000 votes for the Coughlinite
having been presented, examined and
found to appear legitimately within
the purview and Intention of the laws
of this State, and there being present

It is an anniversary year in a
double sense: he was ordained a
priest 50 years ago; and on Oct.
25, he will turn 75.
Now on the occasion of the
anniversary of his ordination,
golden anniversary of his or....
Richard Cardinal Cushing of
Boston had publicly and proud
ly announced that he intended
to go to Royal Oak to honor his
fellow churchman. But the Card
inal has not been well; and in
his stead, the prime address of
the day was delivered by Msgr.
Francis J. Lally, distinguished
editor of the Boston archdiocesan
newspaper, The Pilot.
Undoubtedly, another great
celebration will take place in Oc
tober when Father Coughlin
achieves three score and 15. But
for the moment it is helpful to
those who have forgotten the
damage done by the radio priest
to the cause of unity in this na
tion and to an entire people, the
Jews, to offer a slight rebuttal
to some of the points made on
his behalf by Msgr. Lally.
“He preached social justice”
said Msgr. Lally, “his summons
to social justice . . . embraced all
those who sought the betterment
of man and Society.”
Response: In the Feb. 13, 1939,
issue of Father Coughlin’s news
paper “Social Justice,” the Mich
igan priest pointed out proudly
that Nazi Germany had adopted
his 16 principles of “social jus
tice.” An idea of his conception
of social justice may be found
in his magazine of August 1,
1938, when he called democracy
“a mockery,” “a cloak” under
which “an inorganic tumor” had
been built.
“Before preachers pleaded for
peace, he sought vainly to keep
us from war,” said Msgr. Lally.
Response: In “Social Justice”
magazine, Oct. 17, 1938, Father
Coughlin wrote: “There is an

of Munich provided it.” Again,
in his magazine, April 3, 1939, he
declared: “The Rome-Berlin
Axis is serving Christendom in a
peculiarly important manner.”
“Seldom has the gospel been
preached with such eloquence,
seldom have we heard the truths
of religion expounded with more
felicity of phrase and power of
exhortation,” said Msgr. Lally.
Response: Was the Christian
gospel preached by Father
Coughlin when, in his magazine
of April 24, 1939, he stated that
the Great Depression in this
country had been “diliberately
created”? Where in the gospels
would one find the advocacy of
bullets in place of ballots, offer-
ered Sept. 25, 1936, by Father
Coughlin? How well did Father
Coughlin serve the cause of re
ligion when he wrote in his mag*
azine, April 10, 1939: “Religion
gets a better break in Germany
than in ‘democratic’ America?"
Said Msgr. Lally in his Royal
Oak tribute: “Few public figures
in our national history were so
consistently vilified, investigated,
persecuted and denounced as was
Father Coughlin.”
Response: Was Father Coughlin
truly the reviled or the reviler,
the innocent victim or the sharp
accuser? Why did “Social Jus
tice,” March 6, 1939, in describing
the German-Ameriean Bund ral
ly of Feb. 22 in Madison Square
Garden itself report that refer
ences to Father Coughlin brought
loud and prolonged cheering at
that anti-American event? Who
vilified whom when Father
Coughlin called the President of
the United States a liar, a “scab”
President, a man who was anti-
God?
What greater persecutors has
history known than the bullies
of the Third Reich? Do those who
now declare that Father Coughlin
was persecuted recall that in his
Dec. 5, 1938, paper, he printed
over his own signature an article
large sections of which were
taken word for word from a
speech by Dr. Joseph Goebbels,
Nazi Minister of Propaganda?
Who was being persecuted
when Father Coughlin helped
set up the so-called Christian
Front, a machine of persecution
to which he gave blind allegi
ance?
Who was persecutor, who the
persecuted, when Father Cough-
in brazenly, in 1938, quoted wide
ly in his magazine from the
shocking "Protocols of the Learn
ed Elders of Zion” and declared:
“I am not interested in the
authenticity of the Protocols; I
am interested in their factual-
ity.”
"And I’ll have you know our Rabbi
is a man of Spotless Mediocrity."
