The general nature of the business
to be transacted by said corporation
ahall be that of purchasing and selling
of any and all types of goods, wares
and merchandise and also for buying
and selling of all types of personal
and real property, and to do all and
everything incidental to carrying on
said business.

The Capital Stock of said corpora
tion shall be $50,000.00, divided into
Five Thousand (5,000) shares at the
par value of $10.00 each, all of which
shall be common stock.
6.
The amount of capital with which
this corporation shall begin business
is $200.00, and all the capital shall be
paid into the corporation in money,
property or a combination of the two.
7.
To acquire and pay in cash, stocks
or bonds of this corporation or other
wise real and personal property. The
good will rights, assets and profits,
and to undertake or assume, in whole
or any part thereof, the obligations
or liabilities of any person, firms, as
sodation or corporation.
8.
To issue bonds, mortgages, deeds to
secure debt, other indentures for the
purpose of securing any obligation of
said corporation.
9.
Said corporation shall be authorized
to issue stack for any consideration,
either money, property or services,
which is at least equivalent to the full
par value of the stock so to be Issued.
The valuation of any property or serv
ices for such purpose will be fixed by
the Director of the corporation and
such method of valuation will be con-
elusive.
10.
The corporation shall have the power
to amend, alter, change or repeal any
provision of its Charter in form or
substance upon the vote of two-thirds
of its outstanding common stock, and
all rights conferred upon stockholders,
directors, and officers herein and
granted subject to this reservation.
11.
Applicants desire that the said corp
oration shall have and enjoy all the
privileges, rights and powers enum
erated in Chapter 22-18 of the corp
oration act of 1938 of the Code of
Georgia, and as the same may be
hereafter amended, and all of the
powers and privileges enumerated
therein all made a part thereof to the
same extent as if the same were
enumerated herein.
WHEREFORE, petitioners pray an
order to be granted Incorporating
them, their associates, successors and
assigns, under the name aforesaid,
with the powers and privileges as may
be necessary proper or incident to
the conduct of the business for which
petitioners are seeking incorporation,
and as may be allowed for private
•orporations under the terms of the
act of January 28. 1938, authorizing the
chartering of corporations.

too united, is trying to overcome
the above condition by, among
other things, increasing the num
ber of Jewish day schools. Today
there are about a dozen day
schools of the Zionist Federation
in England, most of them started
i» the past few years, with al
most 3,000 young boys and girls
attending classes in cities like
London, Leeds and Glasgow.
Many British parents, said Mr.
Gourgey, ‘‘see the day schools as
one of the answers to combat the
possible loss of Jewish youth to
assimilation.”
There are about a half-million
Jews in England and that island
is just as worried about assimila
tion as is the American Jewish
community. “The degree of as
similation varies with the degree
of apathy among all Jews,” said
Mr. Gourgey, who notes that “the
real problem is that parents need
to be educated.”
The Zionist groups, for in
stance, have increased their adult
education programs and study
groups have been extended by
synagogues.
The Jewish community in Eng
land of course is active on all
fronts. Out of 630 members of
Parliament 40 are Jews and all
but two are members of the
Labor Party and about half of
the Labor Party members of

sonal, relating to any and all kinds of

(b) To own, buy, sell, barter, ex
change, improve, lease, rent, use, man
age, encumber, mortgage, transfer,
assign and otherwise dispose of and
deal in real estate and personal prop
erty of all kinds and character what

(c) To borrow and lend money, with
or without security, by mortgage, deed
of trust, security deed, or otherwise,
on real or personal property;
(d) To acquire, own, buy and sell
Its own stock;
(e) To subscribe for, purchase, own,
hold, sell and dispose of stocks, bonds
or other obligations of any other cor-
poraUon and association;
(f) To engage In any and all forms
•f business and other activities not
specifically prohibited by law, and not
requiring special charter.
4. Petitioners further desire that
said Corporation be vested with all
the rights and powers now or here
after given to do any and all things
which may be needful or proper In
the operation of the above described
business, and that said Corporation
have all of the powers enumerated In
Sections 22 1827 and 22 1828. Georgia
Code Annotated, and such other pow
ers as may hereafter be given by law.
5. The maximum number of shares

British Jewry is united through
the Board of Deputies, the cen
tral organization of Anglo-Jewry
and this board, like others, is
concerned with intermarriage
which is on the rise in Britain.
Mr. Gourgey talks with much
enthusiasm about what he calls
the Kennedy Peace Corps (the
U. S. Peace Corps) and says this
is what might help British Jew
ish youth find something which
will capture their imagination. “If
we can put to Jewish youth this
idea of going to Israel to work
with the newcomers to that coun
try, this will narrow the gap be
tween assimilation and integra
tion within the Jewish commun
ity in the Diaspora,” he said. Ap
parently, to Mr. Gourgey, the
many youth-programs which are
similar to the Peace Corps have
yet to fire the imagination of
British youth.
In Britain, Mr. Gourgey’s Poale
Zion is affiliated with the Labor
Party. “We feel the Labor Party
has more to offer than the Con
servatives,” said Mr. Gourgey,
who noted that by affiliating with
the British Labor Party, the Poale
Zion feels they offer a great deal
to the Jewish citizen of England
who wants to participate in the
political life of Britain.
Of course, British Jewry has a
history in England that dates
back to soon after the Normans
invaded England in 1066. Wil
liam the Conqueror encouraged
the migration of Jewish merch
ants and artisans from Rouen in
Normandy, and they settled in
London, Oxford and Cambridge
before the end of the 11th Cen
tury. Jews were expelled in 1290
but allowed to return in 1656.
By 1880 British Jewry num
bered 60,000. They were well
rooted in the life of the country
to which it had contributed many
distinguished figures, such as
Rothschilds, Montefiores, Mon
tagus and others.
Today, Mr. Gourgey comes
from a nation where Jewish
emigration to Israel is higher,

sideration or considerations in money,
property, or services, or a combina
tion of the same, as shall be fixed
from time to time by a majority vote
of the Board of Directors.
§. The Corporation shall have exis
tence for thirty-five (35) years with
the privilege of renewal at the ex
piration of that time.
9. The principal office of said Corp
oration shall be In Fulton County,
Georgia, but petitioners desire the
right and privilege of establishing of
fices and branches elsewhere, both
within and without the State of Geor
gia.
WHEREFORE, Petitioners pray that
EARL LEONARD SMITH, INC. be in
corporated under the laws of Georgia
and that said Corporation have all of
the rights, powers, privileges and im
munities which are hereinabove set

tic. That community is now 310
years old. He doesn’t see such an
event as the expulsion ever hap
pening again and despite the
worries about assimilation, he be
lieves the British community of
Jews is strong — and can live
another 310 years as long as they
continue to adapt to modern life.
