bring this appUcatlon for the granting
of a charter for a private corpora
tion, and show to the Court the fol
lowing facts:

They desire for themselves, their
associates and successors to be In
corporated for a period of thirty-five
(35) years With the right of renewal
thereof, as provided by law, under
the name and style of:
WOODLAND ARMS INC.
The principal office and place of
business shall be located In Fulton
County, Georgia, with the privilege of
establishing branch offices and places
of business In such other places as
may be determined. •
The purpose and object of said corp
oration Is pecuniary gain and profit
to Its stockholders.
(a) The general nature of the busl-
ness to be transacted by said corpora
tion is that of an investment com
pany for the purpose of Investing the
capital and surplus of said corpora
tion in real, intangible and personal
property, of every kind and charac
ter, and including any Interest therein.
(b) As an Incident to carrying out
said Investment business, the said
corporation shall have the right to ac
quire, purchase, own, hold, improve,
sell, convey, dispose of, operate, de
velop, lease, mortgage and encumber
any real. Intangible and personal
property of every kind and nature,
including stocks and securities of other
corporations, and to loan money and
take securities for the payment of all
sums due the corporation, and to sell,
assign and. release such securities.
(c) Said corporation shall have the
right and privilege to enter Into a co
partnership or joint venture with any
other individuals, firm or corporation.

The maximum number of shares the
said corporation shall be authorized
to issue shall be five thousand (5,000)
shares of common stock, with a par
value of ONE HUNDRED—fitQLLARS
each, or a fractional part thereof,
which shares shall have proportionate
fractional voting rights and the right

The corporation shall have the
power, from time to time, and with
out amendment, upon a two-thirds ma
jority vote of the outstanding stock,
to Increase and decrease Its capital
stock, within the minimum or max
imum limits hereinbefore provided in
this application for Charter

Commencement exercises for the eighth graduating class of the
Hebrew Academy of Atlanta were held June 7. A dramatic recital
in Hebrew entitled “The Bialik I Love” was presented by the class
under the direction of Jacob Mamane. Henry Bimbrey, president,
conducted the exercises and the charge to the graduates was delivered
by Rabbi Chaim Feuerman.
The class, who received diplomas from Dr. Irving Greenberg,
honorary president of the Academy, are pictured above, (1. to r.)

The amount of capital with which
the corporation will begin business
be TWENTY FIVE THOUSAND
($25,000.00) DOLLARS, to be paid in,
either in property or cash, or other
assetts or a combination of either cash
or property.
The shares of stock of said corpora
tion may be Issued for any considera
tion, whether, money, property or
services and can be issued In exchange
for lease;, including the transfer and
assignment thereof, sales contracts.
Plants and equipment, and any other
real or personal property or choses in
acuon useful or necessary In the pros
ecution of the business of the corp
oration.
The valuation of any property or
services for such purposes will be de
termined by the incorporators or di
rectors of the corporation as the case
may be and such method of valua
tion shall be conclusive and binding.

Applicants desire that the said corp-
oratlon shall have and enjoy all the
privileges, rights and powers enum
erated in Chapter 22-18 of the Corp
oration Act of 1938 of the Code of
Georgia and as the same may be here
after amended, and all of the powers
and privileges enumerated therein are
made a part hereof to the same ex
tent as if the same were enumerated
herein.
WHEREFORE applicants pray that
they be Incorporated under the name
and style aforesaid, with all the rights
and privileges herein set out, and
such others as are now or may here
after be authorized by law, and ap
plicants further pray that their ap
plication be granted.
Mrs. Ida S. Matz of Atlanta
spent a few days in Kansas City
recently enroute to Columbia,
Mo., where she was to attend the
graduation of her daughter Linda
lrom the University of Missouri

Capt. Daniel L. Smith, son of
Mr. and Mrs. Nathan Smith of
Atlanta, has recently returned to
duty in Vietnam after a five day
rest and recuperation period in
Hong Kong. While there he made
telephone contact with his sister,
Bailey Ann, a graduate student
at the University of- Melbourne
(Australia), and his parents in
Atlanta. Capt. Smith is stationed
at the Hq. U. S. Army Support
Command, Saigon.

Barbara Jane Cohen, daughter
of Dr. ami Mrs. Harry L. Cohen
of Atlanta, has been elected to
the Mortar Board at the Univer
sity of Michigan. This the high
est honor given senior women.
She has also been elected to the
executive board of the Pan-Hel
lenic Council.

Honey Clein, daughter of Mr.

lected for a three-month intern
ship with the public information-
public relations office of the Met
ropolitan Atlanta Red Cross
Chapter. She reported on duty
June 5 and will handle all press
releases for Red Cross Youth dur
ing this period, well as de
velop photo-features and edit the
August issue of the Chapter pub
lication. Miss Clein, a graduate
of Grady High, was a member of
the Beta Club and a Gold Key
holder. She was recently elected
to the Student Senate of the U.
of Ga., and is a Sigma Delta Tau.

Mike and Bilddie Parver have
returned from a four week trip
through North Africa, driving
1700 miles through Morocco.
They visited Casablanca, Mara-
kesh, Meknes, Rabat, and Fez,
where they unexpectedly met
Rabbi Sydney Mossman of Shear-
ith Israel Synagogue. The Parvers
also drove through Spain, stop
ping in the smaller towns as well
as Seville, Madrid and the Cos
ta del Sol. *•

Jerald .Harvey Udinsky was to
graduate with honors and dis
tinction as a physicist from the
Massachusetts Institute of Tech
nology on June 9. He has been
employed by MIT as a research
er and teacher of physics. In the
fall Jerald will begin work on
his doctorate with the aid of a
fellowship offered him as an
assistant teacher in Berkeley,
Calif. His parents, Mrs. Rhoda
Udinsky and Isadore Udinsky,
and sister Mrs. Robert B. Clein
were to attend the graduation.
