Applicants desire to obtain a char
ter for a corporation to be known aa
“MBM CORP."

The general nature of the buslnesa
to be transacted by the corporation
Is that of lending money, financing
and purchasing notes, bonds, stock,
paper and securities evidencing in
debtedness of every kind and char
acter. with or without security. In
cluding but not limited to the buying,
negotiating handling and dealing In
negotiable and non-negotlable notes,
bonds, stock, paper and securities by
real and personal property of every
kind and character, together with sec
ondary financing of every character,
and to do all things Incidental
thereto.

The maximum number of shares of
stock which said corporation shall be
authorized to Issue shall be 300,000
shares of common stock, each share
having a par value of $1.00, or a total
of *300,000.00, the holders of said
common stock will have all of the
voting power In the corporation. There
shall be no stock without par value.
4.
The corporation shall begin busi
ness with a paid-in capital of not less
than *50.000.00.
5.
The corporation shall have existence
for a period of 35 years with the
right of renewal as provided by law.

The principal office of the corpora
tion shall be located In Fulton Coun
ty, Georgia, with the privilege of es
tablishing branch offices and places of
business elsewhere.

The petition of ROBERT A. LEVY,
LEONARD WEINGLASS, and SAMUEL
APPEL, each of whose post office ad-
is 1819 Peachtree Road, N. E.,
Atlanta, Georgia, respectively shows:
1.
That they desire for themselves,
their associates, successors and as
signs, to be incorporated under the
name and style of “LEVY-WEIN
GLASS ENTERPRISES. INC.” for a
term of thirty-five years with privi
lege of extension or renewal as by
law provided.
That the principal office of said
business shall be located In Fulton
County, Georgia, with the right and
privilege of establishing branch of
fices and places of business else
where. both within and without the
State of Georgia.

The object of said Corporation is
pecuniary gain and profit.
4.
The corporation is organized to con
duct a general clothing business; to
purchase, manufacture and sell
clothing, Jewelry, leather gbods, ac
cessories and related merchandise of
every kind, nature and description.
The corporation shall further be em
powered to engage in any other type
business or do any act not prohibited
by law. which a majority of Its Board
of Directors may deem appropriate
and desirable.
B.
The authorized capital of the corp
oration shall be *50,000.00 which shall
be divided Into 5,000 shares at *10.00
par value, common stock.

Members of a young Reform
congregation regularly perform
routine maintenance chores for
their new synagogue building
and its grounds thus maintain
ing a congregational “do-it-your
self” philosophy dating back to
the construction by a member
of the congregation’s first ark.
The ark builder was a mem
ber of one of the 30 families who
organized Temple Sinai in Roch
ester, N. Y., in 1959. Its first
services were held in a residence
which had been converted for
use by a social welfare agency,
according to Samter Horwitz,
the congregation’s president. A
gooseneck lamp curved over a
plastic simulation of the Ten
Commandments tablets was the
first Eternal Light.
As the congregation grew, ac
tivities were shifted to the Town
Hall, then to a private school
gymnasium and then to a Cath
olic college. By that time, the
congregation was able to name
a full-time rabbi, Robert Siegal.
Previously, the congregation de
pended on visiting rabbis and
student rabbis who occupied the
pulpit on alternate weeks, with
lay leaders directing worship
and teaching at other times.
A building fund campaign
among the members brought in
enough mor.ey to start work on
a synagogue building, which was
dedicated in 1968. Temple Sinai
is located on a six-acre wooded
will, rights, assets and profits, and
to undertake or assume in whole or
any part thereof, the obligations or
liabilities of any person, firm, associ
ation or corporation.
8.
Said corporation shall have the
right to issue negotiable instruments,
bonds, mortgages, deeds to secure
debt, and other indentures for the
purpose of securing any obligation
of said corporation. The corporation
shall also have the right and power
to guarantee the payment of Indebt
edness of others as guarantor, surety,
endorser or otherwise, whether or
not such Indebtedness relates to the
principal business engaged in by the
corporation.
9.
Said corporation shall be authorized
to Issue stock for any consideration,
either money, property or services,
or any combination thereof, which Is
at least equivalent to the full par
value of the stock so to be Issued.
The valuation of any property or serv
ices for such purpose will be fixed
by the directors of the corporation
and such method of valuation will be
conclusive.
10.
Said corporation shall have the
right and power to adopt and use
trade names, trade marks, and to en
gage In business under trade names.
11.
Said corporation shall have the
power to Include in its bylaws any
regulatory or restrictive provisions re
lating to the proposed sale, transfer
and other disposition of any of its
stock by any of its stockholders.
12.
Said corporation shall have the
site. Because financing has been
ana remains a problem, the pres
ident explained, it has been nec
essary to eliminate every possi
ble expense so that funds can
be used for the resident rabbi
and trained religious school
teachers. The building oommit-
tee chairman, in cooperation
with the architect, coordinated
the work of the contractors on
the strikingly modernistic syn
agogue building, with substantial
savings. Members of the congre
gation contributed labor. All of
the painting, laying of tile floors,
installation of shelving, parking
lighting and similar works was
performed by congregants, the
president added.
Now that the new synagogue
is in use, members continue to
perform all non-technical chores
—except heavy cleaning—-but in
cluding snow plowing, which
can be a major task-in northern
New York winters. The con
gregation uses a minimum of paid
part-time clerical and secretarial
help. The treasurer and secre-

change or repeal any provision of
this Charter In form or substance
upon the vote of a majority of Its
outstanding common stock, and all
rights conferred upon stockholders,
directors and officers herein, are
granted subject to this reservation.
13.
Petitioners desire that the said corp
oration shall have and enjoy all the
privileges, rights and powers enum
erated In Chapter 22-18 of the Corp
oration Act of 1938 of the Code of
Georgia, and as the same may be
hereinafter amended, and all of the
powers and privileges enumerated
therein are made a part hereof to
the same extent as If the same were
enumerated herein.
WHEREFORE, petitioners pray an
order to be granted Incorporating
them, their associates, successors and
assigns, under the name aforesaid,
with all the powers and privileges
as may be necessary and proper or
Incident to the conduct of the busi
ness for which petitioners are seek
ing Incorporation, and as may be
allowed by law for private corpora-

“home-made,” which includes
folding, stamping and mailing
by members. Because the
grounds are mostly a secluded
wooded area, they need much
improvement. Members of both
sexes join regularly in planting
trees and shrubs, clearing weeds
and similar unwanted vegetation
and adding decorative features.
This project will require another
year of effort to complete, the
president reported. He estimated
that 50 or more members “have
lent a willing hand from time
to time.” The congregation now
comprises about 125 families.
He pointed out that, “as would
be true of any relatively small
congregation,” the finances need
ed to maintain a professional
staff severely limit money avail
able for other services. He in
dicated the belief that ‘“congre
gants will continue to do these
