That they desire for themselves, their aasoctates, successors and assigns, to be Incorporated under the name and style of “UNIVERSAL TEXTURES, INC.” for a term of thirty-five years with privi lege of extension or renewal as by law provided. 2. That the principal office of said business shall be located In Fulton County, Georgia, with the right and privilege of establishing branch offices and places of business elsewhere, both within and without the State of Georgia. The object of said Corporation is pecuniary gain and profit. 4. The general nature of the business to be conducted shall be to engage in the manufacture, sale, service, leasing, use and design of electrostatic machines and to utilize such machines in the manufacture of flocking products and for the application of flocking material to surfaces of all types and descrip tions, the franchising of similar enter prises and to do any and all things necessary or incident thereto. The Cor poration shall further be empowered to engage in any other type business or do any act not prohibited by law, which a majority of its Board of Direc tors may deem appropriate and de sirable. 5. The authorized capital of the Cor poration shall be $50,000.00 which shall be divided into 500 shares at $100.00 par value, common stock. 6. The amount of capital with which this Corporation shall begin business shall not be less than $200.00 and all the capital shall be paid into the Cor poration in money, property or a com- bination of the two. 7. The Corporation shall have the right to acquire real and personal property and pay for same In cash, stocks or bonds of this Corporation or otherwise, as well as to acquire the good will, rights, assets and profits, and to under take or assume in whole or any part thereof, the obligations or liabilities of any person, firm, association or cor poration. 8. Said Corporation shall have the right to Issue negotiable instruments, bonds. mortgages, deeds to secure debt, ana other indentures for the purpose of securing any obligation of said Corpora tion. The Corporation shall also have the right and power to guarantee the payment of indebtedness of others as guarantor, surety, endorser or other wise, whether or not such indebtedness relates to the principal business en gaged in by the Corporation. 9. Said Corporation shall be authorized to issue stock for any consideration, either money, property or services, or any combination thereof, which is at least equivalent to the full par value of the stock so to be issued. The valuation of any property or services for such purpose will be fixed by the directors of the Corporation and such method of valuation will be conclusive. 10. Said Corporation shall have the right and power to adopt and use trade names, trade marks, and to engage in business under trade names 11. Said Corporation shall have the power to include in its by-laws any regula tory or restrictive provisions relating to the proposed sale, transfer and other disposition of any of its stock by any of its stockholders. 12. Said Corporation shall have the right and power to amend, alter, change or repeal any provision of this Charter in form or substance upon the vote of a majority of its outstanding common stock, and all rights conferred upon stockholders, directors and officers herein are granted subject to this reservation. 13. Petitioners desire that the said Cor poration shall have and enjoy the privileges, rights and powers enumerat ed in Chapter 22-18 of the Corporation Act of 1938 of the Code of Georgia, and as the same may be hereinafter amended, and all of the powers and privileges enumerated therein are made a part hereof to the same extent as if the same were enumerated herein. WHEREFORE, petitioners pray an order to be granted incorporating them, their associates, successors and assigns, under the name aforesaid, with all the powers and privileges as may be necessary and proper or incident to the conduct of the business for which petitioners are seeking incorporation, and as may be allowed by law for private corporation. Possibly for Roles NEW YORK (JTA) —Mrs. Ida Kaminska, director of the now nearly defunct Jewish State Theater of Poland, is in New York, possibly to pursue her stage career in this country. She arrived with her husband, actor- producer Meir Melman, a son, daughter and granddaughter. She left Poland several months ago, went to Israel, and arrived here aboard a chartered flight from Vienna carrying 36 Jewish refugees from Poland, Czecho slovakia and other Eastern Euro pean countries.
