ACTUATED by unenviable motives. three
Directors of the Mechanics Bank, of this
city, published on the 6th inst. (December.) a
statement accompanied by a protest against ao
order rescinding a previous order for the pay
ment of |n instalment of 26 per cent. It is uni*
versally conceded, that small Capitals, invested 1
tn Banking Institutions,are wielded moreprofita
bly than large ones; for this, and other good
reasons, the Board of Directors of the Mechanics
Bank, Resalved, on the first day of Decembei,
instant, to resciend so much of the order (passed
on the 17th October 1832,) as requires the pay -
ment of 26 per cent; of the Capital Stock of
this Bank on the 18th of December 1832.

AN Instalment of 26 per cent, on the Capi
tal Stock of this Bank, is required to be
paid'on or before the 18th day of Docemher —
. and a further Instalment of 10 per cent oo or
before Friday the 28th day of December next,
between the hours of 9 and 2 o’clock.

the Board was presented with a petition, signed
by the owners, and representatives of a majority
of the whole Stock; praying a revocation of the
order of the 17th, October; so far as relates not
only to the payment of the 25 per cent on the
18th December 1832, but also, the 10 per cent,
on the 28th D* cember.

By a public notice we observe, that you have
called in tbe residue of Instalment due on the
Capital Stock of the Bank, over which you pre-

That this measure appeared to you advantage
ous to the institution, and that you were actua
ted in passing the resolution by motives of the
, best interest to the Stockholders we do not doubt. ■
However we cannot but diffi-r from you in
opinion, believing that the institution with its
present Capital, can be managed, more to the
interest of the Stockholders, than if the Capital
Should be increased to tbe amount you propose :
We would beg leave to call your attention, to
other Banks of larger Capitals in our city, and
you will find on examination, that they rarely
Lave half the amount of their Capital in circii-,
latino, and it would be very -questionable,
whether or not we should succeed in getting a
larger circulation, than we at present have, even
in the eveut of the. Capital being increased to
double its present amount; and if we should not,
obtain Hie same ratio of circulation, we of course
could not pay so large an interest. With these
view<- nf the subject we are decidedly opposed
to calling for additional instalments We by no,
means wish to dictate to you but think as Stock
holders of the Bank that we have the right to;
express to yon our opinions and if they should
\on due consideration accord with yours, we do
hope that the orders for calling in further instal
ments will be revoked ; all td which is respect-

Brevituts to the passage of the order of the Ist
of Dec. doubts bad been suggested by the pro
testing members, relative to the power, of the
,Eoard to rescind a previous order for the pay
ment of instalments—this subject together with
the Charter was submitted to the Attorney of the
t ßank, who returned a written opinion, asserting
the right ami power nn the part nf the Board,
acting under the Charter, to pass the said reso
lution. tvbich opinion has been sustained by all
oilier Attorneys since consulted. So liar as re
gards that part of the notice relative to the for
deiture of Stock, we deem that position entirety
tyitenable. Without pretending to tenter into
any argument on that subject, it is thought suffi
cient to staty, that on the 28th day of March,
.1832, an order was passed by the Board to res
•rind au order for the payment of 10 per cent of
the Capital Stock of the Bank payable on the 4tb
Bay of October, 1832, and that in consequence
of said revocation no instalment was paid on the
(above last mentioned day ; therefore, upon
•principle all the Stock had already became for
feited. A distinction is indeed sought to he made
.between the’ rescinding of the order calling in
Hie 10 per cent in October, and the 2® per cent
recently rescinded, in cousequedce of certain in
dividuals ("one of whom is one of the protecting
.members) having paid said 25 per cent upon a
small number of ghar*<, with the hope of retard
ing the operations of the Batik. Hot by a refer
ence to the bookst it will be percew«d, that no
such instalments have been incorporated with
the Capital of the Bank, so thatthere is no grouna
( fnr the accuratioo of attempting to impair or e*
wen diminish the Capital Stock.
The protesting members for the purpose of
giving *•• assumed dignity to the communication
have taken the liberty of dating Mechanics

calling in of the whole of the Capital Stock of
tbe Mechanics Bank. A difference of opinion
as to the propriety of such a course existed, some
of the Stockholders wishing the limit of the 60
{per cent on the Capital Stock to remain, others
desirous that the whole, should be called in—

mise, I voted for tescinding of the order calling

Notice to Stockholders,
WHEREAS on the 17th of October, 1832,
the Board of Directors of this Institu
tion passed an order that an instalment of 25
per cent, on the Capital Stork of this Bank be
paid in, on or before the 18tb of December inst.
and * further instalment OF 10 per ceuf, on or
before Ftiday tbe 28th inst. between the hours
ot 9 and two o’clock; Which said order has
been regularly published.from the date thereof;
* And whereas,'on the Ist day of December inst.
ths! Board of Directors passed another order the
object of which Is to revoke so much of the
above stated order as requires the payment of
25 per cent, as therein stated, against which
said revoking order a minority of said Directors
entered the following protest:
■ 41 The undersigned enter their protest against
the resolution revoking the order for an instal
ment of 25 per cent, on the Capital Stock of this
Bank, to be paid on or before the 18th of Decenr
ber, 1832, for the following reasons.”—
Agreeably to the above Resolution, the under
signed enter their protest against the resolution
of Mr. Mitchell revoking the order for an instal
ment of 25 per cent on the ckpital stock of this
Bank, so he paid on or before the 18th Decem
ber 1832, for the following reasons :
Ist. Because the order of the Board of Direc
tors calling in said Instalment.#as passed bv a
Board consisting „f eight member*, and wit h all
the forms required by the charter—and became
some of the Stockholders having paid said in
stalment pursuant to public notice, and received
a certificate foi- the same, refuse to hqve them
cancelled—and because there wak sufficient time
lo have given the legal notice required by tht
charter calling a meeting of the stockholders to
ascertain whether a tunjority of the stockholders
were in favor or against a payment of said in
stalment. ,
2*l. Because two of the members voting for
said resolution compose a part of a number con
sisting of not more than six personsi, who have
purchased up a majority of the Itock of this
Bank, fdr the pnrpose, as we believe, of con
trolling its operations, and the said members
having declared at this Board their object in
purchasing said stock wag not sot an interest of
8 per cent.
3d. Because they believe it a duty they* owe
to the stockholders as well as to the public—to
prevent as far ns in their power the stock getting
into the hands of speculators, and thereby be
come a private institution, and subject to alt-she
changes dud uncertainties of individual «om
mercial establishments, rfnd consequently liable
to become a nuisance lo'the public, as has re
cently happened to a Bank ander similar cir
cumstances in the state—all which conceive
their duty to oppose and prevent if possible.

said protest, and for other good and sufficient
reasons in law, we consider the said ortjfer of re
vocation as null and void, th'e said Directors
having no power to pass the same. ' We there
fore, the undersigned, in behalf of ourselves and
all stockholders who have paid info the said
Bank the said instalment of 25 per cent, in obe
dience to said order, and on the faith of the
same,-and in behalf also of all who may pay us
tender the same on or before the «aid 18th of
Decemberlnstant, do hereby give ndtice, that
we consider the order of the 17th October, a»
still in full force, and shall insist on a compli
ance With tbe requisitions thereof, or in default
a forfeiture of stock will be claimed in behalf of,
and for the benefit of the Bank, in tsr/ns of its
charter.

in all human probability, will be peopled by a
mote dense population than any country of like

country of these regions, abounds in quarries of
Marole, Limestone, and in tact all kinds of
mineral wealth. As respects the. contemplated
connexion ofthe waters of the Tennessee with
those of the Alabama ; ifbyaCanal it will have
its emhouchement; if by a Rail Road, immedia
tely at this spot will terminate one of its extre
mities. The well, known advantages of this
place renders further remarks unnecessary, oth
er than to say that to the capitalist *
desirable opportunity for profitable investment
to the merchant it offers advantages of an ei
tensive trade : to the mechanic, the* allurements
nf what must soon become a flourishing town,
not of ephemeral existence) but of k permanent
and daily increasing importance ; to the plan
ter, a desirable and pleasant town residence,
convenient to the alluvial bottoms of the Coosa,
the Alabama and the Tallapoosa. In addition
to which it will undoubtedly, atno remote pe
riod, become the location ofthe State Capital,
for whicti it offers greater inducement than any
point on the eastern waters of the State.
