“Whereas, the Board of Di

found that it is desirable and

that it be completely liquidated
and its assets distributed to its
stockholders, such distribution to
take place as soon as practicable,
but in no event later than De
cember 1. 1967, and the Board
of Directors having called a
meeting of the stockholders to
consider the resolution adopted
by it:
“Now, therefore, be it resolved
by the stockholders of the Com
pany that it be completely liqui
dated and its assets distributed
to its stockholders not later than
December 1, 1967, and be it fur
ther resolved that the Company
forthwith surrender its charter
and franchise to the State of
Georgia and be dissolved as a
corporation and that the officers

tion of any of the articles, mer
chandise and commodities afore
said, and also, any and all com
modities and things which re
sult from or are by-products of
the manufacture, production
and praparation of textiles,
fabrics, yarns, or other materi

which any of the articles may
be a factor or an ingredient or
of which the same may be a
component part. The corporation
shall have the power to enter
into contract of guaranty, sure
tyship or endorsement whether
or not it has a direct or indirect
interest in the subject matter
of any such contract and wheth
er or not any such contract is
purely for the accommodation of
another party or parties, in
cluding the power to pledge any
or all of its assets as collateral
security for its liability under
any such contract; to enter into
partnerships or joint ventures
with any other person, firm or
corporation; and generally to
have all the powers which may
be granted to and exercised by
a corporation organized and ex
isting under a charter granted
by this Court.

The petition of Griffin-Jaco
Mills, Inc., respectfully shows:

It is a corporation duly chart
ered by this Court, originally
under the name of Griffin Knit
ting Mills, the name having
been changed to Griffin-Jaco
Mills, Inc., by order of this Court
dated December 27. 1956

Petitioner now desires to sur
render its charter and franchises
to the State of Georgia and be
dissolved as a corporation. All
corporate debts having been paid
or provided for and such disso
lution may be allowed without
injustice to any creditor or
stockholder.
At a meeting of its stockhold
ers held on the 22nd day of De
cember, at which all of the out
standing stock of the company
was represented and which was
held pursuant to the call of the
Directors, a resolution was
unanimously adopted upon the
recommendation of the Directors
by the affirmative vote of the
entire capital stock resolving
that the corporation surrender
its charter and franchise and be
dissolved. A duly certified copy
of the resolution is hereto at
tached and identified as such.
Wherefore, petitioner prays
that an order be entered accept
ing the surrender of its charter
and franchise and dissolving 1 $
as a corporation.

sented and voted in favor of the
resolution;

the charter of Griffin-Jaco Mills,
Inc., is hereby accepted on be
half of the State of Georgia and
said corporation is hereby dis
solved.

OF GRIFFIN-JACO
MILLS, INC.
“Wheireas, the Board of Di
rectors of the Company has
found that it is desirable and
for the benefit of the Company
that it be completely liquidated
and its asset s distributed to its
stockholders, such distribution
to take place as soon a3 prac
ticable, but in no event later
than December 1, 1967, and tha
Board of Directors having call
ed a meeting of the stockhold
ers to consider the resolution
adopted by it;
“Now, Therefore, be it resolv
ed by the stockholders of the
Company that it be completely
liquidated and its assets distrib
uted to its stockholders not later
than December 1, 1967, be it
further resolved that the Com
pany forthwith surrender its
charter and franchises to tha
State of Georgia and be dissolv
ed as a corporation and that
the officers of the Company ba
and they are hereby directed to
take all proper procedures for
the foregoing purposes in tha
manner provided by law and to
do any and all things and to
execute any and all instruments
necessary or desirable to these
ends.”
