PANY respectfully shows:
1. That petitioner is a cor
poration duly chartered by this
Court under the name Jones
Construction Company on July
18, 1951, for a period of thirty
five years, and that by order
of this Court the said charter
was amended on October 18,
1964, to change the name of
said corporation to Concrete &
Building Supply Company.
2. That petitioner now desires
to surrender Its charter and
franchises to the state of Geor
gia and be dissolved as a cor
poration.
3. That such dissolution may
be allowed and accomplished
without injustice to any stock
holder or to any person, firm
or corporation having any claim
or demand of any character
against said corporation.
4. That petitioner has made
provision for the payment of
every debt, demand or obliga
tion owed |py It to any person,
firm or corporation, and for
the distribution of its assets
among its stockholders.
5. That at a meeting of its
stockholders held on the 10th
day of February, 1967, at which
meeting 600 shares out of the
total of 600 shares outstanding
was represented in person, a

of Concrete & Building Supply
Company, and that the follow
ing resoluiton is a true and cor
rect copy of the resolution duly
and regularly adopted at a
special meeting of the stock
holders of said corporation duly
and regularly called and held
on February 10, 1967, pursuant
to ten days’ notice given to all
stockholders of the Ume, place
and purpose: that said resolu
tion was adopted by a vote of
more than two-thirds of all
the issued and outstanding capi
tal stock; and that said resolu
tion has not been amended or
modified:
“Resolved: That Concrete &
Building Supply Company be
dissolved and its charter sur
rendered to the State of Geor
gia, and that upon the payment
or the making of proper arrange
ments for the payment of all
outstanding indebtedness of and
claims against the corporation,
its assets in the form of cash
or otherwise be distributed to
its stockholders in proportion to
their stockholdings, so that a
dissolution may be had without
injustice to any stockholder or
any person having any demand
against the corporation; and be
it further
“Resolved. That the President
and Secretary of the corporation
are hereby authorized and di
rected to take any and all nec
essary steps and proceedings
for the purpose or such dissolu
tion and surrender of the
charter.”

hereunto set my hand as Secr
tary, and affixed the seal of
said corporation on this 11th day
of February, 1967.

ORDER OF DISSOLUTION
GEORGIA, Spalding County.
In The Superior Court Of
Said County:
Concrete & Building Supply
Company, a corporation, having
presented to me the within pe
tition that said corporation be
dissolved and that its charter be
surrendered to the State of Geor
gia, and petitioner having sub
mitted with said petition a certi
tified copy of the resolutions
adopted by the vote of the hold
ers of more than two-thirds of all
of the outtsanding stock of said
corporation, in the manner and
form prescribed by law, approv
ing and authorizing such disso
lution; and it appearing to the
Court that the statutes of the
State of Georgia, relating to
such matters, have been fully
complied with,
Now, Therefore, itisconsidered,
ordered, adjudged and decreed
that said petition be and the
same is hereby granted, and
the surrender of the charter of
said Concrete & Building Supply
Company Is hereby accepted on
behalf of the State of Georgia,
and the said corporation is
hereby accepted on behalf of the
State of Georgia, and the said
corporation is hereby dissolved.
