designated on the plat of survey
entitled “Plat of Mt. Zion
If School Property," dated Decem-
ber 27, 1967, as made by Grif

Engrs., Griffin, Georgia, a
copy of which said plat is re
corded in Plat Book 7, page 416,
of the Superior Court records of

of beginning lies North 1 degree
30 minutes West a distance of
663.2 feet from the point of inter
section of the Easterly boun

Route No. 16, and thence run
ning from said point of begin
ning North 88 degrees 28 min
utes East a distance of 460 feet
to an iron stake; thence run

In the opinion of the Griffin-
Spalding County Board of Edu
cation said land is no longer
suitable for its purpose and said
Board of Education has decid
ed to sell and convey said land
at its fair market value and the
proceeds of said sale shall be
used exclusively for school pur
poses, all in accordance with the
pertinent laws of Georgia and
the proper resolutions of said
Board of Education; and
This notice of such decision
of said Board to sell said land
is given and published as re
quired by law.

APPLICATION FOR
CHARTER
GEORGIA, Spalding County.
TO THE SUPERIOR COURT
OF SAID COUNTY:
The petition of R. A. Smith,
Plez Dukes and T. D. West
moreland, all having the post
office address of Griffin, Geor
gia, respectfully shows that:
1.
They desire for themselves,
their associates and successors
to be incorporated and made a
body politic under the name
of Smith & Dukes Builders, Inc.,
for the period of thirty-five
years.
3.
That attached hereto and
made a part hereof is a certifi
cate of the Secretary of the
State of Georgia that the above
corporate name is available for
corporate use.

The principal office of said
corporation shall be in Spalding
County, Georgia, but petitioners
shall have the right to open
branch offices in the State of
Georgia or elsewhere, whenever
the holders of the majority of
the stock may so determine.
4.
The object of the corporation
is pecuniary gain to Itself and
its shareholders; and the busi
ness to be carried on by it is:
To engage generally in the
buiding supply and contracting
business, and all phases there
of, including without being lim
ited to the construction of
dwellings and other buildings,
the installation of any and all
types of material and the per
formance of any and all kinds
of construction work, the buy
ing, selling, holding, leasing,
subdividing, or otherwise deal
ing in or with any and all real
estate and personal property;
the installation and dealing in
of any and all plumbing and
electrical supplies and material,
the dealing in of any and all
building supplies of whatsoever
kind and character; and the do
ing of any and all acts and
things necessary, convenient,
expedient, ancillary or in aid of
the conduct of the business of
said corporation.
5.
The maximum number of
shares which the corporation
shall be authorized to have out
standing at any time shall be
five hundred shares of the par
value of One Hundred Dollars
each. The amount of capital
with which the coropration
shall commence business shall
be not less than One Thousand
Dollars. The corporation shall
be authorized to issue additional
shares up to the maximum of
shared above stated, and, there
after, from time to time, the
corporation is authorized to re-
duce the amount of capital out
standing, but not below the
minimum above stated, and this
upon a majority vote of the
stock outstanding at that time.
All of the stock hereinabove
authorized shall be of one class.
Wherefore, petitioners pray to
be incorporated under the name
and style aforesaid, with all the
rights, powers, privileges and
immunities above referred to,
as well as such other rights,
powers, privileges and immuni
ties as are now or may here
after be conferred upon like cor
porations under the laws of
Georgia.

is legitimately within the pur
view and Intent of the laws of
this State; and it appearing
from a certificate submitted
from the Secretary of State that
the name of the proposed cor
poration is not the name of any
other existing corporation regis
tered in the records of the Sec
retary of State; and it further
appearing that petitioners have
complied with all other condi
tions precedent and statutory
requirements applicable to such
petitions:
It is hereby ordered and ad
judged that the prayers of the
foregoing petitioners be incor-
porated under the name of
Smith & Dukes Builders, Inc.,

business or businesses to ba
transacted shall consist of the

and remodeling of buildings and
structures of all types, including
residences, apartments, stores,
warehouses and office buildings
for itself and others; the doing
of all kinds of public works, in
cluding grading and paving of
roads, sidewalks and highways,
the laying of water mains and
sewers and installation of gas
and electricity and other public
services.
Petitioners further desire that
said corporation be vested with
all the rights, powers, privileges
and immunities now or herein
after given to do any and all
things which may be needful or
proper in the operation of the
above described business, and
that said corporation have all
the powers enumerated in Sec
tions 22-1827 and 22-1828 of the
Code of Georgia, and such oth
er powers as may hereafter be
given by law.
The corporation shall begin
business with shares of stock
with par value of Fifty ($50,-
000.00) Dollars, and the corpor
ation shall be authorized to is
sue additional shares up to the
maximum of One Hundred Fifty
Thousand ($150,000.00) Dollars,
and thereafter from time to
time to reduce the amount of
capital outstanding but not be
low the minimum of $50,000.00
above stated, and all this, upon
a majority vote of the Board of
Directors.
The tim efor which the corp
poration is to have existence is
thirty-five (35) years with the
privilege of renewal of the chart
er, from time to time, upon the
expiration of said periods of
thirty-five (35) years.

by-laws of the corporation shall
be adopted by the common
stock holders, and such by-laws
shall provide for the officers of
the corporation, the manner of
their selection, and such other
rules appropriate to by-laws
which have as their purpose
the control and management of
the corporation, including pro
visions whereby the by-laws
may be amended.
