peanut research and extension
being carried on by State Re
search Divisions Cooperative
State Extension Services, the
United States Department of
Agriculture, the Commercial
Peanut Industry and supporting
service businesses; and
(b) To conduct said Associa
tion in such manner as to com
ply with Section 501 (c) (3) of
the United States Internal Reve
nue Code of 1954 and Acts amen
datory thereto.
The corporation shall have
the power and authority to ac
cept gifts and contributions,
whether made by will or other
wise, in an yform of property,
provided that the objects speci
fied by the testator or donor are
within the objects and purposes
of the corporation.
The governiong body shall be
a Board of Trustees and shall
be composed as provided in the
By-laws of the corporation as
such By-laws may from time to
time be adopted and amended
by the membership. The initial
Board of Trustees shall consist
of the present directors of the
(unincorporated) American Pea
nut Research and Education As
sociation, each of whom shall
continue to serve until the first
annual meeting of the American
Peanut Research and Educa
tion Association, Inc., and until
their succesors are elected and
qualified.
The corporation, unless other
wise required by the terms of
any contribution, shall have the
power in its discretion to re
tain all contributions in the
original form in which they
may have been received, and
also to buy, sell, exchange and
otherwise deal in stocks, bonds,
real estate and any other forms
of property at either public or
private sale, without order of
1 any court or other authority, to
invest and reinvest any funds
I belonging to the corporation at
any time in such securities and
property, real and personal, as
the Trustees in their sole dis
cretion see fit, irrespective of
whether such Investments may
not be legal Investments for
trust funds under the laws of
Georgia.
The corporation is ont organ
ized for profit and shall have
no capital stock. No part of the
property of said corporation and
no part of its net earnings shall
ever at any time inure to the
benefit of any private share

forms of licenced trade in any

get patents, trade-marks and

Without limiting the generali
ty thereof, to have all the above
powers together with the privi
leges in section 22-1827 and 22-
1870 of the Georgia Code 1933,
as amended, and all these pow
ers are to be in full as if listed
in detail herein.
The maximum number of
shares of Common Stock of the
Corporation shall be 1000 with
a par value of SIOO.OO per share,
all Common Stock shall have
voting powers.
