The Standard Specifications
of the State Highway Depart
ment of Georgia have been
adopted by the Georgia High
way Authority and will govern
any construction under these

of domestic materials, will be
incorporated in the contract.
Proposals must be submitted
on regular forms, which will be
supplied by the undersigned,
and may be obtained by a pay
ment, in advance, of $5.00 for
each proposal issued. When the
proposal is submitted, it must
be accompanied by a proposal
guaranty in the form of a certi
fied check, cashier’s check,
negotiable United States Bonds,
or other acceptable security in
the amount indicated, and must
be plainly marked "Proposal for
Road Construction,” County and
Number, and show the time of
opening as advertised. Check of
the low bidder will be cashed
and all other checks will be re
turned as soon as the contract
is awarded, unless it is deemed
advisable by the Authority to

Stock Rights, Warrants

It’s probably safe to as
sume that most small inves
tors know little more than
necessary about the owner
ship of stock. They usually
know that what they’re buy
ing is a share in a business
venture and that the price
they pay is determined by
supply and demand.
They may even know
something of the company’s
growth prospects and
whether or not it can be de
pended on to pay a dividend.
What they probably don’t
know much about are the
more esoteric benefits that
accrue to those who ‘‘own a
share of American enter
prise,” as the saying goes.
Among these benefits are
stock rights and warrants,
for example.

A stock “right” is an au
thorization to purchase a cer
tain number of shares in the
company that issued the
stock. A newly minted in
vestor who receives a right
in the mail could be forgiven
if he mistook it for nothing
more than a cute way to sell
additional stock.
In. away, he’d be right, but
he would be unwise to toss it
aside for that reason.
A stock right is issued
when the company wants to
raise capital by selling ad
ditional shares. But the right
gives the stockholder first
crack at such new shares and
arranges it to his advantage.
The price stipulated in the
right will be purposely set
lower than the current mar
ket price of the shares al
ready outstanding. If the
stock is selling at 22, for ex
ample, the per-share price
under the right might be 18.

The number of shares the
stockholder can buy under
his right is proportional to
the shares he already holds.
A company with a million
shares outstanding might de
cide to issue 100,000 more.
This 10 to 1 ratio would then
apply to the stockholders
who would be allowed to buy
one additional share for ev
ery 10 they owned.
He needn’t actually buy
the shares to profit from the
right. If he chooses not to
use it, there is a market for
it through persons who will
exercise it for the discount
privilege.
Rights have a relatively
short life, usually something
on the order of four weeks.
If not used or sold within the
time period, the right ex
pires, and the stockholder to
whom it was issued has
missed a chance to make an
additional sum on his invest
ment.
A stock warrant is consid
erably different than a right
but bestows much the same
privilege under a different
set of rules.
A warrant is usually added
to bonds or preferred stock
in an attempt to make them
more palatable to potential
customers. The warrant al
lows the holder to buy a cer
tain number of shares of the
company’s stock, but usually
at a price higher than the
market price of the stock at
the time the warrant is
issued.
To be valuable, then, the
warrant must be held until
the price of the stock rises
past the value set by the
warrant. This makes the
warrant a long-term invest
ment, so its life is several
years, at least, and perhaps
in perpetuity.
The stockholder can either
hold onto the warrant in hope
of a price rise in the stock,
or he can sell the warrant to
a speculator somewhat
more optimistic than him
self.
