The affairs of the corporation
shall be conducted by a Board of
Directors of not less than three
nor more than five members,
the majority of whom at all
times shall be licensed doctors
of medicine. Members of the
Board of Directors shall be
elected annually by the
members for terms of one year.
Medical members of the Board
shall be nominated by the
medical societies in the counties
of Spalding, Pike, Henry,
Lamar and Butts. The other
members of the Board shall be
representatives of the
subscribers and shall be
nominated by members of the
corporation. The Directors shall
serve without pay for services
as Directors.

The Indebtedness of the

Dollars or fifty (50 percent)
percent of its reserves,
whichever is greater.

The corporation shall enter
into subscription contracts with
residents of the area in which
the corporation shall serve to
provide stated benefits for
stated medical services,
including surgical procedures,
all according to plans and
contracts submitted to and
approved by the Insurance
Commissioner of Georgia.
WHEREFORE, the
Petitioners pray that they be
incorporated as a non-profit
medical service corporation
under the name and style
"GRIFFIN MEDICAL
SERVICE CORPORATION"
with all the rights, powers,
privileges and obligations
incident thereto.
