commodities; to buy, sell and pro
cess any and all types of seed, feed ’
fertilizer and any and all
other related products; to buy, sell
and otherwise deal in machines,
tools, implements and supplies of
all kinds, design or adaptability to
and for use in connection with ag
riculture and affiliated pursuits; to
raise, produce, manufacture, buy,
sell, exchange and otherwise deal
in any and all kinds of farm,
ranch and dairy products; to buy,
sell, exchange, lease, hold, subdi
vide and improve real estate, with
all\ the usual and necessary servi
ces for itself and others, including
the construction, erection and re
pair of buildings and structures of
all types for itself and others; and
to do any and all act3 and things
necessary, convenient, expedient,
ancillary or in aid to the accom
plishment of all of the foregoing
businesses.

The corporation shall have the
power to enter into guaranties or
endorsements, and otherwise to act
as surety or guaranty whenever
in the judgement of the Board of
Directors such action shall be for
the corporation.
5.
Regardless of the financial eon
dition of the corporation at the
time, the corporation shall have
the power to sell, lease or ex
change, all or substantially all of
its property and assets, including
its goodwill and its corporate
charter upon such terms and con
ditions as its Board of Directors
deem expedient when and as au
thorized by the afirmative major
ity vote of the stockholders repre
senting all of the outstanding
tal stock, counting one vote for
each share regardless of the gen
eral voting qualifications of said
share. The corporation shall have
the power to enter into, or become
a partner in, any arrangement
sharing profits, union of interests,
cooperative, joint venture or other
wise, with any person, firm or cor
operation now carrying on or a
bout to carry on any business
which this corporation has the di
rect or incidental authority to pur
sue.
6.
The corporation shall have the
power to amend, change or repeal
any provision of its charter, in
form or in substance, upon the
vote of the majority of its out
standing common stock; and all
rights conferred upon the stock
holders, directors and officers are
granted subject to this reserva
tion.
7.
The maximum number of shar
es of stock shall be five hundred
thousand shares of common stock,
non-assessable, with full voting
rights and with a par value of One
Dollar per share. Said stock may
be issued to subscribers thereof
and purchasers thereof for consid
eration in money, property, serv-
ices or goodwill, as the value there j
of shall be determined, from time
to time, and at any time, by a ma
jority vote of the common stock
holders. Notwithstanding any
thing to the contrary herein,
the corporation shall not be
gin business with less than

power to include in its by-laws any
regulatory or restrictive provis
ions relating to the proposed sale
transfer or other disposition of
any of its outstanding stock by
any of its stockholders or in the
event of the death of any of its
stockholders. The manner and
form, as well as the relevant
terms, conditions and details here
of shall be determined by the
stockholders of this corporation;
provided, however, that no such
regulatory or restrictive provis
ions shall affect the rights of third
parties without actual knowledge
thereof, unless such provisions
shall be plainly written upon the
certificate evidencing the owner
ship of said stock.

WE STILL HEAR MUCH public debate over proposals
lor a federally guaranteed minimum annual income, a multi
billion dollar scheme for supplementing people’s pay out of the
government treasury.
The pros and cods of this proposal are debated in tbs
newspapers and national magazines, and the Administration has
called for a two-year study on its feasibility. This indicates that
sooner or later, it is going to become a live issue before the
Congress.
The idea behind the guaranteed income, or negative income
tax, plan is that this would boost people’s incomes to a level
above the so-called poverty line, and that eventually it would take
the place of present federally-financed welfare programs.
Of course, everyone knows or should know from experience
that newly created spending programs never take the place of
inything else, but rather Is just added on to increase the burden
on the taxpayers.

THERE HAVE BEEN SEVERAL theories advanced as to
how the guaranteed income plan should be "carried out, but the
one most widely discussed would operate in this manner;
People who earn less than $3,000 as shown on their tax
returns would automatically receive from the government a so
called refund in the amount of half the difference between their
income and the base figure of $3,000. In effect, the money
would go to them with no strings attached and with no assurance
that it would be properly utilized.
In many instances, the net result would be to have respon
sible, hard-working citizens providing incomes through their
taxes fo% in some cases, irresponsible people who had rather
have the government keep them up than work.

MOREOVER, AS I SEE IT, this proposal would do more
to stifle individual initiative than anything I can imagine and
would undermine the fundamental American principle of self
reliance that has put our country where it is today.
We need to promote the economy of our country and
alleviate poverty through education and job-training, not by
pushing socialistic schemes that would have people getting paid
to doing nothing,

hereafter be given at law.

The time for which the corpora
tion shall have existence is thir
ty-five years, with the privilege
of renewal of the charter, from
time to time, upon the expiration
of said periods of thirty-five years.

nesses aforesaid, and as may be in
herent or allowed to like corpora
tions under the Laws of Georgia,
as they now exist or may hereaf
ter exist.
