e rs, respectfully shows:
1— Petitioners desire for them
selves, their associates and suc
cessors, to Ibe incorporated under
the name of “COMMUNITY E
CONOMIC DEVELOPMENT COM
PANY”.
2— This corporation is organized
and chartered for the purpose of
furthering th e economic develop
ment of Fort Valley, Georgia, and
its environs, and promoting and
assisting the growth and develop
ment of business concerns, includ
ing small-business concerns, in
said area. The primary objective
of this corporation shall be bene
fit to the community as measured
by increased employment, payroll*
business volum e and correspond
ing! factors rather than mone
tary profits to the sharehoders.
Any monetary profits or other
benefits which flow to sharehold
ers shall be merely incidental
thereto.
3— Petitioners further desire
that said corporation be vested
with all the rights and powers now
or hereafter given to do any and
all things which may be needful
or proper in the operation of the
above described business, and that
•aid corporation of the above des
cribed business, and that said cor
poration have all of the powers e
numerated in Sections 22-1827 and
22-1828, Georgia Code Annotated,
and such powers as may hereafter
be given by law.
4— The maximum number of
shares of stock shall be 200,000 of
the par value of five dollars ($5.00
per share, all of which shall be
common stock.
However the amount of capital
with which the corporation shall
begin business shall not be less
than $200.00.
5— The time for which the cor
poration is to have existence is
thirty-five (35) years, with the
privilege of renewal of the charter
form tim e to time, upon the ex
piration of said period of thirty
five (35) years.
6— The county in which the prin
cipal office of the corporation is
to be located is Peach County,
Georgia.
7— The stock of this corporation
shall be owned principally at all
times by local persons residing or
doing business in the area of op
eration.
8— Each of the following appli
cants for charter are residents of
Fort Valley, Peach County, Geor
gia, to-wit: Mrs. Marjorie. Golphin
C. L. Ellison, Herbert Parker, Jr.,
Earnest Corker, L. R. Bywaters*
Leroy Kelly, Harrison R. Hill, Jr.,

9— Petitioners further desire
that by-laws of the corporation
shall be adopted by the common
stock holders, and by-laws shall
provide for the officers of the cor
poration, the manner of their se
lection, and such other rules ap
propriate to by-laws which have
as their purpose the control and
management of the corporation,
including provisions whereby the
by-laws may be amended.
10— Your petitioners herewith
exhibit a certificate of the Secre
tary of the State of Georgia as
required by Section 22-1803, Geor
gia Code Annotated.
WHEREFORE, Petitioners pray
to be incorporated under the name
and style aforesaid with all the
rights, powers, privileges, and im
munities herein set forth, and
such additional rights powers and

dered and adjudged that said peti

are hereby incorporated and made
a body politic under the name and

of 35 years, with the privilege of
renewal at the expiration of that

ers, privileges and immunities

with such additional rights, pow
ers, privileges and immunities as
are provided by the laws of Geor
gia as they now exist or may here
after exist.
