inesses to be conducted is as fol
lows: The dealing in all types and
kinds of contracts and policies of
insurance, to act as agents for
others in the sale of insurance
policies, to act as insurance brok
ers, to act as general agents, to
act as general insurance agents,
and generally to deal with insur
ance contracts and policies of all
kinds and descriptions in every
proper and legitimate manner ac
cording to the usages and customs
of the business; the owning, buy
ing, selling, exchanging, leasing,
subdividing and improving of real
estate, with all the usual and nec
essary services for itself and oth
ers; the construction, erection,
repairing and remodeling of build
ings and structures of all types

The corporation shall have the
power to enter into, or become a
partner in, any arrangement for
sharing profits, union of interests
cooperative, joint venture or other
wise, with any person, firm or
corporation now carrying on or a
bout to carry on any business
which this corporation has the di
reet or incidental authority to
pursue.

The corporation shall have the
power to amend, change or repeal
any provision of its charter, in
form or in substance, upon the
vote of the majority of its out
standing; common stock; and all
rights conferred upon the stock
holders, directors and officers are
granted subject to- this reserva
tion.

The maximum number of shares
of stock shall be one hundred
thousand shares of common stock,
non-assessable, with full
rights and with a par value of
One Dollar per shai*e. Said stock
may be issued to subscribers
thereof and purchasers thereof
for consideration in money, prop
erty, services or good will as the
value thereof shall be determined,
from time to time, and at any
time, by a majority vote of the
common stockholders. Notwith
standing anything to the contrary
herein, the corporation shall not
begin business with less than Two
Hundred Dollars capitalization,

The corporation shall have the
right and power, from time to
time, without charter amendments,
upon a majority vote of the out

visions relating to the proposed
sale, transfer or other disposition

ation to be vested with all the
rights and powers now or hereaft
er given to do any and all things
which may be needful or proper
in the operation of the above des
cribed businesses, and said cor
poration shall have all the powers
enumerated in Sections 22-1827
and 22-1828, Georgia Code Anno
tated, as amended, and such pow
ers as many hereafter be given by
law.

The time for which the corpor
aton s to have existence is thir
ty-five years, with the privilege
of renewal of the charter, from
time to time, upon the expiration
of said periods of thirty-five years

The County in which the princi
pal office of the corporation is to
be located is Peach County, Geor
gia, but the privilege is desired of
establishing branch offices and
places of business both -within and
without the State of Georgia.
