The petition of Rupert H. Bramb

La ran, shows the following:
FIRST Petitioners for themselves,
their associates and successors, de
sire to become incorporated under
the name and style of FORSYTH
COUNTY CHAMBER OF COM
MERCE, INC,
SECOND The residence address of
all of your petitioners is Cumming,
Forsyth County, Georgia.
THIRD The business and purpose
of the Corporation shall be the pro
motion and advancement of the civ
ic, commercial, industrial, business
and agricultural interests of the
County of Forsyth, Sttate of Geor
gia, and the surrounding territory:
the promotion of the general wel
fare and prosperity of said County
and its surrounding territory, and
the stimulation of public sentiment
to these ends.
FOURTH—The Coropration, in its
activities and endeavors, shall be
non-political, non-partisan, no-sect
ional and non-sectarian. It shall not
by resolution or otherwise be com
mitted to support or endorsement
of any candidate for public office.
FIFTH—The Corporation is not or
ganized for profit or pecuniary gain
to itself nor its members, and no
dividends or profits or compensat
ion shall ever be paid to its mem
bers except for reasonable services
rendered and expenses incurred or
paid by its said members in the fur
therance of its purposes as herein
set forth.
SIXTH—The Corporation may ac
quire, take by gift or otherwise, pur
chase, devise or bequest, real and
personal property for purposes ap
propriate in the exercise of its pow
ers, and may lease, manage, con
trol annd maintain the same, and
may mortgage, sell, hypothecate,
pledge, sell and dispose of same, in
cluding the right to acquire, hold
and dispose of shares of stock in
other Corporations.
SEVENTH- The term for which
this Corporation shall be organized
is for a period of 35 years, with the
right to renew its charter at the
expiration of said period in accord
ance with the laws of Georgia now
or hereafter in effect.
EIGHTH—The Government of this
Corporation shall be vested in a
Board of Directors, who shall be
members of the Corporation and
such officers and committees as said
Board of Directors may appoint ii>
conformity with the Charter and
By-Laws thereof. The first Board of
Directors shall consist of Nine Mem
bers made up of your petitioners
herein, whose succession shall be as
provided in By Laws of said Cor
poration adopted pursuant hereto.
cNINTH—AII persons, corporations,
firms, associations and other legal
entities, who pay the annual dues
prescribed by the by-laws and who
subscribe to and conform to the by
laws of said Corporation as the same
may be amended from time to time,
shall be members of said Corporat
ion. The by-laws may provide the
manner in which a members mem
bership in the Corporation may be
terminated.
TENTH—There shall be no capital
stock of this Corporation and no
members' private property shall
ever be subject to the debt of this
Corporation.
ELEVENTH— The principal office
place of business of the Corporation
shall be Cumming, Forsyth County,
Georgia, with the right to establish
such other offices elsewhere in the
State of Georgia or United States
for the conduct of its objectives
and purposes.
TWELFTH—This corporation is not
the name of any other Corporation
registered with the Secretary of
State of Georgia, and there is sub
mitted to the Court a certificate of
such fact, all as required by law.
IHIRTEENTH The Corporation
shall have any and all such other
Powers as may be provided by the
Laws of Georgia, now or hereafter
adopted, for similiar Corporations.
Wherefore, petitioners pray that
they be incorporated under the name
and style aforesaid, with the rights,
privileges and immunities prayed
for herein.

The within and foregoing petition
for charter of the Forsyth County
Chamber of Commerce, Inc., having
been presented and considered, and
it appearing that the same is within
the purview of the laws of Georgia,
and that the name is not the name
of any other corporation registered
with the Secretary of State, and that
all laws incident to such incorpora
tion have been complied with:
IT IS ORDERED that the petit
ioners be and they are hereby incor
porated under the name and style of
FORSYTH COUNTY CHAMBER
OF COMMERCE, INC., with all the
rights, privileges and immunities
prayed for in said petition, as may
now or hereafter be provided by
law.
